Common use of Action by Buyer Clause in Contracts

Action by Buyer. Any action, notice, consent, approval or waiver made prior to and/or on the Closing Date by Buyer pursuant to this Purchase Agreement with respect to any of the following matters shall only be taken or given with the prior approval of the Conflicts Committee (on behalf of Buyer): (a) any waiver by the Buyer of (i) a condition to Closing of, or (ii) any Seller’s failure to comply with an obligation, covenant or agreement under, this Purchase Agreement; and (b) any amendment, modification or supplement to this Purchase Agreement or any Operative Document.
