Common use of Action by Buyer Clause in Contracts

Action by Buyer. With respect to any action, notice, consent, approval or waiver that is required to be taken or given or that may be taken or given by Buyer prior to or after the Closing Date, such action, notice, consent, approval or waiver shall be taken or given by the Conflicts Committee on behalf of Buyer.

With respect to any actionaction (including any case where the agreement of, or selection by, Buyer is required), notice, consent, approval or waiver that is required to be taken or given or that may be taken or given by Buyer prior to or after the Closing DateDate with respect to, or in connection with, the subject matter hereof, such action, notice, consent, approval or waiver shall be taken or given by the Conflicts Committee (as defined in the Spectra MLP Partnership Agreement) on behalf of Buyer.
