Common use of Act Reports Clause in Contracts

Act Reports. The Company has provided the Subscriber with its Annual Report on Form 10-K for the year ended December 31, 2011, its Form 10-Q for each of the quarters ended March 31, 2012 and subsequent Form 8-Ks (the “34 Act Reports”). No statement of fact made by the Company in its 34 Act Reports contains any untrue statement of a material fact or omits to state any material fact necessary to make the statements contained therein not misleading in light of the circumstances under which such statements were made.

Act Reports. The Company has provided the Subscriber with its Annual Report on Form 10-K for the year ended December March 31, 2011, its Form 10-Q for each of the quarters ended March 31June 30, 2012 2011 and September 30, 2011, and subsequent Form 8-Ks Ks, filed with the Securities and Exchange Commission on since December 31, 2010 (the “34 Act Reports”). No statement of fact made by the Company in its 34 Act Reports contains any untrue statement of a material fact or omits to state any material fact necessary to make the statements contained therein not misleading in light of the circumstances under which such statements were made.
