Acquisition Cost. If the subject Developed Lot or Land Parcel was purchased individually, the Acquisition Cost for such Developed Lot or Land Parcel shall be the actual purchase price and closing costs approved by the Administrative Agent and paid by the Borrower or its Restricted Subsidiaries for the acquisition of such individual Developed Lot or Land Parcel excluding Administrative Costs, together with all applicable Development Costs. If the subject Developed Lot or Land Parcel was part of a larger group of Developed Lots or Land Parcels, the Acquisition Cost for such Developed Lot or Land Parcel shall be the pro rata portion of the overall actual purchase price and closing costs approved by the Administrative Agent and paid by the Borrower and its Restricted Subsidiaries for the acquisition of such larger group of Developed Lots or Land Parcels allocable to the subject Developed Lot or Land Parcel excluding Administrative Costs, together with a pro rata portion of all applicable Development Costs.
Acquisition Cost. “Acquisition Cost” shall mean the actual invoiced price paid by either Party to any Third Party (adjusted for any discounts, rebates or refunds realized by the payor Party), including without limitation shipping and handling costs, taxes and customs duties to the extent invoiced, in connection with the acquisition of Active Pharmaceutical Ingredients, Excipients, packaging or other materials utilized in Manufacturing.
Acquisition Cost. For each Property listed on Exhibit B, the out-of-pocket cost paid by PECO-ARC or an Affiliate thereof to third parties in acquiring the Property. Acquisition Cost shall not include any fees paid to Affiliates of PECO-ARC.

The cost of inventory acquired by the Buyer will be reduced by $100,000.00 in aggregate which reflects the estimated value of cooperative advertising credits, volume, and vendor rebates and anticipatory discounts which are not reflected as a reduction in the cost of the inventory on this Schedule.
