Acquired Company Claims. The Buyer shall RELEASE, INDEMNIFY AND HOLD HARMLESS the Seller Indemnitees from and against the entirety of any Adverse Consequences that are suffered by the Seller Indemnitees for claims by the Acquired Companies against the Seller and its Affiliates attributable to the period prior to the Closing, except for claims arising out of this Agreement or any Transaction Agreement, and claims with respect to any intercompany arrangements that will not be terminated as of the Closing in accordance with Section 5(h).
