Double Claims Clause Samples

Double Claims. The Purchaser shall not be entitled to recover from the Sellers under this Agreement more than once in respect of the same losses suffered.

Double Claims. The Purchaser shall not be entitled to be indemnified more than once for the same Loss.

Double Claims. NewCo shall not be entitled to recover from the Warrantors under this Agreement more than once in respect of the same Losses suffered.

Double Claims. If the same event, matter or circumstances can give rise to a Claim under several Seller’s Warranties, the Purchaser will only be indemnified once. However, the Purchaser has the option, in its absolute discretion, to choose the grounds upon which it is to base its Claim.

Double Claims. No Indemnified Person shall be entitled to recover from any Indemnifying Person under this Article VIII or under any Transaction Document more than once in respect of the same Loss (notwithstanding that such Loss may result from breaches of multiple provisions of this Agreement).

Double Claims. If the same fact, subject matter, event or circumstance gives rise to more than one claim for breach of any Warranties, a claim under the Tax Covenant or to a claim under this Agreement, the Warranty Deed, or any other Transaction Document, the Buyer shall not be entitled to recover more than once in respect of such fact, subject matter, event or circumstance.

Double Claims. No member of the Purchaser’s Group shall be entitled to recover from any member of the Seller’s Group under any Transaction Document more than once in respect of the same Loss suffered.

Double Claims. The Purchaser shall not be entitled to recover from the Business Sellers under any Transaction Document more than once in respect of the same Losses suffered and the Business Sellers shall not be entitled to recover from the Purchaser under any Transaction Document more than once in respect of the same Losses suffered.

Double Claims. No Indemnifying Party shall be required to compensate any Indemnified Party more than once (whether under this Agreement or any other Transaction Document) in respect of the same Loss. For the avoidance of doubt and to avoid double recovery, if Tencent has exercised its right of redemption and received the Redemption Price (as defined under the Articles) with respect to any breach by any Group Company of any of the Transaction Documents pursuant to Article 46 through Article 50 of the Articles, the Indemnified Parties shall not be entitled to make any claim or recover any any losses, claims, damages, judgments, fines, obligations, expenses and Liabilities of any kind or nature whatsoever hereunder and under other Transaction Documents for the same breach.
