Common use of Acknowledgement of Transfer of REMIC III Assets; Authentication of Certificates Clause in Contracts

Acknowledgement of Transfer of REMIC III Assets; Authentication of Certificates. The Trustee hereby acknowledges and accepts on behalf of the Trust the assignment to the Trust of the REMIC III Assets and declares that as of the Closing Date it holds and shall hold any documents constituting a part of the REMIC III Assets, and the REMIC III Assets, as Trustee in trust, upon the trust herein set forth, for the use and benefit of all present and future Holders of the Certificates (other than the Class 2-A-3, Class 4-CB-3, Class PPP and Class R Certificates), the Class 2-A-3-M and Class 4-CB-3-M Regular Interests and the Class R-3 Residual Interest. In connection therewith, as of the Closing Date, in exchange for the REMIC III Assets, the Trust does hereby issue to the Company the Class 2-A-3-M and Class 4-CB-3-M Regular Interests the Trustee on behalf of the Trust shall cause to be authenticated and delivered, upon and pursuant to the order of the Company, the Certificates (other than the Class PPP, Class 2-A-3 and Class 4-CB-3 Certificates) in Authorized Denominations.

In connection therewith, as of the Closing Date, in exchange for the REMIC III Assets, the Trust does hereby issue to the Company the Class 2-A-3-M, Class 4-A-2-M and Class 45-CB-3A-6-M Regular Interests the Trustee on behalf of the Trust shall cause to be authenticated and delivered, upon and pursuant to the order of the Company, the Certificates (other than the Class PPP, Class 2-A-3 and A-3, Class 4-CB-3 A-2 and Class 5-A-6 Certificates) in Authorized Denominations.
