Common use of Accuracy Clause in Contracts

Accuracy. No representation, warranty, covenant or statement by the Seller in this Agreement, the Schedules attached hereto and the certificates or other documents furnished or to be furnished to the Buyer pursuant hereto, contains or will contain any untrue statement of a material fact, or omits or will omit to state a material fact required to be stated herein or therein or necessary to make the statements contained herein or therein, in light of the circumstances under which they were made, not false or materially misleading.

Accuracy. No representation, warranty, covenant or statement by the Seller -------- Buyer in this Agreement, including the Schedules and Exhibits attached hereto and the certificates or other documents furnished or to be furnished to the Buyer Sellers pursuant hereto, contains or will contain any untrue statement of a material fact, or omits or will omit to state a material fact required to be stated herein or therein or necessary to make the statements contained herein or therein, therein in light of the circumstances under which they were made, not false or materially misleading.

No representation, warranty, covenant or statement by the Seller Buyer in this Agreement, including the Schedules and Exhibits attached hereto and the certificates or other documents furnished or to be furnished to the Buyer Sellers pursuant hereto, contains or will contain any untrue statement of a material fact, or omits or will omit to state a material fact required to be stated herein or therein or necessary to make the statements contained herein or therein, therein in light of the circumstances under which they were made, not false or materially misleading.

No representation, warranty, covenant or statement by the Seller Buyer or Guarantor in this Agreement, including the Schedules and Exhibits attached hereto and the certificates or other documents furnished or to be furnished to the Buyer Stockholder pursuant hereto, contains or will contain any untrue statement of a material fact, or omits or will omit to state a material fact required to be stated herein or therein or necessary to make the statements contained herein or therein, therein in light of the circumstances under which they were made, not false or materially misleading.

No representation, warranty, covenant or statement by the Seller -------- Buyer or ABT in this Agreement, any Exhibit attached hereto, the Schedules attached hereto and the certificates or other documents furnished or to be furnished to the Buyer Sellers pursuant heretohereto (including the Schedules, if any, provided for in this Section 8 and Exhibits thereto), contains or will contain any untrue statement of a material fact, or omits or will omit to state a material fact required to be stated herein or therein or necessary to make the statements contained herein or therein, in light of the circumstances under which they were made, not false or materially misleading.

No representation, warrantystatement, covenant certificate, schedule or statement information made or furnished by the Seller Sellers to Purchaser or any of Purchaser's representatives, including those contained in this Agreement, Agreement and the various Exhibits and Schedules attached hereto and the certificates or other documents furnished or to be furnished to the Buyer pursuant hereto, in connection with the transactions contemplated by this Agreement contains or will contain any untrue statement of a material fact, or omits or will omit to state a material fact required to be stated herein or therein or necessary to make the statements contained herein or therein, therein in light of the circumstances under which they were made, not false or materially misleading.

No representation, warranty, covenant or statement by the Seller in this Agreement, the Schedules attached hereto and or the certificates or other documents furnished or to be furnished to the Buyer Purchaser pursuant hereto, contains or will contain any untrue statement of a material fact, or omits or will omit to state a material fact required to be stated herein or therein or necessary to make the statements contained herein or therein, therein in light of the circumstances under which they were made, not false or materially misleading.
