Accuracy of Representations and Warranties of the Seller Parties. The representations and warranties of each of the Seller and AGL contained in this Agreement shall be true and correct in all material respects as of the Closing, as though made on and as of the Closing, and the Purchaser shall have received a certificate from each of the Seller and AGL to that effect, signed by a duly authorized officer of the Seller and AGL, as the case may be.

Accuracy of Representations and Warranties of the Seller Parties. Each of the representations and warranties of the Seller Parties contained in this Agreement and the other Transaction Documents (which representations and warranties shall be deemed for purposes of this Section 7.3(a) not to include any qualification or limitation with respect to materiality, whether by reference toSeller Material Adverse Effect” or otherwise) shall be true and correct as of the Closing Date with the same effect as though those representations and warranties had been made on and as of the Closing Date (except to the extent that any such representation or warranty is made as of a specified date, in which case such representation or warranty shall be true and correct as of such date) except where the matters in respect of which such representations and warranties are not true and correct, in the aggregate, have not had or resulted in and would not reasonably be expected to have or result in a Seller Material Adverse Effect, and Purchaser shall have received a certificate signed by an authorized officer of each Seller Party to such effect.
