Access Rights to Software which is Results shall comprise: Access to the Object Code; and, where normal use of such an Object Code requires an Application Programming Interface (hereafter API), Access to the Object Code and such an API; and, if a Party can show that the execution of its tasks under the Project or the Exploitation of its own Results is technically or legally impossible without Access to the Source Code, Access to the Source Code to the extent necessary. Background shall only be provided in Object Code unless otherwise agreed between the Parties concerned.

Access to Software. 7.1 Customer will provide Philips with a wideband DSL or cable line for use with Philips InfoView Software for each Customer Facility, at Customer’s sole expense.

The Supplier reserves the right to access the Customer Data at any time during the Term to review the Customer’s compliance with clause 3.1. Should such audit reveal the Customer has permitted Authorised Users to access the Services in excess of the number of User Subscriptions purchased, the Customer shall forthwith on demand pay to the Supplier all applicable additional User Subscriptions. The Customer shall be entitled to allow the Customer Clients to access the Services for the sole purpose of utilising the Customer Client Services as provided for in the Specification for the Software. The Customer agrees it shall not grant the Customer Clients Authorised User access to the Software unless this is agreed in advance by the Supplier. The Customer shall use all reasonable endeavours to prevent any unauthorised access to, or use of, the Services and, in the event of any such unauthorised access or use, shall promptly notify the Supplier and shall give the Supplier all assistance that it reasonably requires to prevent such unauthorised access. The rights granted pursuant to this Agreement are granted to the Customer only and, unless otherwise agreed by the parties in writing, shall not be considered granted to any subsidiary or holding company of the Customer. During the Term the Customer may, if the Supplier consents, purchase additional User Subscriptions in excess of the number set out in Schedule 2 for such persons as the Customer shall nominate. Such persons shall thereafter be treated as Authorised Users for the purposes of this Agreement, subject to the Customer paying to the Supplier the appropriate User Subscription Fees as pro-rated for the remaining portion of the Initial Term or the...
Access to Software. Customer shall ensure that only Customer employees and Customer independent contractors who need access to the Software for Customer to obtain the benefits of this Agreement may access it. Customer is liable for ensuring that its employees and independent contractors abide by the terms of this Agreement.
