Common use of Access to List of Certificateholders Clause in Contracts

Access to List of Certificateholders. Names and ----------------------------------------------- Addresses. --------- If three or more Certificateholders and/or Certificate Owners (a) request such information in writing from the Trustee, (b) state that such Certificateholders and/or Certificate Owners desire to communicate with other Certificateholders and/or Certificate Owners with respect to their rights under this Agreement or under the Certificates, and (c) provide a copy of the communication which such Certificateholders and/or Certificate Owners propose to transmit, or if the Depositor or Master Servicer shall request such information in writing from the Trustee, then the Trustee shall, within ten Business Days after the receipt of such request, (x) provide the Depositor, the Master Servicer or such Certificateholders and/or Certificate Owners at such recipients' expense the most recent list of the Certificateholders of such Trust Fund held by the Trustee, if any, and (y) assist the Depositor, the Master Servicer or such Certificateholders and/or Certificate Owners at such recipients' expense with obtaining from the Depository a list of the related Depository Participants acting on behalf of Certificate Owners of Book Entry Certificates. The Depositor and every Certificateholder and Certificate Owner, by receiving and holding a Certificate or beneficial interest therein, agree that the Trustee shall not be held accountable by reason of the disclosure of any such information as to the list of the Certificateholders and/or Depository Participants hereunder, regardless of the source from which such information was derived.

Names and ----------------------------------------------- Addresses. --------- --------- (a) If three or more Certificateholders and/or Certificate Owners (ai) request such information in writing from the TrusteeTrustee a list of the names and addresses of Certificateholders, (bii) state that such Certificateholders and/or Certificate Owners desire to communicate with other Certificateholders and/or Certificate Owners with respect to their rights under this Agreement or under the Certificates, Certificates and (ciii) provide a copy of the communication which such Certificateholders and/or Certificate Owners propose to transmit, or if the Depositor or Master Servicer shall request such information in writing from the Trustee, then the Trustee shall, within ten Business Days after the receipt of such request, (x) provide the Depositor, the Master Servicer or afford such Certificateholders and/or Certificate Owners at such recipients' expense the most recent access during normal business hours to a current list of the Certificateholders. The expense of providing any such information requested by a Certificateholder shall be borne by the Certificateholders of requesting such Trust Fund held information and shall not be borne by the Trustee, if any, and (y) assist the Depositor, the Master Servicer or such Certificateholders and/or Certificate Owners at such recipients' expense with obtaining from the Depository a list of the related Depository Participants acting on behalf of Certificate Owners of Book Entry Certificates. The Depositor and every Certificateholder and Certificate OwnerEvery Certificateholder, by receiving and holding a Certificate or beneficial interest thereinCertificate, agree agrees that the Trustee shall not be held accountable by reason of the disclosure of any such information as to the list of the Certificateholders and/or Depository Participants hereunder, regardless of the source from which such information was derived. (b) The Servicer, so long as it is the master servicer hereunder, shall have unlimited access to a list of the names and addresses of the Certificateholders which list shall be provided by the Trustee promptly upon the request of the Servicer.

The Eligible Lender Trustee shall furnish or cause to be furnished --------- to the Depositor, within 15 days after receipt by the Eligible Lender Trustee of a request therefor from the Depositor in writing, a list, in such form as the Depositor may reasonably require, of the names and addresses of the Certificateholders as of the most recent Record Date. If three or more Certificateholders and/or or one or more Certificateholders evidencing not less than 25% of the Certificate Owners (a) request such information Balance apply in writing from to the Eligible Lender Trustee, (b) state and such application states that such Certificateholders and/or Certificate Owners the applicants desire to communicate with other Certificateholders and/or Certificate Owners with respect to their rights under this Agreement or under the Certificates, Trust Certificates and (c) provide such application is accompanied by a copy of the communication which that such Certificateholders and/or Certificate Owners applicants propose to transmit, or if the Depositor or Master Servicer shall request such information in writing from the Trustee, then the Eligible Lender Trustee shall, within ten five Business Days after the receipt of such requestapplication, (x) provide afford such applicants access during normal business hours to the Depositorcurrent list of Certificateholders. Upon receipt of any such application, the Master Servicer or Eligible Lender Trustee will promptly notify the Depositor by providing a copy of such Certificateholders and/or Certificate Owners at such recipients' expense application and a copy of the most recent list of the Certificateholders of such Trust Fund held by the Trustee, if any, and (y) assist the Depositor, the Master Servicer or such Certificateholders and/or Certificate Owners at such recipients' expense with obtaining from the Depository a list of the related Depository Participants acting on behalf of Certificate Owners of Book Entry Certificatesproduced in response thereto. The Depositor and every Certificateholder and Certificate OwnerEach Certificateholder, by receiving and holding a Trust Certificate, shall be deemed to have agreed not to hold any of the Depositor, the Certificate Registrar or beneficial interest therein, agree that the Eligible Lender Trustee shall not be held accountable by reason of the disclosure of any such information as to the list of the Certificateholders and/or Depository Participants hereunderits name and address, regardless of the source from which such information was derived.
