Absolute Defense Sample Clauses

An Absolute Defense clause establishes a complete legal shield for a party against certain claims or liabilities. In practice, this means that if the conditions specified in the clause are met—such as proving truth in a defamation case or showing compliance with contractual obligations—the party cannot be held liable for the alleged wrongdoing. This clause is crucial because it provides certainty and finality, ensuring that once the defense is established, the matter is conclusively resolved in favor of the defending party, thereby reducing litigation risk and potential exposure.
