Common use of Absence of Certain Litigation Clause in Contracts

Absence of Certain Litigation. There shall not be any injunction, restraining order or order of any nature issued by any court of competent jurisdiction which directs that this Agreement or any material transaction contemplated hereby shall not be consummated as herein provided, or suit, action or other proceeding which in the reasonable opinion of counsel for Xx. Xxxxxxx is likely to result in the restraint or prohibition of the consummation of any material transaction contemplated hereby.
