ABL Documents Clause Samples

ABL Documents. Within five (5) Business Days after the effective date thereof, a copy of each material amendment or modification to or waiver of a default under the ABL Documents. Each notice pursuant to this Section shall be accompanied, where applicable, by a statement of a Responsible Officer of the Borrower setting forth details of the occurrence referred to therein and stating what action the Borrower has taken or proposes to take with respect thereto. Each notice pursuant to Section 5.07(a) shall describe with particularity any and all provisions of this Agreement and any other Loan Document that have been breached. Documents required to be delivered pursuant to this Section 5.07 shall be posted by the Administrative Agent on IntraLinks/IntraAgency or another relevant website to which each Lender and the Administrative Agent have access (whether a commercial, third-party website or whether sponsored by the Administrative Agent), and the Administrative Agent shall promptly notify each Lender of such posting.

ABL Documents. As of the Closing Date, the Loan Parties have delivered to Agent and Lenders a complete and correct copy of the ABL Documents (including all schedules, exhibits, amendments, supplements, modifications, assignments and all other documents delivered pursuant thereto or in connection therewith, but excluding the fee letter entered into by the ABL Agent in connection with the ABL Documents). All Obligations constitute Indebtedness entitled to the benefits of the lien subordination and other intercreditor provisions contained in the Intercreditor Agreement.

ABL Documents. The Administrative Agent shall have received copies of the ABL Documents, as amended and in effect on the Closing Date.

ABL Documents. Grain Handler Operating Agreement, dated December 1, 2013, between Borrower and Green Plains Grain Company LLC, a Delaware limited liability company.

ABL Documents. As of the Closing Date, the Note Parties have delivered to Trustee and Collateral Agent and Holders a complete and correct copy of the ABL Documents (including all schedules, exhibits, amendments, supplements, modifications, assignments and all other documents delivered pursuant thereto or in connection therewith, but excluding the fee letter entered into by the ABL Agent in connection with the ABL Documents). All Obligations constitute Indebtedness entitled to the benefits of the provisions contained in the Intercreditor Agreement.

ABL Documents. All amendments or modifications to the ABL Loan Documents, together with a copy of each such amendment or modification.

ABL Documents. The Administrative Agent and the Lenders shall have received (i) copies of the final duly executed documentation with respect to the refinancing of the ABL Credit Agreement (along with all exhibits and schedules and related documents entered into in connection therewith) with Apollo Investment Corporation and (ii) written confirmation by the Borrower, satisfactory to the Administrative Agent and the Lenders, that the $30,000,000 in additional availability under the ABL Credit Agreement shall be available to the Borrower as of the Second Amendment Effective Date.

ABL Documents. The ABL Credit Agreement and the documents related thereto shall be in a form and substance reasonably satisfactory to the Administrative Agent.
