Common use of Abeyance Clause in Contracts

Abeyance. To the extent that the Warrantholder’s right to participate in any such distributions of shares of Common Stock or derivatives related thereto due to the adjustments in this Section 12 would result in the Warrantholder and the other Attribution Parties’ beneficial ownership exceeding the Beneficial Ownership Limitation, then the Warrantholder shall not be entitled to participate in such adjustment to such extent (and shall not be entitled to beneficial ownership of such Common Shares as a result of such adjustment to such extent) and the portion of such adjustment shall be held in abeyance for the benefit of the Warrantholder until such time or times as its right thereto would not result in the Warrantholder and the other Attribution Parties exceeding the Beneficial Ownership Limitation, at which time or times the Warrantholder shall be granted such adjustment (and any distributions declared or made on such initial distribution or on any subsequent distribution held similarly in abeyance) to the same extent as if there had been no such limitation.
