8Withholding Sample Clauses

The 'Withholding' clause establishes the right or obligation of one party to withhold payments or other benefits under certain circumstances. Typically, this clause applies when the other party has failed to meet contractual obligations, such as delivering goods or services as agreed, or when there are outstanding disputes or claims. By allowing a party to suspend payments or performance, the clause serves to protect against potential losses and incentivizes compliance with the contract's terms.
8Withholding. The Partnership Group shall be entitled to deduct and withhold from the Purchase Price such amounts as the Partnership Group is required to deduct and withhold under the Code, or any Tax law, with respect to the making of such payment. To the extent that amounts are so withheld, such withheld amounts shall be treated for all purposes of this Agreement as having been paid to Sellers.
8Withholding. Notwithstanding anything to the contrary herein, Buyer and its Affiliates shall be entitled to deduct and withhold from any amounts payable pursuant to this Agreement such United States Taxes as any of them are required to deduct or withhold under the Code or Treasury Regulations with respect to the making of such payment. To the extent that any amounts are so deducted and withheld and properly remitted to the applicable Governmental Entity, such deducted and withheld amounts shall be treated for all purposes of this Agreement as having been paid to the applicable Person in respect of which such deduction and withholding was made.
8Withholding. Notwithstanding anything to the contrary in Article II, if agreed upon by the Sellers, the Buyer or the Company (as appropriate), shall be permitted to deduct and withhold any amounts from the Purchase Price (or any portion thereof) as are required to be deducted and withheld with respect to the making of such payment under the Code, or any provision of state, local or foreign Tax law (including the employer portion thereof, if applicable) as reasonably determined by the Buyer. Any amounts so deducted or withheld shall be treated as if paid to the Party for whom the deduction or withholding was required.
8Withholding. Buyer shall be entitled to deduct and withhold from the Transaction Consideration and any other amounts payable or otherwise deliverable to any Person pursuant to this Agreement such amounts as Buyer is required to deduct or withhold therefrom under the Code, or any other Tax law, with respect to the making of such payment‎; provided that, other than in connection with the failure of a Seller to deliver the form described in Section 1.4(a)(viii), Buyer will, prior to any deduction or withholding, notify the applicable Seller of any anticipated deduction or withholding (including the legal ​ ​ basis therefor) as promptly as practicable and the Parties shall reasonably cooperate to minimize the amount of any applicable deduction or withholding. To the extent that any amounts are deducted or withheld by ▇▇▇▇▇ and are remitted to the ‎appropriate Taxing Authority, such amounts shall be treated for all purposes of this Agreement as having been paid to the Person to whom or to which such amounts would otherwise have been paid by Buyer.
