Efforts to Obtain Approvals and Consents. In addition to DVSO and SOE obtaining the requisite shareholder approval as described in paragraph 1 hereof, DVSO and SOE will use all reasonable and proper efforts to obtain the following: (i) approval or consent of any other governmental authorities having jurisdiction over the transactions contemplated in this Agreement; and (ii) approval or consent of such other persons whose consent is required to the transactions contemplated by this Agreement.
Efforts to Obtain Approvals and Consents. In addition to ESIO and IMET obtaining the requisite shareholder approval as described in paragraph 1 hereof, ESIO and IMET will use all reasonable and proper efforts to obtain, where required, the approval and consent: (i) of any governmental authorities having jurisdiction over the transactions contemplated in this Agreement; and (ii) of such other persons whose consent is required to the transactions contemplated by this Agreement.
Efforts to Obtain Approvals and Consents. In addition to CMC, NVPR, and the Selling Members obtaining the requisite member or shareholder approvals as described in Section 7, CMC, NVPR, and the Selling Members will use all reasonable and proper efforts to obtain, where required, the approval and consent: (i) of any governmental authorities having jurisdiction over the transactions contemplated in this Agreement; and (ii) of such other persons whose consent is required to the transactions contemplated by this Agreement.

Isodiol, Target, and Selling Shareholders will use all commercially reasonable and proper efforts to obtain, where required, the approval and consent: (i) of any governmental authorities having jurisdiction over the transactions contemplated in this Agreement; and (ii) of such other persons whose consent is required to the transactions contemplated by this Agreement.

In addition to Isodiol and Xxxxxxx’x Brand obtaining the requisite shareholder approval as described in Sections 1 and 4 hereof, Isodiol and Xxxxxxx’x Brand will use all reasonable and proper efforts to obtain, where required, the approval and consent: (i) of any governmental authorities having jurisdiction over the transactions contemplated in this Agreement; and (ii) of such other persons whose consent is required to the transactions contemplated by this Agreement.

In addition to UPD and Vital obtaining the requisite shareholder approval as described in Section 6 hereof, UPD and Vital will use all reasonable and proper efforts to obtain, where required, the approval and consent: (i) of any governmental authorities having jurisdiction over the transactions contemplated in this Exchange Agreement; and (ii) of such other persons whose consent is required to the transactions contemplated by this Exchange Agreement.
