Common use of Illegality Clause in Contracts

Illegality. If, in any applicable jurisdiction, it becomes unlawful for KfW to perform any of its obligations as contemplated by this Loan Agreement or to fund or maintain the Loan, upon KfW notifying the Borrower a) the commitment of KfW will be immediately cancelled, and b) the Borrower shall repay the Loan in full on the date specified by KfW in the notice delivered to the Borrower (being no earlier than the last day of any applicable grace period permitted by law). For the avoidance of doubt, any cancellation hereunder will be subject to Article 3.6 (Non-Utilisation Fee) and any repayment of the Loan hereunder constitutes a prepayment and will be subject to the provisions set out in Article 6.4 c) (Prepayment Fee) and d) (Amounts due).

For the avoidance of doubt, any cancellation hereunder will be subject to Article 3.6 2.6 (Non-Utilisation Fee) and any repayment of the Loan hereunder constitutes a prepayment and will be subject to the provisions set out in Article 6.4 5.4 c) (Prepayment Fee) and d) (Amounts due).
