Applicability. 2.1 These General Terms and Conditions apply to and, as such, form part of all agreements service, Assignment agreements, and (supplementary) follow-up Assignments, that pertain to services being rendered by Contractor, its legal successor(s), its managing director(s) and employees, to all ensuing and/or related contracts and/or legal relationships between Client and Contractor, as well as to all offers and quotations made by Contractor. 2.2 The applicability of Client’s general (purchasing) terms and conditions is hereby explicitly rejected. Any stipulations deviating from these General Terms and Conditions shall only apply if and to the extent that Contractor has explicitly confirmed these in writing to Client for the applicable Assignment. 2.3 If any clause, which forms a part of these General Terms and Conditions, is null and void or is annulled, the remainder of the agreement shall remain in force as much as possible. Parties shall consult in order to agree to replace the null and void or voided clause, whereby the purpose and purport of the original or voided clause are observed as closely as possible. 2.4 These General Terms and Conditions have also been stipulated for the benefit of those (legal) persons and their parties who, during the performance of the contract, are directly or indirectly involved in any way (including but not limited to the Contractor's directors and/or employees), and for all those who work for/used to work (including their inheritors) for the Contractor in the context of the performance of the Assignment and/or all (legal) persons for whose actions the Contractor may be liable. Both can invoke these General Terms and Conditions towards Client.
