Section 1. TENDER INVITATION
The Deputy Director In charge, ESI Corporation, Sub Regional Office, Housefed Complex, ▇▇▇▇▇▇▇ Nagar, Eranhipalam PO, Kozhikode, Kerala-673006 invites Re E-tender from the interested and eligible Building owners for hiring of accommodation to establish ESI Dispensary, which should be located on ground floor at following location for the period of 5 years which can be extended on mutual consent for further period.

1.1 Preamble:- (a) Bidders are advised to study the Bid document carefully. Online Submission of bids shall be deemed to have been done after careful study and examination of the bid document with full understanding of its implications. Offers prepared in accordance with the procedures enumerated in Section 2 should be submitted online through Central Public Procurement Portal (CPPP) website: ▇▇▇▇▇://▇▇▇▇▇▇▇▇.▇▇▇.▇▇/▇▇▇▇▇▇▇▇/▇▇▇ not later than the date and time specifiedin the Schedule for Invitation to Bid under Clause 1.2.
Prospective Bidders are advised to follow the instructions provided in the “General Instruction to Bidders” for e-submission of the bids online through CPPP for e-Procurement at ▇▇▇▇▇://▇▇▇▇▇▇▇▇.▇▇▇.▇▇/▇▇▇▇▇▇▇▇/▇▇▇ . Bid documents may be scanned with 100 dpi with black and white option which helps in reducing size of the scanned document.
(b) Bids shall be submitted online at CPPP website: ▇▇▇▇▇://▇▇▇▇▇▇▇▇.▇▇▇.▇▇/▇▇▇▇▇▇▇▇/▇▇▇.
All bidders who submit the bids online have to submit the offline bids invariably, in the same manner as being submitted in the online system. The main envelope (containing 02 envelopes inside) shall be addressed to The Deputy Director-in- Charge, Sub Regional Office, ESI Corporation, Housefed Complex, ▇▇▇▇▇▇▇ Nagar, Eranhipalam PO, Kozhikode, Kerala-673006, and super-scribed on the top with “BID FOR HIRING OF PREMISES FOR ESI DISPENSARY CHONADAM, KANNUR “ on or before 05.09.2022 (03:00 PM).
Note:- ESIC shall not be responsible for non-receipt/non-delivery of bid documents due to any reason whatsoever.
(c) Bidder who has downloaded the tender documents from Central Public Procurement Portal (CPPP) website ▇▇▇▇▇://▇▇▇▇▇▇▇▇.▇▇▇.▇▇/▇▇▇▇▇▇▇▇/▇▇▇, shall not tamper/modify the tender form including downloaded price bid template, if any, in any manner. In case if the same is found to be tampered/modified in any manner, tender will be completely rejected and EMD, if any, would be forfeited and bidder is liable to be banned from doing business with ESIC.
(d) Prospective bidders are advised to visit CPPP website ▇▇▇▇▇://▇▇▇▇▇▇▇▇.▇▇▇.▇▇/▇▇▇▇▇▇▇▇/▇▇▇ at least 3 days prior to closing date of submission of tender for any corrigendum / addendum/ amendment.
1.2 The detailed requirement of the premises have been included in the tender at Section-4 for selection of Bidder for “hiring of premises on monthly rental basis”, having an area about 150 Sq Mtrs (1600 Sq Feet) for accommodating ESI Dispensary”, in the state of Kerala. The prequalification eligibility criteria for the bidders should be fulfilled for consideration of the Financial bid.Schedule for Invitation to Bid:-

Section 2.GENERAL INSTRUCTION TO BIDDERS
2.1 Procedure for Submission of Online Bids on CPP Portal:- The bidders are required to submit soft copies of their bids electronically on the CPP Portal, using valid Digital Signature Certificates. All the pages of the bid being submitted must be signed and sequentially numbered by the Bidder irrespective of nature of content of the documents before uploading. All the files mentioned should be in PDF format. The instructions given below are meant to assist the
bidders in registering on the CPP Portal, prepare their bids in accordance with the requirements and submitting their bids online on the CPP Portal.

2.2 Registration:-
a. Bidders are required to enroll on the e-Procurement module of the Central Public Procurement Portal (url:▇▇▇▇▇://▇▇▇▇▇▇▇▇.▇▇▇.▇▇/▇▇▇▇▇▇▇▇/▇▇▇) by clicking on the link `Online Bidder Enrolment‟. Enrolment on the CPP Portal is free of charge.
b. As part of the enrolment process, the bidders will be required to choose a unique username and assign a password for their accounts.
c. Bidders are advised to register their valid email address and mobile numbers as part of the registration process. This will be used for any communication from the CPP Portal.
d. Upon enrolment, the bidders will be required to register their valid Digital Signature Certificate (DSC) (Class II or Class III Certificates with signing key usage) issued by any Certifying Authority recognized by CCA India with their profile. e. Only one valid DSC should be registered by a bidder. Please note that the bidders are responsible to ensure that they do not lend their DSCs to others, which may lead to misuse.
f. Bidder shall login to the site through secured login by entering their user ID / password and with the DSC/e-Token.
2.3 Searching for tender documents:-
a. There are various search options built in the CPP Portal, to facilitate bidders to search active tenders by several parameters. These parameters could include Tender ID, organization name, location, date, value, etc. There is also an option of advanced search for tenders, wherein the bidders may combine a number of search parameters such as organization name, form of contract, location, date, other keywords etc., to search for a tender published on the CPP Portal.
b. Once the bidders have selected the tenders they are interested in, they may download the required documents / tender schedules. These tenders can be moved to the respective `My Tenders‟ folder. This would enable the CPP Portal to intimate the bidders through SMS / E- mailin case there is any corrigendum issued to the tender document.
c. The bidder should make a note of the unique Tender ID assigned to each tender, in case they want to obtain any clarification / help from the Helpdesk.
2.4 Preparation of bids:-
a. Bidder should take into account any corrigendum published on the tender document before submitting their bids.
b. Bidder should go through the tender advertisement and the tender document carefully to understand the documents required to be submitted as part of the bid. Please note the number of covers in which the bid documents have to be submitted, the number of documents – includingthe names and content of each of the document that need to be submitted. Any deviations from these may lead to rejection of the bid.
c. Bidder, in advance, should get ready the bid documents to be submitted as indicated in the tender document / schedule and generally they can be in .pdf/.xls/.rar/.dwf formats. Bid documents may be scanned with 100 dpi with black and white option.
d. To avoid the time and effort required in uploading the same set of standard documents which are required to be submitted as a part of every bid, a provision of uploading such standard documents (e.g. PAN card copy, annual reports, auditor certificates etc.) has been provided to the bidders. Bidders can use `My Space‟ area available to them to upload such documents. These documents may be directly submitted from the `My Space‟ area while submitting a bid, and need not be uploaded repeatedly. This will lead to a reduction in the time required for bid submission process.
2.5 Submission of bids:-
a. Bidder should login to the site well in advance for bid submission so that he/she uploads the bid in time i.e. on or before the bid submission time. Bidder will be sole responsible for non- submission of bids in due time.
b. The bidder has to digitally sign and upload the required bid documents one by one as indicated in the tender document.
c. The server time (which is displayed on the bidders‟ dashboard) will be considered as the standard time for referencing the deadlines for submission of the bids by the bidders, opening of bids etc. The bidders should follow this time during bid submissions.
d. All the documents being submitted online by the bidders would be encrypted using PKI encryption techniques to ensure the secrecy of the data. The data entered cannot be viewed by unauthorized persons until the time of bid opening. The confidentiality of the bids is maintained using the secured Socket Layer 128 bit encryption technology. Data storage encryption of sensitive fields is done. Any bid document that is uploaded to the server is subjected to symmetric encryption using a system generated symmetric key. Further this key is subjected to asymmetric encryption using buyers/bid opener‟s public keys. Overall, the uploaded tender documents become readable only after the tender opening by the authorized bid openers.
e Upon the successful and timely submission of bids (i.e. after Clicking “Freeze Bid Submission” in the portal), the portal will give a successful bid submission message & a bid summary will be displayed with the bid no. and the date & time of submission of the bid with all other relevant details.
f. The bid summary has to be printed and kept as an acknowledgement of the submission of the bid. This acknowledgement may be used as an entry pass for any bid opening meetings.
2.6 Assistance to bidders
a. Any queries relating to the tender document and the terms and conditions contained therein should be addressed to the Tender Inviting Authority for a tender or the relevant contact person indicated in the tender.
b. Any queries relating to the process of online bid submission or queries relating to CPP Portal in general may be directed to the 24x7 CPP Portal Helpdesk. The contact number for the helpdesk is 0120-4200462.
Section 3.GENERAL TERMS AND CONDITIONS:-
1. The bids can be submitted only as single party and consortium of bidders shall not be entertained.
2. The bidders are required to submit soft copies of their bids electronically on the CPP Portal, using valid Digital Signature Certificates as mentioned in Section-2 before the due date and time. Original instruments / documents related to the bid shall be submitted physically alongwith the offline tender/bid and those submitted after the due date and time will not be considered.
3. Bids should clearly specify the bidder‟s intention as to which Dispensary the building & premises are going to be leased out.
4. Any taxes or statutory levies payable should be shown separately; otherwise quoted price will be treated as all inclusive.
5. Any deviation from ESIC's guidelines shall be clearly indicated in technical bid itself. However, ESIC, Sub Regional Office, Kozhikode reserves all the rights to accept or reject the proposed solution without assigning any reason whatsoever thereof.
6. The technical bids of bidders, qualifying the bidder eligibility criteria shall be considered for further evaluation.
7. ESIC will notify the successful Bidder in writing by letter or by e-mail that its bid has been accepted. The notification of award will be preliminary document for the agreement.
8. Within 7 working days of the receipt of notification of award from ESIC, the successful Bidder shall furnish the order acceptance letter along with other necessary documentary evidences as is desired in a lease agreement. Failure of the successful Bidder to submit the acceptance letter and/or documents shall constitute sufficient grounds for the annulment of the award.
9. If any information provided by the Bidder is found to be inaccurate at any stage of the selection process, ESIC may, at its discretion, disqualify the bidder and no correspondence will be entertained in this regard.
10. The bidder should give in writing the acceptance of Letter of Award of contract within seven working days of receiving the order.
11. The offer prepared by the bidder and all correspondence and documents relating to the bid exchanged by the bidder and the purchaser shall be written in English or local language.
12. Bidder shall quote in Indian Rupees in the Financial Bid Form.
13. Period of validity: The bid shall remain valid for a minimum period of 120 days from the date of opening of the technical bid.
14. Amendment to the Bid Document At any time prior to the last time and date for receipt of bids, ESIC, may, for any reason, at its own initiative, modify the Bid Document by an amendment. The amendment will be notified in the e-Procurement website, which will be binding on all bidders. In order to provide prospective Bidders reasonable time in which to take the amendment into account in preparing their bids, ESIC may, at its discretion, extend the last date for the receipt of Bids.
15. Liability / Accident: The bidder shall indemnify and keep indemnified ESIC against all losses and claims for injuries and damages to any person and/or property and/or project activities whatsoever which may arise out of or in consequence of the lease agreement against all claims, demands, proceedings, damages, costs, changes, expenses whatsoever in respect thereof in relation thereto.
16. The bidder should comply with all Govt. (State & Central) statutory requirements as per law.
17. If any of the above terms is not agreeable to the bidder, it should be specifically mentioned in the bid along with the alternative suggested. ESIC reserves all the rights to accept or reject the suggestion without assigning any reason whatsoever thereof.
18. ESIC reserves the right to accept or reject any bid or cancel tender proceedings without assigning any reason whatsoever.
19. Jurisdiction: The disputes, legal matters, court matters, if any shall be subject to
Kozhikode, Kerala, India jurisdiction only.
20. Force Majeure: ESIC may consider relaxing the requirements, as specified in this document, if and to the extent that, the performance or other failure to perform its obligations under the contract is the result of an Force Majeure. Force Majeure is defined as an event of effect that cannot reasonably be anticipated such as acts of God (like earthquakes, floods, storms etc.), acts of states / state agencies, the direct and indirect consequences of wars (declared or undeclared), hostilities, national emergencies, civil commotion and strikes at successful Bidder‟s premises or any other act beyond control of the bidder.
SECTION 4 : TERMS AND CONDITIONS OF THE TENDER :

THE ONLINE BIDS SHALL BE SUBMITTED AS SPECIFIED UNDER SECTION-2 ON OR BEFORE 05/09/2022 BY3.00 PM.
4.1 Quotation should inter-alia contain the details as follows:
a. The location and address of building/premises.
b. Detailed approved plan of the building as per building by laws of the Municipal Corporation/LocalAuthority, as applicable
c. Facilities and amenities available with the building.
d. The rent offered per sq.ft. (carpet area) basis only. The rent offered should be inclusive of property tax or any other tax required to be paid by the property owners. Electricity Charges to be paid separatelyby ESIC. (Service Tax (now GST) if payable, will be paid extra).
e. There should be sufficient Water supply in the premises.
f. Facilities required to be provided by the owner :-
(i) Built up area mentioned above is in sq.ft. for carpet area. Building should be housed only on ground floor.
(ii) The building should be fit for use of the proposed ESI Dispensary.
(iii) The approach road of premises offered should be sufficiently wide and should be easily accessible.
(iv) The building should have adequate windows & doors and proper ventilation. Assured free parking space be provided/ made available for vehicles.
(v) The premises offered should have sufficient electrical fittings and fixtures such as switches, powerpoints etc.
(vi) Should have proper connectivity by public transport, parking space, toilets, water supply, sewage connection, ventilation, approved electricity connection and installed electricity load.
(vii) The maintenance for Civil, electrical, mechanical, and plumbing including consumable etc. shall beprovided by the owner.
(viii) Owner will also undertake to carry out annual repair and maintenance including white washing /colouring/ painting of the building.
(ix) The building should be in a ready to use condition with facilities like electricity, potable water andsewage disposal etc.
(x) The Building should have Gents / Ladies toilets for Staff & Visitors separately and proper waitingspace.
(xi) The Landlord should do any civil alteration if required, arrangement of rooms/counters/toilets etc., before possession of the building within 30 days from the date of receipt of the communication for the same from ESIC. The same should be done with minor electrical works also. All the expenditure incurred in additional/ alteration works as proposed by ESIC shall be borne by the Landlord.
(xii) In case of any works not carried out by the owner, ESIC shall carry out the same and deductthe same from the monthly rent payable in the succeeding month.
(xiii) Owner of the building will bear the stamp duty charges to execute rent agreement and registrationof the agreement on equal cost basis.
(xiv) The owner of the building should allow for display of Dispensary Sign Board in the front of the buildingin a prominent place, and also installation of Antenna for network signals on the top of the building as ESIC is a computerized office.
(xv) The owner should provide a separate electrical meter for the let out portion to be occupied by ESIC. Electrical charges for common portion / water pump to be borne by owner. The building should have proper earthing with Neutral to Earth values between 0-

(xvi) Specimen Agreement is attached as Annexure-C.
4.2. The period of lease should be for a minimum of 5 years duration and extendable on mutual consent under agreement. Rent enhancement after expiry of agreement period is subject to mutualconsent of land lord and ESIC as per guidelines of ESIC applicable at that time.
4.3. All entries in tender form should be legible & filled clearly. In case any overwriting/cutting in entries/rates quoted in figures & words in tender form, entries/rate quoted in words will be considered.There should not be any use of white fluid in tender form.
4.4. The Tenderers should ensure that no corrupt file/page is uploaded failing which the tender shallbe out rightly rejected.
4.5. Submission of bids: Proposals should be submitted in two bid system,
a. Those applying online e-tender has to upload Annexure–A, Annexure–B, Annexure–C, Annexure-D and other mandatory documents in the e-tender system (in the PDF format). All the pages of the bid document and Annexures should be signed by the bidder.
b. And also submit their Tender offer in the drop box available at ESIC Sub Regional Office, Kozhikode.
c. Last date to upload through e-tender / submit in drop box : 05 / 0 9 / 2022 BY 3.00 PM.
Important Instructions for submitting the hard copy of E-Tender document
Bidders should submit their bid/tender document duly signed and stamped as per two bid systems i.e, Technical bid (Signed bid documents, Annexure A, Annexure B and Annexure C) and Financial bid ( Annexure D) separately in two different sealed envelopes. These envelopes shall be super-scribed “Technical Bid” and “Financial Bid” and put inside a bigger sealed envelope which shall be super-scribed with the words “BID FOR HIRING OF PREMISES FOR ESI DISPENSARY AT CHONADAM, KANNUR
“ and addressed to The Deputy Director-in- Charge, Sub Regional Office, ESI Corporation, Housefed Complex, ▇▇▇▇▇▇▇ Nagar, Eranhipalam PO, Kozhikode, Kerala-673006. If any bidder wishes to offer buildings for more than one dispensary/branch office, separate bids shall be submitted for each dispensary.
4.6. Actual rent shall be decided based on measurement jointly by ESIC and owner.
4.7. Deputy Director in Charge, ESIC Sub Regional Office, Kozhikode reserves the right to reject any or all bids without assigningany reason thereof at any stage.
Section 5: BID EVALUATION CRITERIA:-
Bids (online and offline) will be opened at the date and time as mentioned at Section 1 in the presence of bidder‟s representative, if available.
During the bid opening, ESIC will verify whether the documents are complete, the documents have been properly signed; supporting documents attached and the bids are generally in order. Detailed evaluation of technical bids (including bidder eligibility criteria) will be carried out by a Committee, duly constituted by the Competent Authority of ESIC.
Any falsification, suppression of facts would lead to rejection of the bid.
The financial bid(s) of technically qualified bidders shall only be opened. However, the bidder can authorise their representative(one) for witnessing the opening of financial bid.
Evaluation of bids will be done according to following weightage.
a. Rent demanded (including taxes) : 30%
b. Accessibility & suitability : 40%
c. IP Population of the Area : 30%
No inquiry shall be made by the bidder(s) during the course of evaluation of the tender, after opening of financial bid, till final decision is conveyed to the successful bidder.

6.1 About ESIC – Employees‟‟ State Insurance Corporation is a statutory body constituted under Section-3 of the ESI Act 1948.
6.2 Purpose – An Act to provide for certain benefits to employees in case of sickness, maternity and „employment injury ‟ and to make provision for certain other matters in relation thereto.
6.3. About hiring of premises – To hire suitable premises for delivery of medical care under the ESI Scheme to the Beneficiaries.

नवीनीकयण/फढाने से ऩहरे ददमा जाना है।. It is also agreed that on expiry of the contract, ESI Corporation on mutual agreement shall have the option to renew the lease for further period and the rent may be increased subject to condition that the building is properly maintained by
the land lord and certificate by the competent authority in this regard is to be given before
renewing/enhancing the rent.
4. मह ऩादटामों द्वाया औय उनके फीच सहभनत है कक नगयऩाशरका कय (सऩजतत कय, जर ननकासी कय, आदद) का
बगतान राइससकताा द्वाया ककमा जाएगा। It is agreed by and between the parties that the
municipal taxes (Property Tax, drainage tax, etc.,) will be paid by the Licensor.

ऩय, अगरे कै रेंडय भाह के 10 वें ददन मा उससे ऩहरे मा राइससकताा द्वाया ककयामे के बफर की प्राज्त के 10 ददनों के
बीतय, जो बी फाद भें हो, का बगतान कयगा।.े It is agreed that the Licensee will pay the monthly rental
compensation which is payable on calendar monthly basis, on or before the 10th day of the succeeding calendar month or within 10 days after receipt of the rental bill by the Licensor whichever is later.

8. राइससधायी द्वाया मह सहभनत दी जाती है कक वे उक्त ऩरयसय को अच्छी औय उधचत जस्त्थनत भें यखेंगे औय
इसका उऩमोग के वर ईएसआईसी औषधारम के उद्देश्म के शरए ककमा जाएगा। It is agreed by the Licensee
that they will keep the said premises in good and proper condition and the same will be used for ESIC Dispensary purpose only.
9. मह सहभनत है कक अनऻ

गनतववधधमों को ही अजाभ देगा। It is agreed
that the Licensee will carry out only lawful activities in the said premises.
10. मह सहभनत है कक राइससकताा उक्त ऩरयसय भें ननम्पनशरखखत के शरए ऩरयवधना

अनभनत देगा/ . It is agreed that the Licensor will permit to carry out additions & alterations in the
said premises for-

(b) Additional Plumbing work

11. मह सहभनत है कक अनुऻज्तधायी उक्त ऩरयसय को ककसी तीसये ऩऺ को नहीं देगा/उऩ ऩट्टे ऩय नहीं देगा। It is agreed that the Licensee will not let/sublet the said premises to any third party.
12. मह सहभनत है कक राइससधायी को सीवयेज भें औय उसके भाध्मभ से भुक्त भागा औय फहते ऩानी का अधधकाय होगा। मह बी सहभनत है कक राइससकताा राइससधायी को औय शौचारमों/डफल्म.ू सी. भें बी ऩानी की ऩमाा्त आऩनू त
कयेगा। उक्त ऩरयसय से संरग्न है। It is agreed that the Licensee shall have the right to free passage
and running water in and through the sewerage. It is also agreed that the Licensor shall provide adequate supply of water to the Licensee and also in the toilets/W.C. attached to the said premises.
13. मह सहभनत है कक राइससधायी को उक्त ऩरयसय से संफंधधत प्रकाश, वामु औय अन्म सुखबोग का अधधकाय होगा। It is agreed that the Licensee shall have the right of light, air and other easement right belonging to the said premises.
14. ऩादटामों द्वाया औय उनके फीच मह सहभनत है कक (राइससकताा) उक्त ऩरयसय के संफंध भें स्त्टाम्पऩ शुल्क औय
ऩंजीकयण शुल्क, मदद कोई हो, वहन कयेगा। It is agreed by and between the parties that (Licensor) shall bear the stamp Duty and Registration charges, if any, in respect of the said premises.
15. मह सहभनत है कक उक्त ऩरयसय के उऩमोग, व्मवसाम औय आनद
की अनभ

and enjoyment of the said premises to be allowed as hereinafter stated, will not tantamount to a tenancy or sub - tenancy and will not create tenancy or other similar right or interest in favour of the Licensee.
16. मह सहभनत है कक राइससधायी औय मा उसके कभचायी औय कभचायी, आदद अऩने जोखखभ ऩय ऩरयसय का उऩमोग कयेंगे औय राइससकताा ककसी बी सऩजतत की चोयी, ▇▇▇▇ ऺनत, ववनाश आदद के शरए जजम्पभेदाय मा उततयदामी नहीं होगा। राइससधायी मा ककसी अन्म व्मजक्त को उक्त ऩरयसय भें मा उक्त बवन भें मा ककसी को
होने वारी ककसी बी शायीरयक चोट के शरए, जो बी इस तयह के नकसान मा चोट का कायण हो सकता ह।ै It is
agreed that the Licensee and or its employees and the staff, etc. shall use the premises at their own risk and the Licensor shall not be responsible or liable for any theft, loss damage, destruction etc. of any property of the Licensee or to any other person in the said premises or
in the said building or for any bodily injury caused to anyone, whatsoever may be the cause of such loss damage or injury.

है। It is agreed that this Agreement shall never be construed as Tenancy Agreement or
lease nor otherwise creating any other right interest whatsoever in the said premises in favour of the Licensee which is not at all the intention of the parties, but on the contrary merely a bare License/arrangement simply to allow the Licensee to use the said premises for the stipulated non-residential purpose and the Licensee shall not be entitled to claim any right, title or interest superior to that of bare License under provisions of any other law for the time being in force.

नोदटस देगा औय तदनुसाय उक्त सभझौता होगा नोदटस की अवधध सभा्त होने ऩय सभा्त ककमा जा सकता है। The Licensor and Licensee hereby covenant with each other that if either of the party of this Agreement desires to terminate this Agreement, then, the desiring party shall give three
months written notice to the party of the other part and accordingly the said Agreement shall
stand terminated on the expiry of the notice period.
19. मह सहभनत हुई है कक राइससकताा उक्त ऩरयसय भें फेचने, स्त्थानांतरयत कयने, धगयवी यखने, धगयवी यखने का हकदाय होगा, फशते कक इस तयह के अंतरयती मा धगयवीदाय मा धगयवी उक्त ऩरयसय का अधधग्रहण औय/मा अधधकाय

transfer, mortgage, pledge their interest in the said premises subject to conditions that such transferee or mortgagee or pledge shall acquire and/or hold the said premises subject to the right of the Licensee to use the Licensed premises during the period of License hereby granted and, on the terms and conditions herein contained.

On expiry or on sooner determination of the License, the Licensee shall remove forth with all its belonging from the said Licensed premises and hand over the peaceful and vacant possession of the said premises to the Licensor.
