• ព្កមុ ហ˜៊ុលព្េបព្់ េងមលូ លធិ ិ៖ សំច្ៅដល់ប៊ុេគលព្េបព្់ េងមូលលិធិជាលីរិប៊ុេគលន្ដលព្រួវទទួល បាលអាជាា បណ្ណ រី ល.ម.ក. ច្ដើមបច្ី ធវើអាជីវកមមដូឆម្គលកំណ្រក់ ៊ុនងេល៊ុព្កឹរយសីរដ ីការេល៊ុវរតឆាប់ សីរដ ីការច្បាះផ្ាយ លិងការជួញដូរមូលបព្រមហាជល លិងព្បកាសសីរដ ីការផ្ដល់អាជាា បណ្ណ លិងការព្េបព្់ េងអាជីវកមមេច្ព្ម្គងវលិ ិច្ោេរមួ ។ | • Fund Management Company: Refers to a fund manager who is a juristic person who is licensed by the SERC to conduct a business as defined in the sub-decree on the implementation of the law on the issuance and trading of public securities and the ▇▇▇▇▇▇ on the licensing and management of collective investment scheme. | |
• ព្កមុ ហ˜៊ុលន្ថរកាព្ទរយសមបរជិត លំ ួស៖ សំច្ៅដល់ព្កុមហ˜៊ុលន្ដលទទួលខ៊ុសព្រូវក៊ុនងការ ព្េបព្េងព្បាក់ ឬព្ទរយសមបរតិជំលួសប៊ុេគលមយួ ឬប៊ុេគលមយួ ព្កុមដនទច្ទៀរ។ | • Trustee: Refers to a company that is responsible for managing money or assets on behalf of one person or another group of individuals. | |
• ព្កមុ ហ˜៊ុលន្ឆកចាយលក់ ទញិ ព្រឡបម់ កវញិ ឬទូទារស់ ង៖ សំច្ៅដល់ព្កុមហ˜៊ុលន្ដលទទួល បាលអាជាា បណ្ណ ឬការេល៊ុញ្ញា ររី ល.ម.ក. ច្ដើមបច្ី ធើវអាជីវកមមន្ឆកចាយលក់ ទិញព្រឡប់មកវញិ ឬទូទារស់ ងដូឆម្គលកំណ្រក់ ៊ុនងេល៊ុព្កឹរយ លិងព្បកាសសីរដ ីការផ្ដល់អាជាា បណ្ណ លិងការ ព្េបព្់ េងអាជីវកមមេច្ព្ម្គងវលិ ិច្ោេរមួ ។ | • Distribution Company: Refers to a company licensed or authorized by SERC to engage in the business of distribution as defined in the sub-decree and ▇▇▇▇▇▇ on the licensing and management of collective investment scheme. | |
• ភ្នន កង្ក់ រន្ឆកចាយលកម់ លូ លធិ ៖ិ សំច្ៅដល់រូបវលតប៊ុេគលន្ដលព្រូវទទួលបាលអាជាា បណ្ណ រី ល.ម.ក. ច្ដើមបផ្ី ដល់ច្សវាលិងច្ធើវសកមមភ្នរក៊ុនងនាមព្កុមហ˜៊ុលន្ឆកចាយលក់ ទិញព្រឡបម់ ក វញិ ឬទូទារស់ ង ដូឆម្គលកំណ្រក់ ៊ុនងេល៊ុព្កឹរយ លិងព្បកាសសីរដ ីការផ្តល់អាជាា បណ្ណ លិងការ ព្េបព្់ េងអាជីវកមមេច្ព្ម្គងវលិ ិច្ោេរមួ ។ | • Fund Selling Representative: Refers to an individual who is licensed by the SERC to provide services and act on behalf of a fund distributor as defined in the sub-decree and proclamation on licensing and business management of collective investment scheme. | |
• ឯកតមលូ លធិ ៖ិ សំច្ៅដល់ឆំន្ណ្កនលផ្លព្បច្ោជលរ៍ បស់េនកកាលកា់ បឯ់ កតមូលលិធិក៊ុនង េច្ព្ម្គងវលិ ិច្ោេរមួ ។ | • Fund Unit: refers to he shareholder interest of the fund holder in collective investment scheme. | |
• បញ្ា ីមលូ លធិ ៖ិ សំច្ៅដល់បញ្ា ីច្្ម ះមូលលិធិនលេច្ព្ម្គងវលិ ិច្ោេរួម ន្ដលព្កុមហ˜៊ុល ន្ឆកចាយលក់ ទិញព្រឡបម់ កវញិ ឬទូទារស់ ង ទទួលបាលសិទិធក៊ុនងការន្ឆកចាយលក់ ទិញព្រឡបម់ កវញិ ឬទូទារស់ ង ច្ដាយម្គលររ័ ម្គ៌ លឆំណារថ្ន់ ន ក់ហាលិភ្យ័ នលមូលលិធិ លីមយួ ៗសព្ម្គបេ់ រិថិជល។ | • List of Funds: Refers to the list of funds of collective investment scheme in which the distributor has the right to subscribe and redeem with information on the risk rating of each funds for the client. | |
• េច្ព្ម្គងវលិ ច្ិ ោេរម៖ សំច្ៅដល់ដល់េច្ព្ម្គងវលិ ិច្ោេន្ដលព្រូវទទួលបាលការេល៊ុញ្ញា ររី ល.ម.ក. លិងម្គលលកខណ្ៈដូឆខាងច្ព្កាម៖ | • Collective Investment Scheme: refers to an investment project that must be approved by the SERC and has characteristics as following: | |
១ | - ការព្បមូលស្ថឆព្់ បាក់ ឬវរ៊ុាម្គលរនមែតមរយៈការច្បាះផ្ាយលកឯ់ កតមូលលិធិ ឬតម រយៈព្បរល័ ធច្េឡិឆព្រូលិក បូករមួ ទាងំ ច្ព្កាដហាវ លឌ់ ីង ឬតមទព្មងច្់ ផ្សងច្ទៀរន្ដលទទួល | 1- Collection of cash or valuables by fund units issued or electronically, including Crowd Funding or other forms authorized by SERC to establish public funds, private funds or real |

២ | - រាល់ស្ថឆព្់ បាក់ ឬវរ៊ុាម្គលរនមែន្ដលព្បមូលបាល ព្រូវបាលយកច្ៅច្ព្បើព្បាស់ លិងចារន្់ ឆង ច្ដាយព្កុមហ៊ុ˜លព្េបព្់ េងមលូ លិធិច្ៅក៊ុនងេច្ព្ម្គងវលិ ិច្ោេរមួ ច្ដើមបបី ច្ងាើរផ្លកនព្មហិរញ្ា វរ៊ុា ឬផ្លកនព្មន្ដលបាលមកជាសិទិធ ឬជាផ្លព្បច្ោជលច្៍ លើព្ទរយសមបរិត សព្ម្គបស់ ម្គជិក ន្ដលម្គលផ្លព្បច្ោជល៍ក៊ុនងេច្ព្ម្គងវលិ ិច្ោេច្នាះ ច្ទាះបីសម្គជិកច្នាះមិលព្េប់ព្េង ច្លើព្បរិបរតិការព្បចានំ ថៃនលេច្ព្ម្គងវលិ ិច្ោេច្នាះកច្៏ ដាយ។ | 2- All cash or valuables collected are used and managed by the fund management company of the collective investment scheme to generate financial returns or profits derived from rights or interests on property for the benifit member, even if they do not control the daily operations of the investment project. |
៣ | - ព្ទរយសមបរតិរបស់េច្ព្ម្គងវលិ ិច្ោេរមួ ព្រូវរកាទ៊ុកច្ដាយព្កុមហ៊ុ˜លន្ថរកាព្ទរយជំលួស ន្ដលច្ធើវព្បរិបរិតការក៊ុនងនាមេច្ព្ម្គងវលិ ិច្ោេរួម។ | 3- The assets of the collective investment scheme are keep by the trustee that operates on behalf of the collective investment scheme. |
៤ | - េច្ព្ម្គងវលិ ិច្ោេរមួ អាឆជាមូលលិធិច្បើក ឬមូលលិធិបិទ។ | 4- Collective investment scheme can be either open fund or closed fund. |
៥ | - េច្ព្ម្គងវលិ ិច្ោេរមួ អាឆព្រូវបាលព្េបព្់ េងក៊ុនងទព្មងជា់ កិឆចសលា ឬជាព្កុមហ៊ុ˜ល។ | 5- Collective investment scheme can be managed in the form of contracts or companies. |
• ព្បរិសិទិធសកល៖ សំច្ៅដល់ប៊ុេគលន្ដលទទួលបលតលូវសិទធិ លិងការរវកឆិ ចទូច្ៅរីប៊ុេគលដនទ។ | • Universal Successor: means who succeeds to the general rights and obligations from another person. | |
• ព្បរសិ ិទច្ិធ ដាយន្ឡក៖ សំច្ៅដល់ប៊ុេគលន្ដលទទួលបលតសិទិធមយួ ឬច្ព្ឆើលជាកំណ្រន្់ ផ្ែក តមមូលច្ហរ៊ុលីមយួ ៗ។ | • Particular Successor: means who succeeds to the limit rights and obligations based on each specific reason. | |

២.១- | ការច្ព្ជសើ ច្រសើ ព្កមុ ហ˜៊ុល | 2.1 Appointment of the Firm |
១ | - េរិថិជលព្រមច្ព្រៀងឱ្យព្កុមហ៊ុ˜លមូលបព្រ ច្េស៊ុីលីដា ម.ក បច្ព្មច្ើ សវាកមមជាភ្នន ក់ង្ករ របស់ខួែល លិងម្គលសិទធិក៊ុនងការច្ធវើសកមមភ្នរន្ដលទាក់ទងលឹងការវលិ ិច្ោេច្លើមូលលិធិ ដូឆជា ការទិញឯកតមូលលិធិ ការច្សើនឱ្យទិញព្រឡប់វញិ លូវឯកតមូលលិធិ ការច្សើនស៊ុំ ផ្លែ ស់បូដរឯកតមូលលិធិជាច្ដើម។ | 1- The Client agrees to appoint ACLEDA Securities Plc. as the client’s agent to provide the services to the client and have the right to carry out activities related to fund investments, such as the purchase of fund units, the redemption of fund units, the request to switch fund units, and so on. |
២ | - េរិថិជលយល់ព្រមច្ព្ជើសច្រសើ ព្កុមហ˜៊ុលមូលបព្រ ច្េស៊ុីលីដា ម.ក ច្ធវើជាភ្នន ក់ង្កររបស់ ខួែលច្ដើមបផ្ី តល់ច្សវាន្ឆកចាយលក់ ទិញព្រឡបម់ កវញិ ឬទូទារស់ ង លិង/ឬ ផ្តល់ច្សវា ព្បឹកាន្ដលទាកទ់ ងលឹងឯកតមូលលិធិ។ | 2- The Client agrees to appoint ACLEDA Securities Plc. as his/her agent to facilitate certain distributor services in relation to Unit Fund and advisory services in relation to Unit Fund. |
៣ | - ព្កុមហ˜៊ុលមូលបព្រ ច្េស៊ុីលីដា ម.ក មិលព្រូវច្ធើវព្បរិបរតិការវលិ ិច្ោេច្លើមូលលិធិ ក៊ុនងេណ្លីេរិថិជលក៊ុនងនាមេរិថិជលក៊ុនងទព្មងជា់ េណ្លីឆ្នាទ ល៊ុសិទិធច្ឡើយ។ | 3- ACLEDA Securities Plc. shall not trading on behalf client account to any transaction of the investment fund in the form of a voluntary account.. |
៤ | - ព្កុមហ˜៊ុលមូលបព្រ ច្េស៊ុីលីដា ម.ក ធានាថ្ន ព្កុមហ˜៊ុលទទួលបាល ការេល៊ុញ្ញា ររី ល.ម.ក. ក៊ុនងការផ្ដល់ច្សវាកមមដល់េរិថិជល។ | 4- ACLEDA Securities Plc. ensures that the company has obtained a authorized from the SERC to provide the Services to the Client. |
២.២- | ការច្ធបើវ ឆ៊ុបច បលកន មរម រ័ ម្គ៌ ល | 2.2 Updating Information |
១ | - ព្កុមហ˜៊ុលមូលបព្រ ច្េស៊ុីលីដា ម.ក ធានាថ្ន ព្កុមហ˜៊ុលមូលបព្រ ច្េស៊ុីលីដា បាលផ្ដល់ ជូលេរិថិជលលូវតរាងនថែច្សវា កនព្មច្ជើងស្ថ លិងលាភ្ការច្ផ្សងៗន្ដលទទួលបាលការ េល៊ុញ្ញា ររី ល.ម.ក. ម៊ុលលឹងេល៊ុញ្ញា រឱ្យេរិថិជលច្ធវើការវលិ ិច្ោេច្លើមូលលិធិ។ ច្ៅច្រល ម្គលការផ្លែ ស់បូដរកនព្មច្ជើងស្ថ នថែច្សវា លិងលាភ្ការច្ផ្សងៗ ព្កុមហ៊ុ˜លមូលបព្រ ច្េស៊ុីលីដា ម.ក ព្រូវជូលដំណ្ឹ ងដល់េរិថិជលជាលាយលកខណ្៍ េកសរ ឬតមមច្ធាបាយ សមព្សបណាមួយេំរីការផ្លែ ស់បូដរច្លះ។ | 1- ACLEDA Securities Plc. ensures that ACLEDA Securities provides clients with a list of fees, commissions and other benefits authorized by SERC before allowing clients to invest in the fund. When there is any change in commissions, fees and other benefits, ACLEDA Securities shall notify in writing or by any other appropriate means of such change to the clients. |
២ | - េរិថិជលយល់ព្រមផ្លត ់ជូលព្កុមហ៊ុ˜លមូលបព្រ ច្េស៊ុីលីដា ម.ក លូវ៖ | 2- Client agrees to provide ACLEDA Securities Plc.: |
- ររ័ ម្គ៌ លសីរដ ីេរតសញ្ញា ណ្រិរព្បាកដរបស់ខួែល។ | - Information of one’s true identity. | |
- រ័រ៌ម្គលសីដរីេរតសញ្ញា ណ្រិរព្បាកដរបស់ប៊ុេគលទទួលបាលការេល៊ុញ្ញា រ ប៊ុេគល ព្េបព្េង លិងប៊ុេគលទទួលបាលផ្លព្បច្ោជល៍ ព្បសិលច្បើម្គល។ | - Information on the true identity of the authorized person, the administrator and the beneficiary, if any. | |
- ច្គាលច្ៅនលការវលិ ិច្ោេរបស់ខួលែ ។ | - The goal of the investment. | |
៣ | - េរិថិជលព្រូវទទួលស្ថគ ល់ថ្ន ព្កុមហ˜៊ុលមូលបព្រ ច្េស៊ុីលីដា ម.ក ផ្តល់ច្សវាកមមជូល េរិថិជលច្ដាយន្ផ្ែកច្លើរ័រ៌ម្គលេរិថិជល។ េរិថិជលយល់ព្រមជូលដំណ្ឹ ងភ្នែ មមក ព្កុមហ˜៊ុលមូលបព្រ ច្េស៊ុីលីដា ម.ក ច្ៅច្រលម្គលការផ្លែ ស់បូតររ័រ៌ម្គលជាស្ថរវលតរបស់ េរិថិជល។ | 3- The Client acknowledges that ACLEDA Securities Plc. shall provide the Services to the Client on the basis of the Client Information. The Client agrees to promptly notify ACLEDA Securities Plc. of any material changes to such Client Information. |
៤ | - ព្កុមហ˜៊ុលមូលបព្រ ច្េស៊ុីលីដា ម.ក ព្រូវផ្តល់ជូលេរិថិជលលូវរបាយការណ្៍ សីរដ ីព្បរិបរិតការ នលការវលិ ិច្ោេច្លើមូលលិធិរបស់េរិថិជលតមការច្សើនស៊ុំរបស់េរិថិជល តមរយៈឯកស្ថរ ជាលាយលកខណ្៍ េកសរ ស្ថរច្េឡិឆព្រូលិក ឬមច្ធាបាយច្េឡិឆព្រូវលិកច្ផ្សងច្ទៀរ ន្ដល ម្គលការយល់ព្រមជាលាយលកខណ្៍ េកសរជាម៊ុលរីេរិថិជល។ | 4- ACLEDA Securities Plc. shall provide client the transaction report on the client’s investment fund at the request of the client through the written document in advance from the client. |
៥ | - ភ្នេីទាងំ រីរព្រមច្ព្រៀងថ្ន ការវលិ ិច្ោេច្លើមូលលិធិព្រូវច្ធវើច្ឡើងេល៊ុច្លាមតមឆាប់ លិង បទបបញ្ា រិធរម្គល។ | 5- Both parties agree that the investment in the fund shall be made in accordance with applicable laws and regulations. |
២.៣- | ការវលិ ិច្ោេច្លើមលូ លធិ ិ | 2.3 Invest in Fund |
១ | - េរិថិជលព្រូវព្បាកដថ្នបាលអាល លិងយល់ឆាស់រីឆាប់ បទបបញ្ា រិត លិងឯកស្ថរពាករ់ ល័ ធ លឹងមូលលិធិនលេច្ព្ម្គងវលិ ិច្ោេរួម ន្ដលព្រូវវលិ ិច្ោេ ព្រមទាំងលកខខណ្ឌ ទូច្ៅនល ការវលិ ិច្ោេច្លើមូលលិធិ ម៊ុលលឹងច្ធវើការវលិ ិច្ោេច្លើមូលលិធិ។ | 1- The Clients acknowledge that have read and understand the laws, regulations and documents related to the investment fund of the collective investment scheme, as well as the general conditions of investing in the fund before investing in the fund. |
២ | - ព្កុមហ˜៊ុលមូលបព្រ ច្េស៊ុីលីដា ម.ក ព្រូវព្បាកដថ្នស្ថឆព្់ បាក់ លិងព្ទរយសមបរតិរបស់ េរិថិជល ន្ដលពាករ់ ល័ ធលឹងការវលិ ិច្ោេច្លើមូលលិធិព្រូវបាលច្ផ្ទរ ឬបញ្ូា លច្ៅេណ្លី ការន្ថរកាច្ដាយព្កុមហ˜៊ុលន្ថរកាព្ទរយសមបរិតជំលួស ន្ដលទទួលបាលអាជាា បណ្ណ រី ល.ម.ក.។ | 2- ACLEDA Securities Plc. shall ensure that the client's cash and assets related to the fund investment are transferred or transferred to the cash account and/or fund assets of the collective investment scheme of the Trustee who obtained approval licensed from SERC. | |

១ - ព្កុមហ៊ុ˜លមូលបព្រ ច្េស៊ុីលីដា ម.ក អាឆផ្លែ កការទទួលបញ្ញា ទិញឯកតមូលលិធិ ការច្សើ ឱ្យទិញព្រឡប់មកវញលូវឯកតមូលលិធិ ការច្សើនស៊ុំផ្លែ ស់បូដរឯកតមូលលិធិរីេរិថិជល
1- ACLEDA Securities Plc. shall reject fund unit orders, fund redepmtion requests, switching fund unit requests from clients with a clear reason as the following cases:
ច្ដាយព្រូវម្គលមូលច្ហរ៊ុឆាស់លាស់ ក៊ុនងករណ្ី ៖
- េរិថិជលបាលលាក់បាងំ ឬផ្តល់ររ័ ម្គ
លមលិ រិរ - The clients hide or provided not true information
- េរិថិជលមលិ េល៊ុវរតតមព្បការណាមយ
នលកិឆចព្រមច្ព្រៀងច្លះ - The clients do not comply with any of the terms of this agreement
- ការដាក់បញ្ញា ទិញឯកតមូលលិធិ ការច្សើនឱ្យទិញព្រឡប់មកវញលូវឯកតមូលលិធ ការច្សើស៊ុំផ្លែ ស់បូតរឯកតមូលលិធិរបស់េរិថិជលមលិ ព្រឹមព្រូវ ឬអាឆច្លើមសឆាប់ ឬ
- ម្គលការរព្មូវរី ល.ម.ក. ។
៣.២- កតត ហាលភ្ិ យ័
១ - េរិថិជលបាលសិកា លិងយល់ដឹងរីការទិញឯកតមូលលិធិ ការច្សើនឱ្យទិញព្រឡបម់ កវញិ លូវឯកតមូលលិធិ ការច្សើនស៊ុំផ្លែ ស់បូដរឯកតមូលលិធិ យលតការ លិងការេល៊ុវរតការទិញឯកត មូលលិធិ ការច្សើឱ្ន យទិញព្រឡប់ មកវញលូវឯកតមូលលិធិ ការច្សើនស៊ុំផ្លែ ស់បូដរឯកតមូលលិធ ការន្ថរកាទ៊ុកស្ថឆ់ព្បាក់របស់មូលលិធិនលេច្ព្ម្គងវលិ ិច្ោេរួម កតត ហាលិភ្័យ លិង រយសលកមមន្ដលជាលទធផ្លបណាដ លមករីការទិញឯកតមូលលិធិ ការច្សើនឱ្យទិញព្រឡប មកវញលូវឯកតមូលលិធិ ការច្សើនស៊ុំផ្លែ ស់បូដរឯកតមូលលិធិ។ េរិថិជលកបាលយល់ដឹងរ
- Placing purchasing fund units order, redemption of fund units request, requesting to switch client's fund units is invalid or can be illegal or
- Required by SERC.
3.2 Risk factors
1- Clients have studied and understood the purchase of fund units, request for redemption of fund units, request for switching fund units, mechanism and implementation of fund unit purchase, request for redemption of fund units, request switching fund units, fund retention of collective investment scheme, risk factors and harms as a result of purchasing fund units, redeem fund units, switching fund units. The client also understood the rights,
obligations and responsibilities of each party in this Agreement.

2- Clients have studied, understood and recognized the risks associated with the purchase of fund units, the request for redemption of fund units, the request for switching of fund units.
៣- ម៊ុលឆ៊ុះហរាច្លខាជាមយេរិថិជល ភ្នន ក់ង្ករន្ឆកចាយលកម់ ូលលិធិន្ដលទាកទ់ ង ជាមយ
េរិថិជលបាលរលយល់រីខឹែមស្ថរនលកិឆចព្រមច្ព្រៀងច្លះដល់េរិថិជល លិងបាលរលយល់លមែរ

3- Before signing with the client, the fund selling representative, who is directly communicate with the client, has explained the contents of this agreement and explained in detail all the ordering methods and any possible risks related to all types of placing order to the clients. The fund selling representative shall provide the Client with information on the Risk Information and shall explain in detail the general risks that may
arise regarding the investment in the fund as set in risk declaration and explain the items

3.3 Force Majeure
ការេល៊ុវរតកិឆចព្រមច្ព្រៀងច្លះ អាឆព្រូវបាលផ្លែ កក៊ុនងករណ្ី ព្បធាលសកតិដូឆជា ទឹកជំលល ខយល់រយ៊ុះ រញ្ួា យដី សស្តង្កគ ម េេីគភ្័យជាច្ដើម។ ព្កុមហ៊ុ˜លមូលបព្រ ច្េស៊ុីលីដា ម.ក ឬ
េរិថិជលព្រូវជូលដំណ្ឹ ងច្ៅភ្នេីម្គខ ងច្ទៀរ ឬច្ៅវញច្ៅមកេំរីករណ្ី ព្បធាលសកិដច្នាះក៊ុនង
រយៈច្រល ៧ (ព្បារំ ីរ) នថៃ េិរចាបរ់ ីនថៃច្កើរម្គលព្បធាលសកិដ។ កិឆចព្រមច្ព្រៀងច្លះលឹងព្រូវ បាលេល៊ុវរតច្ឡើងវញក៊ុនងរយៈច្រល ២០ (នមៃ) នថៃ បនាទ បរ់ ីព្បធាលសកិតច្នាះព្រូវបាលបញ្ច ប់ ឬ រយៈច្រលសមព្សបណាមយន្ដលម្គលការព្រមច្ព្រៀងរវាងេូភ្នេី។
The implementation of this agreement can be suspended in the event of a power outage such as floods, storms, earthquakes, wars, fires and so on. ACLEDA Securities Plc. or the Client must notify the other party or each other of the case of the force majeure within 7 days from the date of the formation of the force majeure. This Agreement shall be renewed within 20 days after the termination of the force majeure or any period of time as agreed between the Parties.

Each party shall immediately notify the other party of any change of address or other contact information.
៣.៥- ការច្ដាះព្ស្ថយការរវា៉ា 3.5 Complaints Solution
១- េរិថិជលអាឆដាក់ពាកយរវា៉ា ជាលាយលកខណ្៍ េកសរមកព្កុមហ៊ុ˜លមូលបព្រ ច្េស៊ុីលីដា ម.ក ក៊ុនងករណ្ី ន្ដលព្កុមហ˜៊ុលមូលបព្រ ច្េស៊ុីលីដា ម.ក មិលេល៊ុវរតតមខឹែមស្ថរនល កិឆចព្រមច្ព្រៀងច្លះ។
២- ព្កុមហ៊ុ˜លមូលបព្រ ច្េស៊ុីលីដា ម.ក ព្រូវរលយល់ លិងទទួលច្ដាះព្ស្ថយការរវា៉ា របស់
េរិថិជល ក៊ុនងរយៈច្រល ៧ (ព្បារំ ីរ) នថៃ នលនថៃច្ធវើការ បនាទ បរ់ ីបាលទទួលពាកយរវា៉ា ។
៣- ព្កុមហ៊ុ˜លមូលបព្រ ច្េស៊ុីលីដា ម.ក ព្រូវន្ណ្នាេំ រិថិជលេំរីលីរិវធិ ីបនាទ ប់ ក៊ុនងករណ្ី ន្ដល
េរិថិជលមលិ ច្រញឆិរលត ឹងការសច្ព្មឆរបស់ព្កុមហ˜៊ុល។
1- Clients may make a complaint in writing to ACLEDA Securities Plc. in case ACLEDA Securities Plc. does not apply to the terms and conditions of this agreement.
2- ACLEDA Securities Plc. shall explain and resolve the client's complaint within 7 working days after receiving the complaint.
3- ACLEDA Securities Plc. shall advise the client on the next procedure in case the client is not satisfied with the decision of the company.
៣.៦- ការរកាការសម្គៃ រ់ 3.6 Confidentiality
ព្កុមហ៊ុ˜លមូលបព្រ ច្េស៊ុីលីដា ម.ក មលិ ព្រូវបង្កា ញររ័ ម្គលសម្គៃ ររ់ បស់េរិថិជល ឬ ររ័ ម្គលសម្គៃ រដ់ នទច្ទៀរពាករ់ ល័ ធលឹងេរិថិជល ន្ដលព្កុមហ៊ុ˜លមូលបព្រ ច្េស៊ុីលីដា ម.ក ទទួលបាលក៊ុនងការផ្តល់ច្សវាកមមព្សបតមកិឆចព្រមច្ព្រៀងច្លះ ច្ៅឱ្យប៊ុេគលណាមយច្ឡើយ ច្លើកន្លងន្រម្គលករណ្ី ណាមយដូឆខាងច្ព្កាម៖
ACLEDA Securities Plc. agrees not to disclose to any person any confidential Client Information, or any other confidential information in relation to the Client that ACLEDA Securities Plc. obtained in carrying out the Services pursuant to this Agreement, provided that ACLEDA Securities Plc. may disclose such confidential information

- ម្គលការរព្មូវច្ដាយឆាប់ លិងបទបបញ្ា រិតពាក់រល័ ធច្ផ្សងច្ទៀរ។ - Otherwise as provided by law and other relevant regulations
៣.៧- ការផ្លែ ស់បូរដ កមស
ិទធិនលព្ទរយសមបរតិរបស់េរថិ ជិ ល 3.7 Changing of Client Assets Ownership
េរិថិជលព្រមច្ព្រៀងថ្ន រាល់សិទិធ លិងការរវកិឆចន្ដលម្គលកំណ្រក់ ៊ុនងកិឆចព្រមច្ព្រៀងច្លះ លឹងព្រូវច្ផ្ទរច្ៅឱ្យព្បរិសិទិធសកល លិងព្បរិសិទិធច្ដាយន្ឡក ក៊ុនងករណ្ី ម្គលការផ្លែ ស់បូដរ កមមសិទិធនលព្ទរយសមបរិតរបស់េរិថិជល ន្ដលម្គលច្ៅក៊ុនងមូលលិធិនលេច្ព្ម្គងវលិ ិច្ោេរមួ ន្ដលច្កើរច្ឡើងច្ដាយព្បរិបរតិនលឆាប់ ការទទួលមរណ្ភ្នររបស់េរិថិជល កស័យធល
េសមរាភ្នរ ដីការ៊ុលាការ ឬច្ដាយច្ហរ៊ុផ្លណាមួយច្ផ្សងច្ទៀរ។ ក៊ុនងករណ្ី ច្លះ ព្កុមហ˜៊ុលមូលបព្រ ច្េស៊ុីលីដា ម.ក ព្រូវសព្មបសព្មួលក៊ុនងការេល៊ុវរតការផ្លែ ស់បូដរ
The Client agrees that all rights and obligations set forth in this Agreement shall be transferred to the Universal Succesor and the Particular Successor in a case of changing ownership of the Client's assets contained in the collective investment scheme fund that arises from the execution of the law, client’s death, bankruptcy, legal incompetence, court order or for any other reason. In this case, ACLEDA Securities Plc. shall facilitate the implementation of the change of ownership of the client's assets.

២ | - ករណ្ី ម្គលការច្ធវើវច្ិ ស្ថធលកមមឆាប់ លិងបទបបញ្ា រតិពាក់រ័លធ ន្ដលផ្៊ុទយច្ៅលឹង កិឆចព្រមច្ព្រៀងច្លះ ព្កុមហ˜៊ុលមូលបព្រ ច្េស៊ុីលីដា ម.ក ព្រូវន្កន្ព្បកិឆចព្រមច្ព្រៀងច្លះ ឱ្យព្សបតមឆាប់ លិងបទបបញ្ា រិតន្ដលបាលច្ធវើវច្ិ ស្ថធលកមម ច្ដាយមិលចាំបាឆ់ម្គលការ យល់ព្រមរីេរិថិជល លិងព្រូវជូលដំណ្ឹ ងជាលាយលកខណ្៍ េកសរដល់េរិថិជលេំរីការ ន្កន្ព្បកិឆចព្រមច្ព្រៀងច្លះ។ | 2- In case of amendments to the relevant laws and regulations that are contrary to this agreement, ACLEDA Securities Plc. shall amend this agreement in accordance with the amended laws and regulations without the consent of the client and shall notify the clients in writing of any modifications to this Agreement. |

កិឆចព្រមច្ព្រៀងច្លះ ជាកិឆចព្រមច្ព្រៀងរួមរវាងភ្នេីទាងំ សងខាង ន្ដលន្ឆងេំរីការន្រងតងំ ព្កុមហ˜៊ុលមូលបព្រ ច្េស៊ុីលីដា ម.ក ច្ធើវជាភ្នន ក់ង្កររបស់េរិថិជល លិងលកខខណ្ឌ នលការផ្តល់ ច្សវាកមម។ រាល់បទបង្កា ញ ឬច្សឆកតីន្ថែងការណ្៍ ឬកិឆចព្រមច្ព្រៀងច្ផ្សងច្ទៀរន្ដលម្គល ខឹែមស្ថរផ្៊ុទយរីកិឆចព្រមច្ព្រៀងច្លះ ច្ទាះជាលាយលកណ្៍ េកសរ ឬក៏ផ្លទ ល់ម្គររ់ វាងភ្នេី ទាងំ សងខាង មលិ ម្គលអាល៊ុភ្នរេល៊ុវរតច្ឡើយ។ | This Agreement is the entire consensus between the Parties as to the appointment of ACLEDA Securities Plc. as the Client’s agent and the provision of the Services. Any presentation or statement or other agreement which is contrary to this Agreement, whether in writing or oral, between the parties shall not be effective. | |

១ | - ភ្នេីលីមយួ ៗម្គលសិទបិធ ញ្ច បក់ ិឆចព្រមច្ព្រៀងច្លះព្េប់ច្រលច្វលា ច្ដាយព្រូវជូលដំណ្ឹ ងជា លាយលកខណ្៍ េកសរជាម៊ុលក៊ុនងរយៈច្រល ៧ (ព្បារំ ីរ) នថៃ ដល់ភ្នេីម្គខ ងច្ទៀរ។ | 1- Either Party shall be entitled to terminate this Agreement at any time by notifying the other party in writing 7 (seven) working days in advance. |
២ | - ភ្នេីទាងំ រីរយល់ព្រមថ្នការបញ្ច បក់ ិឆចព្រមច្ព្រៀងច្លះ មលិ បះ៉ា ពាល់សិទធិ លិងការរវកិឆច ព្រមទាងំ ផ្លព្បច្ោជល៍ន្ដលមលិ ទាល់េល៊ុវរតឆប់របស់ភ្នេីលីមួយៗន្ដលម្គលម៊ុលច្រល បញ្ច បក់ ិឆចព្រមច្ព្រៀងច្លះ។ | 2- The parties agree that termination of this Agreement shall not affect the rights and duties as well as benefits of the Parties that have accrued before such termination. |

កិឆចព្រមច្ព្រៀងច្លះព្រូវសិារច្ៅច្ព្កាមឆាប់ លិងបទបបញ្ា រិតនលព្រះរាជាណាឆព្កកម៊ុពជា ជាធរម្គល។ | This Agreement shall be governed by the laws and regulations of the Kingdom of Cambodia. | |

កិឆចព្រមច្ព្រៀងច្លះច្ធើវច្ឡើងជារីរឆាប់ ន្ដលម្គលឆ៊ុះហរាច្លខា លិងព្តរបស់ព្កុមហ៊ុ˜ល មូលបព្រ ច្េស៊ុីលីដា ម.ក ឬស្ថន មព្ម្គមនដ របស់េូភ្នេីទាងំ សងខាង ច្ហើយព្កុមហ៊ុ˜ល មូលបព្រ ច្េស៊ុីលីដា ម.ក ព្រូវផ្តល់ជូលេរថិ ិជ00លមយួ ឆាប់ លិងរកាទ៊ុកមយួ ឆាប់ ច្ទៀរច្ៅព្កុមហ˜៊ុលមូលបព្រ ច្េស៊ុីលីដា ម.ក។ | This agreement is made in two copies with the signature and seal of ACLEDA Securities Plc. or fingerprints of both parties, and ACLEDA Securities Plc. shall provide one copy to the client and keep another copy at ACLEDA Securities Plc. | |
