Tutto ciò premesso e considerato, le Parti convengono e stipulano quanto segue: ARTICOLO 1 – PREMESSE E ALLEGATI Le Premesse e gli Allegati costituiscono parte integrante e sostanziale del presente Contratto. ARTICOLO 2 – OGGETTO DEL CONTRATTO La Committente affida all’Appaltatore, che accetta, l’esecuzione dell’Opera, così come dettagliatamente descritta negli Allegati al presente contratto (d’ora in avanti, il “Contratto”). ARTICOLO 3 – ESECUZIONE DEI LAVORI 3.1. L’Appaltatore garantisce ai lavoratori impegnati nella realizzazione dell’Opera (di seguito, il “Personale”), per tutta la durata del presente Contratto, un trattamento retributivo adeguato ed il regolare adempimento degli obblighi contributivi, assicurativi e fiscali applicabili. L’Appaltatore garantisce inoltre il rispetto della normativa antinfortunistica e di tutela della sicurezza sul lavoro. Moreover, the Contractor shall comply with all accident- prevention and safety regulations applicable. In this regard, the Contractor shall provide the Staff with the technical means, clothing and equipment required to work safely, paying particular attention to Personal Protective Equipment. |
di Protezione Individuale. 3.3. In ipotesi di violazione di quanto previsto dal precedente paragrafo e/o di non idoneità delle misure adottate dall’Appaltatore, la Committente è autorizzata a (i) sospendere il pagamento dei corrispettivi dovuti all’Appaltatore sino a quando lo stesso non abbia fornito la prova di aver adempiuto ogni prescrizione di legge in materia previdenziale, contributiva e retributiva applicabile al Personale e (ii) a risolvere il Contratto, fatto salvo il risarcimento dell’eventuale maggior danno. La mancata presentazione o la non regolarità del D.U.R.C. può portare alla sospensione dei pagamenti. ARTICOLO 4 – MATERIALI | 3.3. In the event of violation and/or inappropriate measures adopted by the Contractor in connection with the provisions of the above paragraph, the Client shall be entitled to (i) suspend the payments due until the Contractor provides proof that it has complied with each and every statutory provision concerning social security and pension contributions, as well as remuneration relating to the Staff and to (ii) terminate the Contract, without prejudice to the right to claim compensation for further damages. ARTICLE 4 – MATERIALS |
L’Appaltatore fornisce tutto il materiale necessario alla realizzazione dell’Opera assumendosi la responsabilità per eventuali vizi o difetti dello stesso. ARTICOLO 5 – AUTORIZZAZIONI AMMINISTRATIVE 5.1. L’Appaltatore si impegna a richiedere le autorizzazioni amministrative che si rendono necessarie all’esecuzione dell’Opera oggetto del presente Contratto. 5.2. L’Appaltatore si impegna a fornire alla Committente entro e non oltre 30 giorni dalla sottoscrizione del presente Contratto, e comunque allorché la Committente ne faccia richiesta, la documentazione di seguito indicata: A) Autocertificazione relativa al possesso dei requisiti di idoneità | The Contractor shall provide all the materials necessary for the realisation of the Building and, for this purpose, shall be held accountable for any faults or defects thereof. The Contractor shall provide the Client, no later than 15 days from the signing of this Contract and, in any case, at the Client’s request, with the documentation listed below: A) A self-certification concerning its own technical and professional |
tecnico professionale; B) Dichiarazione relativa ai rischi inerenti l’attività esercitata e alle misure di prevenzione adottate; C) Dichiarazione relativa ai costi della sicurezza sul lavoro con particolare riferimento a quelli derivanti dall’attività oggetto del presente Contratto; D) Polizze assicurative; E) Licenze ed autorizzazioni necessarie all’esecuzione dei lavori; F) D.U.R.C. (Documento Unico di Regolarità Contributiva), da produrre con cadenza trimestrale; | qualification; B) A statement concerning the specific risks related to the activities carried out and the safety measures adopted; C) A statement concerning the costs liable to be incurred in relation to health and safety at the workplace, with particular reference to those deriving from the performance of the activities subject to this Contract; D) Insurance policies; E) Licenses and authorizations necessary for the execution of works; F) D.U.R.C., to be produced on a quarterly basis; |
G) Modello di asseverazione, ovvero autocertificazione attestante la regolarità del versamento delle imposte (IVA e IRPEF) e dei contributi INPS e INAIL per i lavoratori dipendenti (inclusi i relativi allegati), da produrre con cadenza mensile. 5.3. In ipotesi di mancata presentazione da parte dell’Appaltatore dei documenti sopra elencati la Committente è autorizzata a risolvere unilateralmente il presente Contratto, senza che nulla sia dovuto all’Appaltatore a qualsiasi titolo o ragione, fatto salvo il risarcimento dell’eventuale maggior danno. Il mancato invio del modello di asseverazione di cui alla lettera G), autorizza la Committente ad interrompere i pagamenti. ARTICOLO 6 – DIREZIONE DEI LAVORI | G) Certification or self-certification of the regular payment of taxes (VAT and income tax) and of the employees’ social security and pensions contributions (INPS and INAIL), including its attachments, to be produced on a monthly basis. 5.3. In the event that the Contractor fails to submit the above-listed documents, the Client shall be entitled to terminate this Contract and nothing shall be due to the Contractor, for whatever reason, without prejudice to compensation for any further damages suffered by the Client. Failure to submit the certification referred to in letter G) above shall entitle the Client to stop payments. ARTICLE 6 – DIRECTION OF WORKS |
6.1. La direzione dei lavori oggetto del presente Xxxxxxxxx è affidata alla Committente che nomina un responsabile dei lavori (di seguito, il “Responsabile”), incaricato di sorvegliare l’esatta realizzazione dell’Opera oggetto del presente Contratto, nonché l’esecuzione dei lavori a regola d’arte ed in conformità al progetto ed alle disposizioni contrattuali. 6.2. Il Responsabile provvede alla redazione degli stati di avanzamento, al riscontro contabile ed al conto finale dei lavori, assistendo ai collaudi in corso d’opera ed al collaudo finale. A tal fine, il Responsabile percepisce un compenso direttamente dalla Committente. ARTICOLO 7 – CORRISPETTIVO 7.1. Il corrispettivo previsto per la realizzazione dell’Opera è fissato in | 6.1. Payments shall be due while the work is being carried out, no later than 30 days from the submission of the relevant invoice by the Contractor, in proportion to the amount of work carried out, according to the progress reports drawn up by the Project Supervisor |
L’ultima rata deve essere versata dopo il collaudo definitivo. 7.4. Il pagamento del Corrispettivo è subordinato alla presentazione del D.U.R.C. da parte dell’Appaltatore. 7.5. È fatto divieto all’Appaltatore di cedere i crediti derivanti dall’esecuzione del presente Contratto senza la preventiva autorizzazione scritta della Committente. ARTICOLO 8 – CONSEGNA DELL’OPERA 8.1. I lavori devono essere iniziati entro e non oltre il ...... e l’Opera deve essere consegnata entro e non oltre il ....... Committente, su espressa richiesta dell’Appaltatore da presentarsi prima della scadenza del termine di consegna contrattualmente fissato, può concedere una proroga. 8.3. In ipotesi di sospensioni e/o interruzioni dei lavori, per qualunque causa e anche se ordinate dalla Committente, purché non imputabili all’Appaltatore, la Committente, su richiesta di quest’ultimo, può concedere una proroga del termine di consegna in misura equivalente al periodo di sospensione e/o interruzione. 8.4. Resta inteso tra le Parti che le proroghe eventualmente accordate dalla Committente ai sensi dei paragrafi che precedono non consentono all’Appaltatore di ottenere alcun indennizzo e/o risarcimento per il prolungamento dei tempi di realizzazione dell’Opera. | the Client, upon express request by the Contractor to be submitted before the expiry of the delivery term agreed between the Parties, may extend such delivery term. 8.3. It is understood between the Parties that any extension of the delivery term granted by the Client under the paragraphs above shall not entitle the Contractor to any indemnity or compensation for the extension of the term of this Contract. |
ARTICOLO 9 – PENALE 9.1. Qualora l’Opera venga consegnata oltre il termine stabilito dalle Parti, e sempreché non ricorra un’ipotesi di proroga ai sensi del precedente Articolo 8, all’Appaltatore è applicata una penale pari a Euro ...... per ogni giorno di ritardo. La Committente può comunque rivalersi sull’Appaltatore per il risarcimento dell’eventuale maggior danno. 9.2. La penale applicata deve essere regolarmente fatturata all’Appaltatore e trattenuta dai pagamenti a scadere, laddove possibile. Diversamente, l’ammontare residuo della penale deve essere pagato dall’Appaltatore entro e non oltre 30 giorni dalla relativa richiesta della Committente. ARTICOLO 10 – MODIFICHE 10.1. Qualsiasi modifica e/o aggiunta rispetto al progetto originale | ARTICLE 9 – PENALTY 9.1. Se le modifiche al progetto si rendono necessarie per la realizzazione dell’Opera a regola d’arte, le stesse devono essere concordate tra le Parti, come anche il relativo compenso. 10.3. Nel caso in cui l’importo stimato per tali modifiche risulti superiore al sesto del Corrispettivo di cui all’Articolo 7, o queste siano di notevole entità, si applicano, rispettivamente, i commi 2° e 3° dell’art. 1660 del Codice Civile. 10.4. ARTICOLO 11 – REVISIONE DEL PREZZO 11.1. In ipotesi di aumento o diminuzione del costo dei materiali e/o della manodopera, tali da comportare un aumento o una diminuzione superiore al decimo del Corrispettivo, le Parti possono concordare una revisione del prezzo (per la differenza che eccede il decimo del Corrispettivo). 11.2. Solo a partire da tale momento l’Appaltatore matura il diritto al pagamento del Corrispettivo, dedotte eventuali penali da ritardo. | of successful testing. 12.2. Il verbale di collaudo deve indicare i difetti di minima entità che non pregiudicano la funzionalità dell’Opera, eventualmente riscontrati durante la fase di collaudo, nonchè il termine entro cui l’Appaltatore potrà eliminare gli stessi. L’Appaltatore si impegna a comunicare per iscritto alla Committente l’avvenuta eliminazione dei difetti. ARTICOLO 13 – OBBLIGAZIONI DELL’APPALTATORE 13.1. Nei rapporti con il Personale, l’Appaltatore si impegna ad osservare le norme vigenti in materia ed i contratti collettivi applicabili, nonché le disposizioni di legge, attuali e future, in materia di prevenzione degli infortuni sul lavoro, nel rispetto della normativa di cui al D. lgs. 9 aprile 2008 n. 81. Non è consentito all’Appaltatore subappaltare, in tutto o in parte, l’esecuzione dell’Opera oggetto del presente Contratto e/o cedere a terzi il Contratto senza il previo consenso scritto della Committente. 17.2. In ipotesi di violazione dei predetti divieti, l’Appaltatore continuerà ad essere vincolato dalle obbligazioni derivanti dal presente Contratto. ARTICOLO 18 – RISOLUZIONE DEL CONTRATTO 18.1. Ai fini del presente Contratto, in ipotesi di: a) mancata esecuzione del Contratto da parte dell’Appaltatore; b) mancata costituzione della garanzia a prima richiesta nel | CONTRACT 17.1.
