1. TERMINI GENERALI

1.1 La partecipazione all’asta, sia in qualità di acquirente sia di venditore, im- plica l’integrale e incondizionata accettazione delle Condizioni di Vendita ri- portate nei cataloghi d’asta e pubblicate sul sito di ▇▇▇▇▇▇▇▇ ART AUCTIONS (di seguito ART AUCTIONS o Casa d’Aste). In caso di mutazione delle predette condizioni, farà fede la dicitura vigente ratione temporis al momento dell’ef- fettuazione dell’asta stessa, per il compratore, o del conferimento del man- dato a vendere, per il venditore.

Si raccomanda agli acquirenti e ai venditori di leggere con attenzione que- sta sezione contenente i termini di acquisto dei lotti posti in vendita.

1.2 I beni possono essere venduti in lotti o singolarmente a insindacabile giu- dizio dI ART AUCTIONS. Le aste saranno tenute in locali aperti al pubblico e/o online da ART AUCTIONS, che agisce unicamente come mandataria nel nome e nell’interesse di ciascun venditore (il nome del quale è trascritto in tutti i re- gistri previsti dalle vigenti leggi). Gli effetti della vendita influiscono diretta- mente sul compratore e sul venditore. ART AUCTIONS non assume nessuna responsabilità nei confronti dell’aggiudicatario, del venditore, o di qualsiasi al- tro terzo in genere.

2. PRIMA DELL’ASTA

2.1 - STIME

Accanto a ciascuna descrizione dei lotti in catalogo è indicata una stima in- dicativa per i potenziali acquirenti. Tale stima non può costituire alcun affi- damento per l’acquirente. Tutti i lotti, a seconda dell’interesse del mercato, pos- sono raggiungere prezzi sia superiori sia inferiori ai valori di stima indicati. Le stime relative al prezzo base di vendita, riportate sotto la descrizione di ogni bene sul catalogo, sono da intendersi al netto di ogni onere accessorio qua- le, ad esempio, diritti d’asta, IVA, tasse, ecc. Poiché i tempi tipografici di stam- pa del catalogo richiedono la determinazione dei prezzi di stima con largo anticipo, essi potranno essere oggetto di mutamento, così come la descrizione del bene. Ogni e qualsivoglia cambiamento sarà comunicato dal Banditore prima dell’inizio dell’asta sul singolo bene interessato; fermo restando che il lotto sarà aggiudicato unicamente in caso di raggiungimento del prezzo di riserva.

2.2 - RISERVA

Il prezzo di riserva corrisponde al prezzo minimo confidenziale concordato tra ART AUCTIONS e il venditore al di sotto del quale il lotto non sarà venduto. I lotti offerti senza riserva sono segnalati sul catalogo con la stima di colore rosso o con la dicitura O.L. e vengono aggiudicati al migliore offerente indi- pendentemente dalle stime pubblicate.

2.3 - ESPOSIZIONE

Ove comunicato, ogni asta è preceduta da un’esposizione aperta al pubbli- co gratuitamente, i cui orari sono indicati nelle prime pagine dei cataloghi e sul sito di ART AUCTIONS. L’esposizione ha lo scopo di permettere a tutti gli acquirenti di effettuare un congruo esame dei lotti posti in vendita e di veri- ficarne tutte le qualità, quali ad esempio, l’autenticità, lo stato di conservazione, il materiale, ecc. In caso di aste che si svolgono esclusivamente online senza esposizione, gli Esperti sono a disposizione dei potenziali acquirenti per ri- spondere a richieste di Condition Report e inviare eventuali fotografie aggiuntive, fermo restando che l’opinione degli esperti non è vincolante e non si sosti- tuisce al giudizio finale dei compratori.

2.4 - STATO DI CONSERVAZIONE

Le proprietà sono vendute nel loro stato attuale. Consigliamo quindi ai po- tenziali acquirenti di assicurarsi dello stato di conservazione e della natura dei lotti prendendone visione prima della vendita. Gli Esperti saranno lieti di for- nire su richiesta dei rapporti informativi sullo stato di conservazione. Le de- scrizioni nei cataloghi rappresentano unicamente l’opinione degli Esperti e potranno essere soggette a eventuali revisioni che saranno comunque co- municate al pubblico durante l’Asta.

2.5 - ACQUISTO DI OROLOGI

Le descrizioni degli orologi in catalogo, siano essi da tasca, da polso, dome- stici o di altra natura, anche relativamente allo stato di conservazione e a even- tuali restauri, vengono fornite a titolo di orientamento per i potenziali acquirenti,

ma non possono in nessun modo essere ritenute esaustive. Anche il Condi- tion Report, che ART AUCTIONS invierà su richiesta del potenziale acquiren- te, non riveste carattere di totale completezza e potrebbe non segnalare di- fetti o restauri. Tali Condition Report sono prodotti dai nostri Esperti dopo ana- lisi dal vero dei pezzi, ma su base soggettiva e non costituiscono ad alcun ti- tolo elemento di dichiarazione o garanzia che possano sostituire l’esame di- retto da parte degli interessati all’acquisto.

Tutti gli orologi dovranno quindi essere preliminarmente esaminati in modo adeguato dal potenziale acquirente per poterne completamente accertare lo stato, sia estetico che meccanico e funzionale. I lotti sono venduti nello sta- to di fatto e la mancata indicazione di un difetto o di un restauro non impli- ca che tale difetto o restauro non possa sussistere. Gli orologi, in quanto beni di natura meccanica e di uso, sono per loro stessa natura oggetti utilizzati e manutenuti, e, se necessario, riparati, nel corso della loro esistenza: essi ven- gono analizzati dagli Esperti in fase di preparazione dell’asta, ma la Casa d’Aste non assume alcuna garanzia circa il loro stato di funzionamento, la presen- za di parti non originali o di restauri.

Nel caso di orologi da polso dichiarati dal produttore come impermeabili, il loro esame ne ha richiesto l’apertura: ART AUCTIONS suggerisce pertanto che l’acquirente, prima di utilizzarli in condizioni di presenza d’acqua, li porti a un centro assistenza qualificato per la verifica della loro tenuta. Nel caso di mo- vimenti al quarzo, non vengono date informazioni sullo stato di funzionamento, se la batteria interna, al momento della verifica da parte degli Esperti, risul- tasse scarica. I documenti relativi agli orologi, se non specificato diversamente, non sono presenti. I cinturini e i bracciali, se non specificato diversamente, sono da ritenersi non originali. I cinturini, le custodie o le casse o altra parte degli involucri in materiale organico, eventualmente presenti, sono mostrati mon- tati in fase di prevendita a puro scopo di presentazione: i potenziali acquirenti sono consapevoli che l’importazione in Paesi stranieri di materiali provenienti da specie in pericolo di estinzione, quali, a titolo di puro esempio, tartaruga e avorio, è soggetta alla normativa internazionale CITES. E’ quindi indispen- sabile che il potenziale acquirente provveda ad informarsi adeguatamente, in fase preliminare, relativamente a tali restrizioni, se intende partecipare al- l’asta per un lotto che contenga, anche solo in parte, materiali di questa ti- pologia. Le indicazioni relative al peso, se inserite in catalogo o presenti nel Condition Report, sono da intendersi al lordo e puramente indicative, così come le misure delle casse e l’effettiva natura e le carature di eventuali pietre pre- ziose o altri materiali di pregio presenti.

2.6 - ACQUISTO DI VINI E DISTILLATI

I Vini e Distillati sono descritti con accuratezza per quanto constatabile al mo- mento di pubblicazione dei cataloghi, tuttavia i potenziali acquirenti devo- no tenere in considerazione eventuali variazioni naturali dei livelli, delle con- dizioni delle casse, delle etichette, dei tappi e dei vini o distillati stessi. Non saranno accettati resi.

2.7 - ACQUISTO DI DIPINTI

Partecipando all’asta l’acquirente esonera espressamente la Casa d’Aste da ogni e qualsiasi responsabilità e/o garanzia in relazione allo stato di conservazio- ne delle cornici delle opere fino al momento della consegna al compratore stesso. In particolar modo il partecipante si dichiara perfettamente informa- to del fatto che la cornice non ha costituito né elemento per la formazione del prezzo né elemento decisionale per l’acquisto considerandosi la sua pre- senza, o meno, irrilevante. A parziale modifica di quanto sopra la Casa d’Aste risponderà dello stato di conservazione della cornice solo ed esclusivamen- te se avrà fornito, a seguito di formale richiesta, un Condition Report (nei li- miti della omessa indicazione di eventuali significative mancanze che de- terminino una rilevante mutazione del valore del dipinto stesso).

L’acquirente esonera, altresì, espressamente la Casa d’Aste da ogni e qualsia- si responsabilità e garanzia in relazione alla cromia dei dipinti, che può esse- re differente rispetto a quella percepita da una visione dal vivo. Si consiglia, in ogni caso, di richiedere Condition Report e foto aggiuntive rispetto a quel- le già presenti sul sito e in catalogo.

2.8 - ATTRIBUZIONE E TERMINOLOGIA

Le affermazioni riguardanti l’autore, l’attribuzione, l’origine, il periodo, la pro- venienza e le condizioni dei lotti in catalogo sono da considerarsi come un’opi- nione personale degli Esperti e degli studiosi eventualmente consultati e non un dato di fatto.

CERCHIA DI ▇▇▇▇▇▇▇: l’opera, secondo la nostra opinione, è di un pittore non conosciuto, ma distinguibile, legato al suddetto artista, ma non necessaria- mente da un rapporto di alunnato.

2.9 - ALTRE AVVERTENZE

Tutti i lotti contenenti componenti elettriche vengono messi in vendita come non funzionanti e da revisionare integralmente. ART AUCTIONS si manleva da qualsiasi responsabilità verso chiunque per uso improprio dei lotti venduti o per la non osservanza delle avvertenze. Si ricorda la necessità, prima dell'utilizzo dei lotti, di far verificare da personale esperto e di fiducia dell'acquirente, il cor- retto funzionamento di tutte le parti elettriche. La dicitura “...anni...” oppure la data riportata nella descrizione del lotto indica il periodo di inizio produzio- ne del lotto in oggetto, salvo diversamente specificato. Le immagini descrit- tive in catalogo e sul sito potrebbero non rappresentare fedelmente i lotti pro- posti in asta. La Casa d’▇▇▇▇ consiglia sempre la visione diretta delle opere pri- ma di effettuare offerte. In caso non fosse possibile visionare i lotti di perso- na si può richiedere un Condition Report per ricevere immagini aggiuntive e dettagliate degli oggetti.

2.10 - UTILIZZO DELLE IMMAGINI

Gli acquirenti e i venditori autorizzano espressamente ART AUCTIONS al libero e gratuito utilizzo delle fotografie ritraenti i lotti oggetto dell’asta per qualsiasi fine nessuno escluso e/o eccettuato ivi compresi, in via esemplificativa ma non esaustiva, la pubblicità, la diffusione via internet e/o con qualsiasi altro mezzo, la pubblicazione su Magazine e/o riviste sia editate in proprio sia da terzi.

3. COME PARTECIPARE ALLA VENDITA

3.1 - PARTECIPAZIONE ALL’ASTA

La partecipazione all’Asta può avvenire attraverso la presenza in sala, online ovvero attraverso offerte scritte e offerte telefoniche che ART AUCTIONS sarà lieta di eseguire in nome e per conto dei potenziali acquirenti. Si ricorda che il servizio è gratuito e pertanto nessun tipo di responsabilità potrà essere ad- debitata alla Casa d’Aste che non sarà responsabile per offerte inavvertitamente non eseguite o per errori relativi all’esecuzione delle stesse. ART AUCTIONS potrà richiedere ai nuovi acquirenti adeguate referenze anche bancarie.

3.2 - SCHEDA DI PARTECIPAZIONE

Al fine di garantire la trasparenza dell’asta, tutti coloro che sono intenziona- ti a formulare offerte devono compilare una scheda di partecipazione con i dati personali e le referenze bancarie. ART AUCTIONS si riserva il diritto di ve- rificare le referenze fornite e di rifiutare alle persone non gradite la partecipazione all’asta. All’atto della compilazione ART AUCTIONS consegnerà un cartellino identificativo numerato che dovrà essere esibito al banditore per formulare le offerte. Coloro che scelgono di partecipare alle aste in modalità online do- vranno creare il proprio account ▇▇▇▇▇▇▇▇ plus, compilare i relativi modu- li online e fornire tutte le informazioni richieste. A parziale deroga di quanto sopra ART AUCTIONS potrà accettare dette offerte nel caso sia depositata una somma a garanzia di importo pari al valore del lotto richiesto, oltre commis- sioni, tasse, e spese. In ogni caso all’atto dell’aggiudicazione l’aggiudicatario comunicherà, immediatamente, le proprie complete generalità e i propri dati fiscali.

4. DURANTE L’ASTA

4.1 - OFFERTE IN SALA

Per la partecipazione in sala i potenziali acquirenti devono registrarsi e ritira- re l’apposito numero di partecipazione compilando l’apposito Modulo di Par- tecipazione all’Asta fornendo un valido documento di identità e il codice fi- scale. Tutti i lotti venduti saranno fatturati al nome e all’indirizzo rilasciati al mo- mento dell’assegnazione del numero di partecipazione e non potranno es- sere trasferiti ad altri nomi e indirizzi. Qualora un potenziale acquirente voglia partecipare in nome e per conto di terzi deve informare prima dell’Asta la di- rezione di ART AUCTIONS, che dovrà autorizzare espressamente il fatto in for- ma scritta.

4.2 - OFFERTE SCRITTE E OFFERTE TELEFONICHE

ART AUCTIONS può accettare mandati per l’acquisto (tramite sia offerte scrit- te sia telefoniche) effettuando rilanci tramite il Banditore, in gara con le per- sone partecipanti in sala. In caso di offerte identiche l’offerta scritta prevarrà su quella orale. Per la partecipazione attraverso offerte scritte e telefoniche i potenziali acquirenti devono compilare l’apposito Modulo per le Offerte pub- blicato nei cataloghi e/o sul sito ▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇ e farlo pervenire alla Casa d’Aste almeno 7 ore prima dell’inizio dell’asta. Le offerte devono essere in euro e sono al netto dei diritti d’asta e degli oneri fiscali previsti dalle leg- gi vigenti, che, quindi, dovranno essere aggiunti.

Le offerte scritte saranno eseguite per conto dell’offerente al minimo prezzo possibile considerati il prezzo di riserva e le altre offerte. Le offerte scritte ef- fettuate sui lotti senza riserva (contrassegnati dalla stima di colore rosso o dal- la dicitura O.L.) in assenza di un’offerta superiore saranno aggiudicati a circa il 50% della stima minima o alla cifra corrispondente all’offerta, anche se in- feriore al 50% della stima minima.

Le offerte telefoniche saranno organizzate da ART AUCTIONS nei limiti della disponibilità delle linee ed esclusivamente per lotti aventi una stima massi- ma non inferiore a 500 euro. I collegamenti telefonici durante l’Asta potran- no essere registrati. I potenziali acquirenti collegati telefonicamente accon- sentono alla registrazione delle loro conversazioni. ART AUCTIONS non risponde in nessun caso di eventuali disguidi di qualsiasi natura che si possano verifi- care durante il collegamento telefonico.

4.3 - ASTA ONLINE

È possibile partecipare alle aste anche in modalità online, sia registrandosi nel- l’apposita sezione del sito di ART AUCTIONS e iscrivendosi alla relativa asta sia attraverso eventuali piattaforme esterne. Quando la sessione d’asta è aper- ta, e possibile entrare nella sala online e inviare le proprie offerte. ART AUC- TIONS non risponde in nessun caso di eventuali disguidi di qualsiasi natura che si possano verificare durante la connessione, farà sempre fede l’aggiu- dicazione pronunciata dal Banditore e trascritta nel suo apposito Registro.

4.4 - AGGIUDICAZIONE

Gli oggetti sono venduti/aggiudicati al miglior offerente e per contanti. Il col- po di martello indica l’aggiudicazione del lotto e in quel momento il compratore si assume la piena responsabilità del lotto. Oltre al prezzo di aggiudicazione l’acquirente dovrà corrispondere ad ART AUCTIONS i diritti d’asta e gli oneri fiscali previsti dalle leggi vigenti. Nel caso in cui sorgessero contestazioni tra più aggiudicatari, il Banditore, a suo insindacabile giudizio, rimetterà in ven- dita il bene che potrà essere nuovamente aggiudicato nella medesima asta; in ogni caso gli aggiudicatari che avessero sollevato delle contestazioni re- stano vincolati all’offerta fatta in precedenza che ha dato luogo alla nuova ag- giudicazione. In caso di mancata nuova aggiudicazione il Banditore, a suo in- sindacabile giudizio, comunicherà chi deve intendersi aggiudicatario del bene. Ogni trasferimento a terzi dei lotti aggiudicati non sarà opponibile ad ART AUC- TIONS che considererà quale unico responsabile del pagamento l’aggiudicatario. La partecipazione all’asta in nome e per conto di terzi potrà essere accetta- ta da ART AUCTIONS solo previo deposito presso gli Uffici della Casa d’Aste

- almeno tre giorni prima dell’asta - di adeguate referenze bancarie e di una procura notarile ad negotia.

4.5 - PRECEDENZA DELLE OFFERTE

Nel caso di due offerte scritte identiche, che non siano superate da offerte in sala o telefoniche, ART AUCTIONS considererà aggiudicataria quella deposi- tata per prima. ART AUCTIONS si riserva il diritto di rifiutare, a suo insindaca- bile giudizio, offerte di acquirenti non conosciuti e/o graditi.

4.6 - FACOLTÀ DELLA CASA D’ASTE E DEL BANDITORE

ART AUCTIONS si riserva il diritto di ritirare dall’asta qualsiasi lotto. Il banditore conduce l’asta iniziando dall’offerta che ritiene più opportuna, in funzione sia del valore del lotto presentato sia delle offerte concorrenti. Il banditore può fare offerte consecutive o in risposta ad altre offerte, fino al raggiungimento del prezzo di riserva. Il Banditore, durante l’asta, ha facoltà di accorpare e/o separare i lotti e di variare l’ordine di vendita. Il banditore può, a suo insinda- cabile giudizio, ritirare i lotti che non raggiungano il prezzo di riserva concordato tra ART AUCTIONS e il venditore.

5. COMMISSIONI DI ACQUISTO E DIRITTO DI SEGUITO

5.1 - COMMISSIONI DI ACQUISTO

Oltre al prezzo di aggiudicazione, l’aggiudicatario si impegna a corrispondere ad ART AUCTIONS, per ciascun lotto, una commissione di acquisto comprensiva di I.V.A. pari al:

• 30% del prezzo di aggiudicazione fino a € 2.000

• 25% per la parte di tale prezzo da € 2.001 fino a € 2.000.000

• 22% per la parte di tale prezzo eccedente € 2.000.001

Fanno eccezione i seguenti dipartimenti:

A. Auto e Moto Classiche e Sportive - 15% del prezzo di aggiudicazione

B. Monete e Medaglie, Filatelia - 20% del prezzo di aggiudicazione

C. Wine & Spirits, Libri e Manoscritti - 25% del prezzo di aggiudicazione

5.2 - DIRITTO DI SEGUITO

Con Dlgs n. 118 del 13/2/2006 è in vigore dal 9 Aprile 2006 in Italia il “Diritto di Seguito” (Droit de Suite), ossia il diritto dell’autore (vivente o deceduto da meno di 70 anni) di opere di arti figurative e di manoscritti a percepire una percentuale sul prezzo di vendita degli originali delle proprie opere in occa- sione delle vendite successive alla prima. Tale diritto sarà a carico del Vendi- tore e sarà calcolato sul prezzo di aggiudicazione uguale o superiore ai 3.000,00 euro. Tale diritto non potrà comunque essere superiore ai 12.500,00 euro per ciascun lotto. L’importo del diritto da corrispondere è così determinato:

• 4% per la parte del prezzo di vendita fino a 50.000 euro

• 3% per la parte del prezzo di vendita compresa fra 50.000,01 e 200.000 euro

• 1% per la parte del prezzo di vendita compresa fra 200.000,01 e 350.000 euro

• 0,50% per la parte del prezzo di vendita compresa fra 350.000,01 e 500.000 euro

• 0,25% per la parte del prezzo di vendita oltre i 500.000 euro

Il diritto di seguito addebitato al Venditore sarà versato da ART AUCTIONS alla SIAE in base a quanto stabilito dalla legge.

6. RESPONSABILITÀ

ART AUCTIONS agisce esclusivamente quale mandataria dei venditori decli- nando ogni responsabilità in ordine alla descrizione degli oggetti contenu- ta nei cataloghi e in ogni altra pubblicazione illustrativa. Tutte le descrizioni dei beni devono intendersi puramente illustrative e indicative e non potranno generare nessun affidamento di alcun tipo negli aggiudicatari. L’asta sarà pre- ceduta da un’esposizione dei beni al fine di permettere un congruo esame degli stessi da parte degli aspiranti acquirenti, affinché quest’ultimi, sotto la loro totale e completa responsabilità, possano verificarne tutte le qualità, qua- li ad esempio, l’autenticità, lo stato di conservazione, il tipo, il materiale dei beni posti in asta. Dopo l’aggiudicazione nessuno potrà opporre ad ART AUC- TIONS o ai venditori la mancanza di qualsiasi qualità dei beni oggetto di ag- giudicazione. ART AUCTIONS e i propri dipendenti e/o collaboratori non ri- lasceranno nessuna garanzia di autenticità e/o quant’altro. Tutte le indicazioni sulla caratura e il peso di metalli o pietre preziose, come sui relativi marchi, sono puramente indicative. ART AUCTIONS non risponderà di eventuali er- rori o della falsificazione effettuata ad arte. Nonostante il possibile riferimen- to ad elaborati di esperti esterni, ART AUCTIONS non ne garantisce né l’esat- tezza né l’autenticità.

7. PAGAMENTO

7.1 - Il completo pagamento del prezzo di aggiudicazione, dei diritti d’asta, e di ogni altra spesa accessoria dovrà essere effettuato entro 10 giorni lavo- rativi dalla data dell’Asta, in valuta avente corso legale nella Nazione ove si è svolta l’asta, tramite:

A. Contanti per un importo inferiore a 4.999,99 euro

B. Assegno circolare italiano intestato ad Art Auctions S.r.l., soggetto a preventiva verifica con l’istituto di emissione

C. Bonifico bancario intestato ad Art Auctions S.r.l.: BNL Gruppo BNP Paribas, ▇▇▇▇▇ ▇▇▇▇ ▇▇▇▇▇▇▇▇▇ ▇, ▇▇▇▇▇ ▇▇▇▇▇▇ - ▇▇▇▇▇ ▇▇▇▇▇▇▇▇ – IBAN IT 61 G 01005 01400 00000 00043 82

D. Alcune carte di credito/debito sono accettate in particolari sedi di ▇▇▇▇▇▇▇▇, con un ricarico del 3% sull'importo totale per le carte estere. Si prega di contattare la Casa d'Aste per maggiori informazioni.

ART AUCTIONS ha la possibilità, previo accordo con il venditore, di offrire agli acquirenti che ritenga affidabili la facoltà di pagare i lotti acquistati a caden- ze dilazionate. I potenziali acquirenti che desiderano accedere ad un paga- mento dilazionato devono prendere contatto con la direzione di ART AUC- TIONS prima della vendita.

7.2 - In caso di mancato pagamento, fermo restando il diritto a ottenere il ri- sarcimento anche dei maggiori danni, ART AUCTIONS potrà: a) restituire il bene al mancato venditore ed esigere il pagamento dal mancato acquirente del- le commissioni perdute; b) agire per ottenere l’esecuzione coattiva dell’ob- bligo di acquisto; c) vendere il lotto a trattativa privata, o in aste successive, comunque in danno del mancato compratore, trattenendo a titolo di pena- le gli eventuali acconti versati. Nel caso il lotto rimanesse custodito da ART AUCTIONS ciò avverrà a rischio e spese dell’aggiudicatario e del mancato ven- ditore in solido.

7.3 - In ogni caso ART AUCTIONS potrà concordare con gli aggiudicatari di- verse forme di pagamento, di deposito, di vendita a trattativa privata, di as- sicurazione dei beni e/o la fornitura di qualsiasi altro servizio che fosse richiesto al fine del miglior andamento possibile dell’affare.

7.4 - RITARDO O MANCATO PAGAMENTO - LIMITAZIONE DI ACCESSO ALLE ASTE (ARCHIVIO TEMIS) - ART AUCTIONS aderisce al servizio TEMIS, che permette la consultazione e l’inserimento di dati nell’Archivio di Limitazione di Acces- so alle Vendite all'Asta “Archivio TEMIS” realizzato dalla società Commissaires- Priseurs Multimédia (CPM), società per azioni avente sede sociale a Parigi ▇▇▇▇▇, ▇▇ ▇▇▇ ▇▇▇ ▇▇▇▇▇▇▇▇▇, iscritta nel registro del commercio e delle società di Pa- rigi con il numero 437 868 425.

L’Archivio TEMIS registra gli episodi di ritardo o mancato pagamento degli ac- quisti all’asta, indipendentemente dalla modalità di partecipazione degli ac- quirenti (in presenza o a distanza) ed è consultabile da tutte le case d’aste ade- renti al servizio. L'implementazione dell’Archivio TEMIS e il suo utilizzo da par- te di ART AUCTIONS è necessario ai fini del legittimo interesse degli iscritti al servizio TEMIS a prevenire debiti non pagati e garantire così il corretto svol- gimento delle vendite all'asta.

Si informano gli acquirenti che qualora i loro acquisti non vengano regola- rizzati entro i termini previsti, potrà essere avviata da ART AUCTIONS una pro- cedura di registrazione nell’Archivio stesso. Tale registrazione conterrà i dati anagrafici e i documenti di acquisto. La registrazione nell’Archivio TEMIS può avere la conseguenza di limitare la capacità degli acquirenti di fare offerte pres- so le case d’aste iscritte al servizio TEMIS. Comporta inoltre la sospensione tem- poranea dell'accesso al servizio“Live” della piattaforma ▇▇▇.▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇ gestita da CPM, conformemente alle condizioni generali di utilizzo di tale piat- taforma.

Nel caso in cui un acquirente sia registrato nell'Archivio TEMIS, ART AUCTIONS potrà condizionarne la partecipazione alle proprie aste all'utilizzo di specifi- ci mezzi di pagamento o garanzie o rifiutare temporaneamente la parteci- pazione dell’acquirente alle aste per le quali tali garanzie non possono esse- re implementate.

Gli acquirenti che desiderano sapere se sono oggetto di una registrazione nel- l'archivio TEMIS, contestare la loro registrazione o esercitare i diritti di acces- so, rettifica, cancellazione, limitazione, opposizione di cui dispongono in ap- plicazione della legislazione applicabile in materia di protezione dei dati per- sonali, potranno rivolgere le proprie richieste per iscritto, fornendo prova della propria identità mediante esibizione di copia di un documento di identità:

Le comunicazioni relative all'esito dell'asta verranno inviate all'indirizzo di po- sta elettronica e/o postale dichiarato dall’acquirente ad ART AUCTIONS al mo- mento dell'asta. L’acquirente dovrà informare tempestivamente ART AUCTIONS di qualsiasi variazione riguardante i propri dati personali e di contatto. Con la partecipazione all’asta, gli acquirenti autorizzano espressamente ART AUC- TION all’eventuale trasmissione dei dati a CPM cosi come sopra specificati.

8. CONSEGNA DEI LOTTI E STOCCAGGIO

8.1 - RITIRO DEI LOTTI

L’aggiudicatario, dopo aver pagato tutte le somme dovute, dovrà ritirare i lot- ti acquistati entro 15 giorni lavorativi dalla data dell’Asta a suo esclusivo rischio, cura e spese, rispettando l’orario a ciò destinato da ART AUCTIONS. Al momento del ritiro del lotto, l’acquirente dovrà fornire ad ART AUCTIONS un documento d’ identità. Nel caso in cui l’acquirente incaricasse una terza persona di ritira- re i lotti già pagati, occorre che quest’ultima sia munita di una delega scrit- ta rilasciata dall’acquirente e di una fotocopia del documento di identità del- l’acquirente. I lotti saranno consegnati all’acquirente o alla persona delega- ta solo a integrale pagamento avvenuto.

8.2 - MAGAZZINAGGIO

Nel caso in cui l’aggiudicatario non dovesse ritirare i lotti acquistati entro il ter- mine sopraindicato, ART AUCTIONS li conserverà, a esclusivo rischio e spese dell’aggiudicatario, nei locali oggetto dell’asta per altri cinque giorni lavora- tivi. Trascorso tale periodo ART AUCTIONS potrà far trasportare, sempre a ri- schio e spese dell’aggiudicatario, i beni presso un qualsiasi depositario, o al- tro suo magazzino, liberandosi, nei confronti dell’acquirente, con la sempli- ce comunicazione del luogo ove sono custoditi i beni. Resta fermo il fatto che per ritirare il lotto l’aggiudicatario dovrà corrispondere, oltre al relativo prez- zo con accessori, anche il rimborso di ogni altra spesa successiva.

In caso di ritardato ritiro dei lotti acquistati, a partire dal 16esimo giorno la- vorativo dalla data dell’asta la Casa d’Aste si riserva la possibilità di addebita- re i costi di magazzinaggio (per mese o frazione di mese), di seguito elenca- ti a titolo indicativo:

• € 100 + IVA per i mobili

• € 50 + IVA per i dipinti

• € 25 + IVA per gli oggetti d’arte e per tutti gli altri lotti in genere

I costi di deposito di automobili e motociclette sono indicati specificamen- te nei relativi cataloghi.

9. SPEDIZIONE ED ESPORTAZIONE

9.1 - SPEDIZIONE DEI LOTTI

Il personale di ART AUCTIONS sarà lieto di occuparsi della spedizione dei lot- ti acquistati seguendo le indicazioni comunicate per iscritto dagli acquiren- ti e dopo che questi abbiano effettuato per intero il pagamento. La spedizione avverrà a rischio e spese dell’acquirente che dovrà manlevare per iscritto la Casa d’Aste da ogni responsabilità in merito. Il nostro personale è inoltre a di- sposizione per valutazioni e consigli relativi a tutti i metodi di spedizione e as- sicurazione dei lotti.

9.2 - ESPORTAZIONE DEI LOTTI ACQUISTATI

Il D.Lgs n. 42 del 22 gennaio 2004 regola l’esportazione di Beni Culturali al di fuori del territorio della Repubblica Italiana. Il Regolamento CEE n. 3911/92 del 9 dicembre 1992, come modificato dal Regolamento CEE n. 2469/96 del 16 dicembre 1996 e dal Regolamento CEE n. 974/01 del 14 maggio 2001, re- gola invece l’esportazione dei Beni Culturali al di fuori dell’Unione europea. Per esportare fuori dall’Italia i Beni Culturali aventi più di 70 anni è necessa- ria la Licenza di Esportazione che l’acquirente è tenuto a procurarsi perso- nalmente. ART AUCTIONS non risponde per quanto riguarda tali permessi, né può garantire il rilascio dei medesimi. ART AUCTIONS, su richiesta dell’acquirente e a suo nome, può provvedere all'espletamento delle pratiche relative alla con- cessione delle licenze di esportazione secondo il seguente tariffario:

- euro 200,00 + IVA per singolo lotto o per il primo di una pratica dal valore di aggiudicazione complessivo superiore a euro 5.000,00

- euro 100,00 + IVA per singolo lotto o per il primo di una pratica dal valore

di aggiudicazione complessivo uguale o inferiore a euro 5.000,00

Il rimborso comprende la compilazione delle pratiche, le marche da bollo e la stampa delle fotografie a colori.

La mancata concessione delle suddette autorizzazioni non può giustificare l’annullamento dell’acquisto né il mancato pagamento, salvo diverso accor- do preso prima dell’Asta con ART AUCTIONS.

In riferimento alle norme contenute nell’art. 8, 1° comma, lettera B, del DPR 633/72, si informano i gentili acquirenti che, nel caso in cui volessero trasportare il bene fuori dal territorio comunitario e ottenere il rimborso dell’IVA, è necessario rispettare le seguenti procedure:

- completare le pratiche doganali e il trasporto fuori dal territorio U.E. entro 3 mesi a partire dalla data di fatturazione.

- far pervenire entro lo stesso termine la bolla doganale originale o documento equipollente direttamente a ART AUCTIONS.

Le indicazioni legislative sopra indicate fanno riferimento alle norme in vigore. Sarà onere della parte aggiudicataria informarsi, in via del tutto autonoma, cir- ca eventuali modificazioni legislative e/o inesattezze. Art Auctions non assume alcuna responsabilità in punto.

9.3 - EVENTUALI RESTRIZIONI

Tutti sono ovviamente tenuti a rispettare le leggi vigenti all’interno dello Sta- to ove è stata svolta l’asta. In particolare ART AUCTIONS non assume nessu- na responsabilità in relazione ad eventuali restrizioni all’esportazione dei lot- ti aggiudicati, e/o in relazione a licenze e/o permessi che l’aggiudicatario po- trà dover richiedere in base alla legge vigente. L’aggiudicatario non potrà ri- chiedere alcun rimborso né al venditore né ad ART AUCTIONS nel caso in cui lo Stato esercitasse il suo diritto di prelazione, o altro diritto a esso riservato. I diritti maturati in relazione ad una aggiudicazione poi annullata a causa del- la negata autorizzazione all’esportazione del lotto per contrasto tra le diver- se Soprintendenze, sono comunque dovuti dal mandante ad ART AUCTIONS anche se tale mancato permesso deriva dalla non comunicazione del mandante ad ART AUCTIONS dell’esistenza di una autorizzazione all’esportazione rilasciata dall’Ente competente su richiesta del mandante stesso e/o di terzi.

10. CONTESTAZIONI

In caso di contestazioni rivelatesi fondate e accettate da ART AUCTIONS a se- guito della vendita di oggetti falsificati ad arte, la Casa d’Aste potrà, a sua di- screzione, dichiarare la nullità della vendita e, ove sia fatta richiesta nei modi e nei limiti di legge, rivelare all’aggiudicatario il nome del venditore. L’acqui- rente potrà avvalersi di questo articolo solo ed esclusivamente nel caso in cui abbia notificato ad ART AUCTIONS, ai sensi degli articoli 137 e SS CPC la con- testazione con le prove relative entro il termine di 15 giorni dall’aggiudicazio- ne. In ogni caso, a seguito di un reclamo accettato l’aggiudicatario avrà diritto a ricevere esclusivamente quanto pagato per l’aggiudicazione contestata, sen- za l’aggiunta di interessi o qualsiasi altra somma per qualunque altro motivo.

11. ACCETTAZIONE DELLE CONDIZIONI DI VENDITA

Le presenti Condizioni Generali di Vendita sono accettate automaticamente alla firma della scheda di partecipazione di cui all’art 3.2 e comunque da tut- ti quanti concorrono alla vendita e sono a disposizione di chiunque ne fac- cia richiesta. Per qualsiasi controversia è stabilita la competenza del Foro di Genova

12. PRIVACY

12.1 - GDPR 2016/679

Legge sulla Privacy D.Lgs. 196/03 e successive modifiche e integrazioni (GDPR 2016/679). Titolare del trattamento è ART AUCTIONS S.r.l. con sede in ▇▇▇ ▇▇- ▇▇▇▇ ▇▇, ▇▇▇▇▇▇. Il cliente potrà esercitare i diritti di cui al d. lgs. 196/03 (ac- cesso, correzione, cancellazione, opposizione al trattamento ecc.), rivolgen- dosi ad ART AUCTIONS S.r.l.. GARANZIA DI RISERVATEZZA ai sensi dell’art. 25 del d. lgs. 196/03 i dati sono trattati in forma automatizzata al solo fine di pre- stare il servizio in oggetto, o di altro servizio inerente l’oggetto sociale della società, con le modalità strettamente necessarie allo scopo. Il conferimento dei dati è facoltativo: in mancanza, ART AUCTIONS non potrà dar corso al ser- vizio. I dati non saranno divulgati. La partecipazione all’asta consente ad ART AUCTIONS di inviare successivi cataloghi di altre aste.

12.2 - ARCHIVIO TEMIS

ART AUCTIONS utilizza la piattaforma TEMIS gestita dalla società Commissaires- Priseurs Multimédia (CPM), ai fini della gestione del recupero dei crediti. In tale contesto, in caso di ritardato pagamento, i dati personali relativi agli acqui- renti o ai loro rappresentanti, (in particolare identità e dati di contatto, infor- mazioni relative alla vendita, fatture) potranno essere comunicati a CPM per le finalità di gestione del recupero crediti. CPM agisce come subappaltatore ai sensi del Regolamento Generale sulla Protezione dei Dati (Regolamento UE 2016/679 GDPR del 27 aprile 2016).

GENERAL CONDITIONS OF SALE - ▇▇▇▇▇▇▇▇ ITALY

1. GENERAL TERMS

1.1 Taking part in an Auction, both as Buyer and Seller, implies the entire and unconditional acceptance of the Conditions of Sale outlined in our catalogues and published on the website of ▇▇▇▇▇▇▇▇ ART AUCTIONS (hereinafter ART AUCTIONS or Auction House). In the event of a change in the aforementio- ned conditions, the wording in force ratione temporis at the time of the auc- tion itself, for the Buyer, or of the assignment of the mandate to sell, for the Seller, will prevail.

Bidders and Sellers are required to read carefully this section containing the purchase terms of the lots for sale.

1.2 The objects may be sold in lots or individually according to the final opi- nion of ART AUCTIONS. The Auctions will be held in premises that are open to the public and/or online by ART AUCTIONS which acts simply as agent in the name and interests of each Seller (the name of the said Seller is written in all the Registers required by ▇▇▇). The sale directly concerns the Purcha- ser and the Seller. ART AUCTIONS does not assume any responsibility in re- lation to the Purchaser, the Seller or any third party concerned.

2. BEFORE THE AUCTION

2.1 - ESTIMATES

Beside each lot description in the catalogue there is an indication of the Esti- mate for potential Buyers. This Estimate cannot constitute any reliance on the Buyer. All the lots, depending on market interest, may achieve prices that are either superior to or inferior to the indicated Estimates. The Estimates relati- ve to the initial sale price, indicated beneath the description of each item in the catalogue, are intended as net and do not include, for example, the com- missions (Buyer’s Premium), taxes etc. Since the printing time of the catalo- gue requires price Estimates in advance, these latter may be subject to chan- ge, as may also the description of the items. Each and every change will be communicated by the Auctioneer before the beginning of the Auction in re- lation to each item concerned. The lot/s will, however, only be sold upon rea- ching the reserve price.

2.2 - RESERVE

The reserve price corresponds to the minimum price agreed upon between ART AUCTIONS and the Seller, beneath which the lot will not be sold. Lots of- fered without reserve are indicated in the catalogue with the Estimate in red color or with the wording O.L. These lots are sold to the highest bidder in- dependently of the published Estimates.

2.3 - VIEWING BEFORE THE AUCTION

Where communicated, each Auction is preceded by a free open viewing. Ope- ning times are shown in the first pages of each catalogue and on the ART AUC- TIONS website. The viewing enables all Buyers to undertake an appropriate examination of the lots for sale and to verify all aspects related to the lot, such as authenticity, state of preservation, materials, etc. In case of auctions that take place exclusively online, ART AUCTIONS Experts are available to send Con- dition Reports and additional photographs to potential Buyers, being un- derstood that the opinion of our Experts is not binding and does not repla- ce the judgment of the Buyers.

2.4 - CONDITION OF THE LOTS

The lots are sold in their current state. We recommend, therefore, that potential Buyers check the condition of the lot/s, as well as the type of lot/s being of- fered, before the Sale. The Experts will be happy to provide upon request Con- dition Reports on the state of preservation. The descriptions in the catalogues merely represent the opinion of the Experts and may be subject to further re- visions that will, in due course, be given to the public during the Auction.

2.5 - WATCHES AND CLOCKS

The descriptions in the catalogue for watches and clocks in relation to pre- servation and/or restorations are given as guidelines to prospective Buyers, however they may under no circumstance be considered exhaustive. The Con- dition Reports which ART AUCTIONS may send, on request of a prospective Buyer, do not reflect an exhaustive description and some restorations or im- perfections may not be mentioned. Condition Reports are statements of opi- nion given by the Experts and are purely subjective and do not constitute a

guarantee that may substitute a direct examination by the prospective Buyer. Prospective Buyers should personally inspect the condition of each lot in or- der to ascertain its effective state, both from the technical and the aesthetic points of view. Lots are sold in their present state and the fact that an im- perfection or a restoration is not mentioned does not imply that the imper- fection or restoration does not exist. Watches, due to their mechanical and functional nature, are normally used and kept up and possibly repaired, in the course of their existence: they are examined by the Experts prior to the sale, but the Auction House gives no guarantee that they are in working order, free of repairs or in the presence of non-original parts.

Wristwatches in water-resistant cases have been opened to examine their mo- vements: therefore, ART AUCTIONS suggests that such a watch be control- led by an authorized dealer before using the same in conditions where wa- ter is present. As concerns quartz movements, no information is given about working order if the battery, at the moment of examination, is discharged. All documents regarding watches, if not otherwise specified, are not present. All straps and bracelets, if not otherwise specified, are not to be considered ori- ginal. Straps made of organic material are associated with the watch for di- splay purposes only: prospective Buyers are aware that the importation to Fo- reign Countries of materials derived from endangered or otherwise protec- ted species (purely as an example: tortoiseshell, ivory) are subject to CITES in- ternational rules. Prospective Buyers should therefore acquire the necessary information on such restrictions prior to their participation in the sale for lots containing, even though partially, materials falling under these rules. Indica- tions of weight, if included in the Condition Report, are to be considered gross and purely indicative, as well as weights in carats of precious stones, indica- tions of the nature of precious stones or other precious materials and mea- sures of cases.

2.6 - WINES AND SPIRITS

Wines and Spirits are described with as much accuracy as can be ascertained at the time of publication of the catalogues, however potential Buyers must take into consideration any natural variations in levels, conditions of the ca- ses, labels, corks and the wines or spirits themselves. No returns will be accepted.

2.7 - PAINTINGS

By participating in the auction, the Buyer expressly releases the Auction Hou- se from any liability and/or warranty in relation to the state of preservation of the frames of the artworks until the time of delivery to the Buyer. In parti- cular, the participant declares to be perfectly informed that the frame was nei- ther an element for the formation of the price nor a decision-making element for the purchase, considering its presence, or its lack, irrelevant. The Auction House will be responsible for the state of preservation of the frame only if it has provided, following a formal request, a Condition Report (within the limits of the omitted indication of any significant deficiencies that determine a si- gnificant change in the value of the painting itself ).

The Buyer expressly exempts the Auction House from any liability and gua- rantee whatsoever in relation to the colors of the paintings, which may be dif- ferent from those perceived by a direct view. Anyhow, we suggest to ask for a Condition Report and photos in addition to those already present on the website and in the catalogue.

2.8 - TERMINOLOGY AND ATTRIBUTION

Statements concerning the author, attribution, origin, period, provenance and conditions of the lot/s in the Catalogue are to be considered as the personal opinion of the Experts and Scholars who may have been consulted and do not necessarily represent fact.

▇▇▇▇▇▇: in our opinion, the work is the work of the artist. ATTRIBUTED TO ▇▇▇▇▇▇: in our opinion, the work is probably by the artist, but there is no absolute certainty.

▇▇▇▇▇▇’▇ WORKSHOP/STUDIO: in our opinion, the work is made by an unknown painter working in the artist’s workshop/studio who may or may not have un- dertaken the painting under the artist’s supervision.

▇▇▇▇▇▇’▇ CIRCLE: in our opinion, the work is made by an unknown painter who is in some way connected or associated to the artist, although not ▇▇▇▇▇▇▇- ▇▇▇▇ a pupil of the artist.

STYLE OF/FOLLOWER OF TITIAN: in our opinion, the work is made by a pain- ter who was contemporary or almost contemporary to the artist, working in the same style of the artist, without being necessarily connected to him by an artist-pupil relationship.

MANNER OF TITIAN: in our opinion, the work has been carried out in the sty- le of the artist but subsequent to the period of the artist.

FROM TITIAN: in our opinion, the work is a copy of a painting by the artist. IN THE STYLE OF...: in our opinion, the work is in the style mentioned, ▇▇▇▇- ver from a later period.

SIGNED–DATED– INSCRIBED: in our opinion, the signature and/or date and/or inscription are by the artist.

BEARING SIGNATURE–DATE–INSCRIPTION: in our opinion, the signature and/or date and/or inscription have been added.

The dimensions supplied are height first, followed by width.

2.9 - OTHER NOTICES

Every lot with any electric equipment is sold as "not working" and it should be totally re-conditioned. ART AUCTIONS is not responsible for any incorrect, wrong use of sold lots or for any non-compliance with instructions. The words “….year…..” or the date quoted in the lots description indicates the beginning of production of the said lot, unless otherwise specified. The descriptive ima- ge in the catalogue and website might not faithfully represent the lots at auc- tion. The Auction House always recommends directly viewing the lots befo- re making any bids. In case it is not possible to have a view of the lot/s in per- son, prospective Buyers may request a Condition Report in order to receive additional and detailed images of the lot/s.

2.10 - USE OF IMAGES

Buyers and Sellers expressly authorize ART AUCTIONS to use freely and at no cost the photographs depicting the lots being auctioned for any purpose what- soever, none excluded and/or excepted, including for example but not limi- ted to, advertising, diffusion via internet and/or by any other means, publi- cation in the Magazines of the Auction House or published by third parties,

3. HOW TO PARTICIPATE

3.1 - TAKING PART IN THE AUCTION

Taking part in an Auction may occur by being present in the Auction Room, connected online or through written or telephone bids that ART AUCTIONS will be happy to execute in the name and on behalf of potential Buyers. This service is free of charge and, therefore, the Auction House bears no form of responsibility for this service. ART AUCTIONS will, therefore, not be respon- sible for any bids inadvertently not executed or for errors related to their exe- cution. ART AUCTION may ask new Buyers for adequate bank references.

3.2 - PARTICIPATION FORM

In order to guarantee the highest levels of transparency during the Auction for all those intending to place bids, prospective Bidders are required to fill out a participation form with personal information and bank details. ART AUC- TIONS reserves the right to check on the details/references provided and to refuse those who might not be welcome. Upon completion of the form, ART AUCTIONS will supply a numbered identification paddle which will have to be shown to the Auctioneer in order to place a bid. Customers choosing to participate online will have to create their account in ▇▇▇▇▇▇▇▇ plus, fill in the relevant online forms and provide all the information requested. As a par- tial derogation of the above, ART AUCTIONS may accept Bids if a sum equal to the value of the lot/s requested, plus commissions, taxes and expenses is de- posited as guarantee. In case this Bid is successful, the Buyer will communica- te immediately his complete personal and tax data.

4. DURING THE AUCTION

4.1 - BIDDING IN PERSON

In order to bid in person, potential Buyers have to register and collect a bid- ding number by filling out the Bidding Form and providing a valid document of identification and tax code number. All lots sold will be invoiced to the name and address supplied when collecting the bidding number and they will not be able to be transferred to other names and/or addresses. Should a poten- tial Buyer wish to bid on behalf of a third party, he/she should inform ART AUC- TIONS before the beginning of the Auction, and expressly receive a written authorization.

4.2 - ABSENTEE AND TELEPHONE BIDS

ART AUCTIONS may accept absentee bids (by means both of written as well as telephone bids) that will be undertaken by the Auctioneer, in direct com- petition with those present in the Auction Room. Should there be a case of identical bids, the written bid will prevail upon the oral bid. In order to bid by written or telephone bids, potential Buyers have to fill out the Absentee Bids Form issued in the catalogue and /or in our website ▇▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇ and send it to the Auction House at least seven hours before the beginning of the Auction. Bids must be in euro and do not include Buyer’s Premium, char- ges and taxation as established by the current Law, which therefore must be added.

Absentee bids are carried out on behalf of the bidder at the lowest price pos- sible in consideration of the reserve price and the other bids received by the Auction House. In the absence of a higher bid, written bids undertaken on lots without a reserve (indicated by the Estimate in red or by the letters O.L.) will be sold at approximately 50% of the lowest estimate or at the figure cor- responding to the bid, even though lower than 50% of the lowest Estimate. Telephone bids are organized by ART AUCTIONS within the limits of phone line availability and exclusively for lots with a maximum Estimate of no less than 500 euro. Telephone calls during the Auction may be recorded. Poten- tial Buyers who bid by telephone consent to the recording of their conversations. ART AUCTIONS will not be responsible in any case for any problems of any na- ture that may occur during the telephone connection.

4.3 - ONLINE BIDDING

It is possible to participate online, either by registering in the appropriate sec- tion of ART AUCTIONS website and registering for the relevant auction, or through other external platforms. When the auction session is open, poten- tial Buyers can enter the online room and place their bids. ART AUCTIONS is not responsible in any case for any problem or inconvenience of any nature that may occur during the connection, the hammer price and paddle num- ber pronounced by the Auctioneer and transcribed in his appropriate Regi- ster will be considered as binding.

4.4 - HAMMER PRICE

Lots are sold to the highest bidder for cash. The Hammer Price indicates that a sale of a lot has been made and from that moment the Buyer assumes full responsibility for the lot. In addition to the hammer price, the Buyer shall pay ART AUCTIONS the auction fees (Buyer’s Premium) and tax charges required by current laws. Should any disputes arise among more than one Buyers, the Auctioneer (his/her decision is final) will put the object up for sale once more so it can be purchased again in the same sale. In any case, the Buyers who disputed the former sale of the item in question are still bound by the initial bid (which gave rise to the subsequent sale of the item. In the event of a new bid not being made, the Auctioneer, at his sole discretion, will communica- te who is to be considered the successful Buyer of the lot/s. In case of any tran- sfer to third parties of the purchased lot/s by the Buyer, ART AUCTION will con- sider the successful bidder as the sole person responsible for payment. Bid- ding at Auction in the name of and on behalf of third parties may be accep- ted only by providing ART AUCTIONS with adequate bank references as well as a power of attorney ad negotia at least three days before the Auction.

4.5 - BIDS PRIORITY

In case of two identical written bids, which are not exceeded by bids in the saleroom or by telephone, ART AUCTION will consider the one submitted first to be the successful one. ART AUCTIONS reserves the right to refuse, at its sole discretion, bids from unknown and/or unwelcome Buyers.

4.6 - AUCTION HOUSE AND AUCTIONEER’S RIGHTS

ART AUCTIONS reserves the right to withdraw any lot/s from the Auction. The Auctioneer opens the Auction beginning with the bid that s/he believes to be the most opportune, based upon both the value of the lot/s as well as the competing bids. The Auctioneer may make further bids or in response to other bids, until the reserve price is reached. The Auctioneer, during the Auction, may group together or separate lot/s and vary the order of the sale. The Auc- tioneer may – at his/her sole discretion – withdraw lot/s that do not reach the reserve price agreed upon between ART AUCTIONS and the Seller.

5. ▇▇▇▇▇’▇ PREMIUM AND THE ARTIST’S RESALE RIGHT

5.1 - BUYER’S PREMIUM

In addition to the hammer price, the Buyers agree to pay to ART AUCTIONS a Buyer’s Premium on the Hammer Price of each lot sold, V.A.T. included. On all lots we charge:

• 30% of the Hammer Price up to and including € 2.000

• 25% on that part of the Hammer Price over € 2.001 and up to and including

€ 2.000.000

• 22% on that part of the Hammer Price above € 2.000.001

The following departments are exceptions:

A. Classic Cars 15% of the hammer price

B. Coins & Medals, Philately 20% of the hammer price

C. Wine & Spirits, Books & Manuscripts 25% of the hammer price

5.2 - THE ARTIST’S RESALE RIGHT

The Artist’s Resale Right has been in force in Italy since April 9th 2006 with the Law Decree no. 118 (13/02/2006). This represents the right of the Author/▇▇- ▇▇▇▇ (living or deceased within the previous seventy years) of figurative art works and manuscripts to perceive a percentage of the sale price of his/her origi- nal works upon those sales taking place following the initial sale of the work/s in question. Resale Royalties will be charged to the Seller where the hammer price is 3.,000.00 Euro or more and will not be superior to 12,500.00 Euro per lot. The amount to be paid is determined as follows:

• 4% of the Hammer Price up to and including 50,000 euro.

• 3% on that part of the Hammer Price over 50,000,01 and up to and inclu- ding 200,000 euro.

• 1% on that part of the Hammer Price over 200,000,01 and up to and inclu- ding 350,000 euro.

• 0.5% on that part of the Hammer Price over 350,000,01 and up to and including 500,000 euro.

• 0.25% for the sale price above 500,000 euro.

The Artist’s Resale Right charged to the Seller will be paid by ART AUCTIONS to the SIAE (The Italian Society for Authors and Editors) as laid down by ▇▇▇.

6. RESPONSIBILITY

ART AUCTIONS acts exclusively as the agent for the Sellers and bears no re- sponsibility in terms of descriptions of the items in the Catalogues or in any other illustrated publication. All the descriptions of items are intended purely as illustrative and indicative. They may not generate any form of reliance as far as the Buyer is concerned. The Auction will be preceded by a public vie- wing of the items in order to allow for a careful examination of the lot/s on behalf of prospective Buyers. In this way, potential Buyers will have the op- portunity to and be responsible for a complete examination of all the quali- ties of the item/s in question: for example, the authenticity, the state of pre- servation, the type, the material of the items being auctioned. After the pur- chase, no one will be able to dispute or criticize ART AUCTIONS or the Sellers for the lack of any form of quality in reference to the object being auctioned. ART AUCTIONS and its employees/consultants will not issue any guarantee of authenticity. All indications concerning to the carats and the weight of me- tals or precious stones, as well as their relative marks, are merely indicative. ART AUCTIONS is not responsible for any potential errors or falsifications. Not- withstanding any potential reference to descriptions by experts external to the Auction House, ART AUCTIONS does not either guarantee the accuracy or the authenticity of such comments.

7. PAYMENT

7.1 Payment must be made in full, including Hammer Price, Buyer’s Premium and any other expenses within 10 working days from the date of the Auction, in legal currency in the Country where the auction took place by means of:

A. Cash payments, accepted up to a maximum amount of 4,999.99 euro.

B. Italian bank drafts payable to ART AUCTIONS SRL

D. Certain credit/debit cards are accepted in some ▇▇▇▇▇▇▇▇ offices, with a 3% surcharge on the total invoice value for foreign cards. Please contact ▇▇▇▇▇▇▇▇ for more information.

ART AUCTIONS may offer, upon agreement with the Seller, to those Buyers it deems reliable, the possibility to pay for purchased lots in instalments. Po- tential Buyers who wish to undertake payment by instalments should con- tact the Management of ART AUCTIONS before the sale.

7.2 In the case of lack of due payment, after full compensation of damages made to ART AUCTIONS, the Auction House may: a) return the item to the Seller and demand full payment from the Buyer of the due commissions/pre- mium; b) undertake action in order to forcefully obtain the obligations of pur- chase; c) sell the lot/s privately or in subsequent Auctions, to the disadvan- tage of the original Buyer, treating any sums paid by the latter as a form of sanction. If the lot/s is kept by ART AUCTIONS this will be at the risk and ex- pense of the Buyer and the Seller.

7.3 ART AUCTIONS will be authorized to agree with successful bidders on dif- ferent forms of payment, deposit, sale by private treaty, insurance of goods and/or any other service that may be required to achieve the best performance of the deal.

7.4 DELAY OR NON-PAYMENT - AUCTION ACCESS RESTRICTION FILE (TEMIS) ART AUCTIONS adheres to the TEMIS service, which allows the consultation and insertion of data in the Auction Access Restriction File "TEMIS File” crea- ted by the company Commissaires-Priseurs Multimédia (CPM), a public limi- ted company with registered office in ▇▇▇▇▇ ▇▇▇▇▇, ▇▇ ▇▇▇ ▇▇▇ ▇▇▇▇▇▇▇▇▇, ▇▇- ▇▇▇▇ on the Paris Trade and Companies Register under number 437 868 425

The TEMIS File records episodes of late or non-payment of purchases at auc- tion, regardless of the mode of participation of buyers (in person or remote- ly) and may be viewed by all auctioneers who subscribe to this service. The implementation of the TEMIS File and its use by ART AUCTIONS is necessary for the purposes of the legitimate interest of those registered with the TEMIS service to prevent unpaid debts and thus guarantee the correct conduct of auction sales.

Buyers are informed that if their purchases are not regularized within the esta- blished deadlines, ART AUCTIONS may start a registration procedure in the File itself. This registration will contain personal data and purchase documents. Registration in the TEMIS File may have the consequence of limiting the abi- lity of buyers to bid at auction houses registered with the TEMIS service. In such cases, this shall also result in temporary suspension of access to the ▇▇▇.▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇ live services, operated by CPM, in accordance with the general terms of use for this platform.

Where a bidder is listed on the TEMIS File, ART AUCTIONS may make access to auctions contingent on the use of payment methods or specific guaran- tees, or it may prevent the Bidder from participating in auctions for which such guarantees cannot be provided.

Bidders can find out if they are listed on the TEMIS File, contest their TEMIS File listing, or exercise their rights of access, rectification, erasure, restriction or objection under applicable data protection legislation, by submitting a re- quest in writing accompanied by proof of identity in the form of a copy of a relevant identity document:

Important notifications relating to the auction process will be sent to the email and/or postal address that the Bidder provides the auctioneer at the time of auction. Bidders must notify ART AUCTIONS of any changes to their contact details.

By participating in the auction, buyers expressly authorize ART AUCTION to transmit data to CPM as specified above.

8. DELIVERY AND STORAGE

8.1 - LOTS DELIVERY

The Buyer, after having paid all the sums due, must collect the lot/s acquired within fifteen working days of the Auction date, at his/her own risk and ex- pense, in full consideration of the opening hours of ART AUCTIONS. When col- lecting the lot/s, the Buyer must provide ART AUCTIONS with a valid docu- ment of identity. Should the Buyer request a third party to collect the lot/s already paid for, the latter should possess a written permission signed by the Buyer and a copy of the Buyer’’s document of identity. The lot/s will be given to the Buyer or to the third party only upon payment made in full. Buyers and Sellers expressly recognize to the Auction House the right to retain the lot/s until all sums due to ART AUCTIONS have been paid in full.

8.2 - STORAGE

Should the Buyer not collect the lot/s within the aforementioned deadline, ART AUCTIONS will store them at the sole risk and expense of the Buyer, in the premises for a further five working days. After this period, ART AUCTIONS will relocate the item/s (at the Buyer’s own risk and expense) to any warehouse deemed most appropriate. The Auction House will inform the Buyer of the place where the item/s are kept. It is clearly understood that in order to col- lect the object/s the Buyer will have to pay, in addition to the Hammer Price plus Buyer’s Premium etc, any refund due to subsequent expenses incurred by the Auction House.

If purchased lot/s are collected after the aforementioned deadline, the Auc- tion House may debit the costs of storage (by month or part of a month) as follows:

• 100 euro + VAT for furniture

• 50 euro + VAT for paintings

• 25 euro + VAT for works of art and all other lots in general.

Storage costs for cars and motorcycles are specifically quoted in the relevant catalogues.

9. SHIPPING AND EXPORT

9.1 - SHIPPING OF LOTS

ART AUCTIONS team will be glad to ship lots purchased according to writ- ten instructions given by the Buyer, after full payment of the invoice. Shipping will be at the risk and expense of the Buyer who, by means of a written com- munication, will have to release ART AUCTIONS from any responsibility con- cerning this operation. Furthermore, our team is available for evaluations and advice in relation to the shipping methods employed and insurance of the lot/s.

9.2 - EXPORT

The Law Decree no. 42 of January 22nd 2004 regulates the export of cultu- ral heritage and goods outside the Republic of Italy. The EU Regulation no. 3911/92 of December 9th 1992, as modified by EU Regulation no. 2469/96 of December 16th 1996 and by EU Regulation no. 974/01 of May 14th 2001, regulates the export of cultural heritage and goods outside the European Union. In order to export outside Italy cultural heritage and goods that are over 70 years old need an Export License that the Buyer has to procure for him/her- self personally. ART AUCTIONS is not involved in the procurement of such per- mits and cannot therefore guarantee the relative issue of such permits. ART AUCTIONS, upon the request of the Buyer and at his name, may undertake the operations necessary for the granting of the Export License according to the following tariffs:

- Euro 200 + IVA for each single lot or the first lot of a total hammer price va- lue of more than euro 5.000 for paperwork

- Euro 100 + IVA for each single lot or the first lot of a total hammer price va- lue equal to euro 5.000 or less for paperwork

including form-filling, taxation stamps and photographic (colour) docu- mentation. Should the above-mentioned authorisation not be granted the Buyer of the lot/s is not cancelled, neither is the payment of the lot/s, unless prior agreement with ART AUCTIONS was made before the Auction. With ▇▇- ▇▇▇▇▇▇▇ to the regulations contained in art. 8, 1st paragraph, letter B DPR 633/72. Buyers have to respect the following procedures should they wish to take the lot/s outside the European Union and claim the VAT refund:

- completion of CUSTOMS forms/papers and transport outside the Europe- an Union within three months from the invoice date.

- sending within the same term of the original customs taxation stamp or equi- valent document directly to ART AUCTIONS.

The above legislative indications refer to the regulations in force. It is the sole responsibility of the Buyer to inform itself about any legislative changes and/or inaccuracies. ART AUCTIONS assumes no responsibility in this respect.

9.3 - POSSIBLE RESTRICTIONS

Everybody has to respect the current Laws within the State where the Auc- tion is held. In particular, ART AUCTIONS assumes no responsibility in relation to potential restrictions concerning the export of purchased items and/or in relation to licenses or permits that the Buyer might have to request on the basis of current Laws. The Buyer will not be able to request any refund either from the Seller or from ART AUCTIONS should the State exercise its right to pre-emption or any other right it may possess. The rights accrued in relation to a sale that should be cancelled due to the denial of authorization to ex- port due to different opinions between the cultural authorities concerned are, nevertheless, to be paid by the Seller to Art Auctions, even if the permission was not given because the Seller did not previously inform ART AUCTIONS of the existence of authorization (for export) given by the relevant authority upon the request of the Seller him/herself.

10. CLAIMS

In the event of claims proving to be well-founded and accepted by ART AUC- TIONS subsequent to the sale of false items, the Auction House may, at its own discretion, declare the sale null and void and, where a request is made in the manner and within the limits of the law, reveal the name of the Seller to the Buyer. The Buyer may make use of this Article only and exclusively in the case that s/he has notified ART AUCTIONS – according to Articles 137 and follo- wing in the Code of Civil Procedure – of the claim in question with the rela- tive proof within fifteen days of the Auction date. In any case, subsequent to an accepted claim the Buyer has the right to receive exclusively what was paid for the disputed lot/s without any addition of interests or other sums for any other reason.

11. ACCEPTANCE OF THE CONDITIONS OF SALE

The current General Conditions of Sale are accepted automatically upon si- gning the form (see 3.2) and by all those individuals who take part in the Auc- tion. The aforementioned General Conditions of Sale are at the disposal of anyo- ne who requests to see them. Any case of controversy is within the jurisdic- tion of the Genoa Law Courts.

12. PRIVACY

12.1 - GDPR 2016/679

Privacy Law (Legislative Decree 196/03 including all subsequent amendments and supplements by GDPR 2016/679). Data Controller: ART AUCTIONS S.r.l. with headquarters in ▇▇▇▇▇, ▇▇▇ ▇▇▇▇▇▇ ▇▇. The Customer may exercise his/her rights according to Legislative Decree 196/03 (access, correction, cancellation, op- position etc), by contacting ART AUCTIONS S.r.l.

GARANZIA DI RISERVATEZZA according to Article 25 of Legislative Decree 196/03. The data are processed in an automated form for the sole purpose of providing the above-mentioned service or any further service related to the Auction House, with the methods strictly necessary for the purpose. The supply of data is optional: in default of which, ART AUCTIONS will not be able to perform the service required. The data will not be disclosed. Participation in an Auction allows ART AUCTIONS to send subsequent catalogues of other Auctions.

12.2 - TEMIS FILE

ART AUCTIONS SRL has access to the TEMIS platform operated by Commis- saires-Priseurs Multimédia (CPM) for the purposes of handling the recovery of unpaid invoices. In this context, where there is a delay to payment, the per- sonal data of bidders, or their representatives (e.g. name and contact details, invoices,etc.) may be shared with CPM for the purposes of collecting unpaid amounts. CPM acts as a processor as defined by the General Data Protection Regulation (Regulation (EU) 2016/679 of 27 April 2016).
