Accordo per la cessione dell’impianto termoelettrico di Priolo Gargallo ad Enel
Genova, 23 settembre 2022 – Con riferimento all’operazione di cessione ad Enel Produzione S.p.A. della partecipazione detenuta da ERG Power Generation S.p.A. in ERG Power S.r.l., proprietaria della centrale cogenerativa (CCGT) sita in Priolo Gargallo, subordinata - tra le altre cose - all’approvazione dell’operazione da parte delle competenti Autorità Antitrust (vedasi CS del 9 febbraio 2022), si rende noto che l’Autorità Garante della Concorrenza e del Mercato (AGCM), con provvedimento del 23 settembre 2022, non ha autorizzato la suddetta operazione.
In particolare, l’AGCM ha ritenuto - a seguito dell’attività istruttoria da essa condotta nel corso degli ultimi mesi - che l’operazione darebbe luogo alla costituzione e al rafforzamento di una posizione dominante in capo al compratore tale da eliminare o ridurre in modo sostanziale e durevole la concorrenza sui mercati rilevanti, come risultanti da tale istruttoria.
La mancata approvazione dell’operazione da parte dell’AGCM ha determinato la conseguente inefficacia degli accordi sottoscritti da ERG Power Generation S.p.A. ed ENEL Produzione S.p.A. in relazione alla cessione della partecipazione in ERG Power S.r.l. a causa del non verificarsi di una delle condizioni sospensive al closing.
A tal proposito, ERG valuterà nei prossimi mesi il percorso alternativo più efficiente per perseguire l’obiettivo strategico del piano industriale 2022-2026 di focalizzazione sul core business della produzione di energia elettrica da fonti rinnovabili attraverso la cessione di ERG Power S.r.l..
Si evidenzia che la guidance circa la posizione finanziaria netta prevista al 31 dicembre 2022 (vedasi CS del 4 agosto 2022) viene aggiornata a €1.55-1.65bn da €1.40-1.50bn per riflettere il venire meno dell’incasso relativo alla suddetta cessione mentre si conferma la guidance per l’EBITDA, nel range
€485-515mn, che già non includeva il contributo del CCGT previsto per l’intero anno nel range €60- 70mn, che beneficia dei ricavi da certificati bianchi a valle dei recenti investimenti per la riqualifica dell’impianto, per 10 anni a partire dal 2022, come cogenerativo ad alto rendimento.
Xxxxx Xxxxx, Amministratore Delegato di ERG, ha commentato: “La mancata approvazione dell’operazione da parte dell’AGCM ci ha sorpresi, anche in considerazione degli assetti industriali dell’impianto, le cui produzioni sono principalmente asservite al sito industriale di Priolo attraverso contratti di lungo periodo. Stante quanto emerso valuteremo le possibili opzioni per valorizzare l’asset nel migliore dei modi confermando gli obiettivi di crescita del nostro Piano Industriale.”

Agreement for sale of Priolo Gargallo thermoelectric plant to Enel
Genoa, 23 September 2022 – Regarding the transaction for the sale to Enel Produzione SpA of ERG Power Generation SpA's equity investment in ERG Power Srl, owner of the cogeneration power plant (CCGT) located in Priolo Gargallo, subject - among other things - to the approval of the transaction by the competent Antitrust Authorities (see press release of 9 February 2022), we hereby announce that the Italian Antitrust Authority (AGCM), by means of its resolution dated 23 September 2022, has not authorised the aforesaid transaction.
In particular, the AGCM considered - following the investigation activities it had over the last months - that the transaction would lead to the creation and the reinforcement of a dominant position on the buyer's part that would eliminate or reduce in a substantial and long-lasting way the competition in the relevant markets, as found in this investigation.
The AGCM's non-approval of the transaction thus rendered ineffective the agreements signed by ERG Power Generation SpA and ENEL Produzione SpA for the sale of the equity investment in ERG Power Srl due to the non-fulfilment of one of the conditions precedent to closing.
In this regard, over the coming months ERG will evaluate the most efficient alternative path to pursue the strategic objective of the 2022-2026 business plan of focusing on the core business of generating electricity from renewable sources by divesting ERG Power S.r.l..
It’s worth noting that the guidance related to ERG's expected net financial position as at 31 December 2022 (see PR of 4 August 2022) is updated to €1.55-1.65bn from €1.40-1.50bn to reflect the loss of cash-in relating to the sale mentioned above. However, the guidance on EBITDA is confirmed in the range of €485-515mn not reflecting, as previously stated, the CCGT's expected contribution for the entire year in the range of 60-70 million euro. This contribution is also due to recent investments that qualify it for ten years, starting in 2022, as a high-efficiency cogeneration plant and therefore able to generate white certificates.
Xxxxx Xxxxx, ERG's CEO, commented: "We were surprised by AGCM's failure to approve the transaction, also given the industrial set-up of the plant, whose production is mainly tied to the Priolo industrial site through long-term contracts. In light of what has emerged, we will evaluate the possible options to valorise the asset as best we can while confirming the growth targets in our Industrial Plan."
