(“TIP” – tip.mi), gruppo industriale indipendente e diversificato quotato al segmento Euronext STAR Milan di Borsa Italiana - facendo seguito alle precedenti comunicazioni relative alle intese finalizzate all’acquisto da parte di Engineering – Ingegneria Informatica
S.p.A. (“Engineering”) del 43,209% (45,630% fully diluted delle azioni proprie) di Be Shaping the Future S.p.A., società quotata sul segmento Euronext STAR Milan di Borsa Italiana (“Be”, la “Società” o il “Gruppo Be”), di proprietà di una compagine di azionisti che annovera TIP, Xxxxxxx Xxxxxxxxx e la società da lui controllata Innishboffin S.r.l., Xxxxx Xxxxxxxxx e la società da lui controllata Carma Consulting S.r.l. (congiuntamente, i “Venditori”) - comunica che nella serata di ieri Engineering, unitamente alle società direttamente e indirettamente controllanti la stessa e facenti capo ai fondi di private equity gestiti da Bain Capital Private Equity (Europe) LLP (“Bain Capital”) o le sue affiliate e ai fondi NB Renaissance Partners (“NB Renaissance”) e i Venditori hanno sottoscritto gli accordi definitivi e vincolanti relativi, inter alia, all’acquisto da parte di Engineering per il tramite di un veicolo interamente posseduto (l’“Acquirente”) di n. 58.287.622 azioni ordinarie di Be (rappresentative del 43,209% del capitale sociale ovvero del 45,630% del capitale sociale fully diluted delle azioni proprie, le “Azioni dei Venditori”), al prezzo unitario - tenendo conto del dividendo approvato dall’assemblea in misura pari a 0,03 euro per azione e già distribuito - di 3,45 euro per azione (il “Prezzo per Azione”).
In caso di perfezionamento della compravendita delle Azioni dei Venditori (la “Compravendita”) sorgerà in capo a Engineering e all’Acquirente l’obbligo di promuovere un’offerta pubblica di acquisto obbligatoria totalitaria (l’“OPA Obbligatoria”) sulle residue azioni ordinarie di Be ai sensi degli Articoli 102 e 106 del D. Lgs n. 58/1998 (“TUF”) per un corrispettivo pari al Prezzo per Xxxxxx, finalizzata a realizzare il de-listing di Be (nel complesso, l’“Operazione”).
In particolare, nella serata di ieri, sono stati sottoscritti i seguenti accordi, di contenuto usuale per questo genere di operazioni:
(a) un contratto di compravendita delle Azioni dei Venditori tra Engineering e i Venditori, che prevede, tra le altre cose, il rilascio da parte dei Venditori di talune dichiarazioni e garanzie su Be e sulle società facenti capo alla stessa (il “Gruppo Be”), nonché l’assunzione da parte degli stessi di taluni specifici obblighi di indennizzo su aspetti di business nonché fiscali e previdenziali;
(b) un contratto di reinvestimento e parasociale (il “Patto Parasociale”), tra, da un lato, Engineering e le società direttamente e indirettamente controllanti la stessa e facenti capo ai fondi Bain Capital e NB Renaissance e, dall’altro, i Venditori e una società da loro controllata (il “Veicolo dei Venditori”) contenente pattuizioni afferenti, tra l’altro:
(i) alle modalità del reinvestimento dei Venditori, di taluni key managers del Gruppo Be nonché di altri investitori da effettuarsi – per il tramite del Veicolo dei Venditori - nella holding italiana che controlla Engineering e che, in caso di perfezionamento della Compravendita, controllerà, indirettamente, Be (“Holding Italia”). Tale reinvestimento ammonta: (1) quanto ai Venditori, a complessivi 53,8 milioni di euro (di cui 26,9 milioni di euro quanto a TIP, 24,909 milioni di euro quanto a Innishboffin S.r.l. e 1,990 milioni di euro circa quanto a Carma Consulting S.r.l.) e (2) quanto ai key managers del Gruppo Be e ad altri investitori, a un importo massimo complessivo di ulteriori 15 milioni di euro;
(ii) alla promozione dell’OPA Obbligatoria ed ai relativi obblighi delle parti;
(iii) alle regole di governo societario applicabili post-closing a Be e alle relative controllate italiane
ed estere; e
(iv) al regime di circolazione delle azioni rappresentanti il capitale sociale di Holding Italia e al processo di potenziale disinvestimento delle parti dal loro investimento in Engineering; e
(c) accordi di modifica ed integrazione dei contratti di lavoro con i suddetti key managers del Gruppo Be.
Si rammenta che, come precedentemente comunicato, il perfezionamento della Compravendita e il conseguente lancio dell’OPA Obbligatoria, così come il Patto Parasociale, rimangono, comunque, soggetti all’avveramento, entro e non oltre la data del 31 dicembre 2022, di tutte le condizioni sospensive:
(i) l’ottenimento di tutte le autorizzazioni e i consensi necessari ai sensi di legge (antitrust, golden power, etc.);
(ii) il raggiungimento da parte dell’Acquirente di accordi con azionisti di Be (diversi dai Venditori) aventi ad oggetto l’impegno a cedere all’Acquirente ulteriori azioni di Be che, unitamente alle azioni dei Venditori, consentano all’Acquirente di acquisire una partecipazione in Be complessivamente superiore al 50% del capitale sociale; (iii) l’effettiva disponibilità delle risorse necessarie per dar seguito alla Compravendita e all’OPA Obbligatoria, nonché delle seguenti ulteriori condizioni sospensive, definite nel corso delle negoziazioni; (iv) il non verificarsi di una circostanza che imponga all’Acquirente o a qualsiasi soggetto che agisca di concerto con esso ai sensi dell’articolo 109 del TUF di promuovere l’OPA Obbligatoria ad un prezzo superiore al Prezzo per Azione; e (v) l’intervenuta rinuncia, da parte di taluni top clients del Gruppo Be, al diritto di recesso e/o di risoluzione di determinati contratti commerciali in essere a loro spettante in connessione al completamento dell’Operazione.
Con riferimento alla condizione di cui al precedente punto (ii), come già comunicato si rammenta che i soci di Be Xxxxxx Xxxxxxxxx, Xxxxxxxxx Xxxxxxxxx, Xxxxxxxx Xxxxxxxxxxxxxx Finanziarie S.r.l., Xxxxxxxxx Xxxxxxx, Blue Lake Sicav – SIF, Xxxxxxx Xxxxxxxxx, Xxxxx Xxxxx, Xxxxxxxxx Xxxxxxxx e Xxxxxxxx Xxxxxx (diversi dai Venditori) hanno già inviato a Engineering (e in copia a TIP e Be) lettere aventi ad oggetto l’impegno unilaterale, condizionato, alla cessione ad Engineering, al Prezzo per Azione, di ulteriori azioni rappresentanti in totale il 7,998% del capitale sociale di Be (8,446%% fully diluted delle azioni proprie).
In seguito al perfezionamento della Compravendita, il Gruppo Be entrerà a far parte del gruppo Engineering nel quadro di un progetto fortemente sinergico e complementare finalizzato alla realizzazione di un’azienda all’avanguardia in Italia nel settore dei servizi finanziari, operativa nel mercato
europeo e internazionale, in cui il management consulting completerà e rafforzerà il posizionamento di leadership e il robusto portfolio di soluzioni proprietarie e capabilities digitali vantato da Engineering nel segmento finance.
L’acquisizione di Be consoliderà infatti il ruolo di Engineering come digital enabler strategico, integrando altresì l’offering e le competenze nel mercato financial institutions di entrambe le realtà, che continueranno a mantenere un elevato livello di autonomia e una posizione di mercato differenziata e specializzata, orientata rispettivamente a fornire servizi di management consulting connessi ai più moderni processi di digital transformation, nonché di soluzioni e competenze distintive grazie ad alleanze ed accordi con primari solution vendors internazionali.
Il Gruppo Be continuerà a essere guidato da Xxxxxxx Xxxxxxxxx (con cui verrà sottoscritto un contratto di lavoro e un accordo di amministratore in sede di perfezionamento della Compravendita), affiancato dagli attuali key managers, e resterà focalizzato nei servizi ai principali istituti finanziari a rilevanza sistemica (SIFI), alle banche Tier 1 e ai maggiori circuiti di pagamento internazionali, completando e supportando le proposizioni di valore del gruppo Engineering nel mercato financial institutions.
XXX, Xxxxxxx e Xxxxx Xxxxxxxxx sono assistiti nell’Operazione dallo studio legale Orsingher Ortu – Avvocati Associati. Xxxxx Xxxxxx Bianchi Xxxxxxxx ha assistito Engineering e i relativi azionisti Bain Capital e NB Renaissance. Gli studi Kirkland&Ellis e Xxxxxx, Xxxxxx e Associati hanno assistito Engineering per i profili riguardanti il finanziamento dell’Operazione.
Gli aspetti fiscali dell’Operazione sono curati per i Venditori dallo studio Tremonti Romagnoli Piccardi e Associati e per l’Acquirente dallo studio BonelliErede e Xxxxxx Xxxxxxx Zei.

SIGNING OF FINAL AND BINDING AGREEMENTS FOR THE PURCHASE OF 43,209% OF BE SHAPING THE FUTURE S.P.A. BY ENGINEERING INGEGNERIA INFORMATICA S.P.A.
Tamburi Investment Partners S.p.A. (“TIP” - tip.mi), an independent and diversified industrial group listed on the Euronext STAR Milan segment of the Italian Stock Exchange - following the previous communications regarding the agreements aimed at purchasing by Engineering - Ingegneria Informatica
S.p.A. (“Engineering”) of the 43.209% (45.630% fully diluted of treasury shares) of Be Shaping the Future S.p.A., a company listed on the Euronext STAR Milan segment of the Italian Stock Exchange (“Be”, the “Company” or the “Be Group”), owned by a group of shareholders that includes TIP, Xxxxxxx Xxxxxxxxx and his controlled company Innishboffin S.r.l., Xxxxx Xxxxxxxxx and his controlled company Carma Consulting S.r.l. (collectively the “Sellers”) – announces that yesterday evening Engineering, together with its direct and indirect parent companies which are controlled by the private equity funds managed by Bain Capital Private Equity (Europe) LLP or its affiliates (“Bain Capital”) and NB Renaissance (“NB Renaissance”) and the Sellers have signed definitive and binding agreements relating, inter alia, to the purchase by Engineering through a wholly owned vehicle (the “Purchaser”) of no. 58,287,622 ordinary shares of Be (representing 43.209% of the share capital or 45.630% of the share capital fully diluted of the treasury shares, the “Sellers’ Shares”), at a unit price - taking into account the dividend approved by the Shareholders’ Meeting, and already distributed, of 0.03 Euro per share - of 3.45 Euro per share (the “Price per Share”).
In case of completion of the sale and purchase of the Sellers’ Shares (the “Sale and Purchase”), Engineering and the Purchaser will be obliged to launch a mandatory takeover bid (the “Mandatory Takeover Bid”) on the residual ordinary shares of Be pursuant to Articles 102 and 106 of Legislative Decree No. 58/1998 (“TUF”) for a consideration equal to the Price per Share, aimed at de-listing of Be (collectively, the “Transaction”).
In particular, yesterday evening have been signed the following agreements, with customary content for this kind of transactions:
(a) a sale and purchase agreement of the Sellers’ Shares between Engineering and the Sellers, which provides for, among other things, the release by the Sellers of certain representations and warranties on Be and its subsidiaries (the “Be Group”), as well as the assumption by the Sellers of certain specific indemnity obligations on business, tax and social security matters;
(b) a re-investment and shareholders’ agreement (the “Shareholders’ Agreement”) between, on the one hand, Engineering and the companies directly and indirectly controlling it and controlled by the Bain Capital and NB Renaissance funds and, on the other hand, the Sellers and a company controlled by them (the “Sellers’ Vehicle”) containing agreements concerning, inter alia:
(i) the terms and conditions of the reinvestment of the Sellers, of certain key managers of the Be Group as well as of other investors to be made - through the Sellers’ Vehicle - in the Italian holding company that controls Engineering and that, in the event of completion of the Sale and Purchase, will indirectly control Be (“Holding Italia”). The reinvestment amounts: (1) as to the Sellers, to a total of 53.8 million Euro (of which 26.9 million Euro as to TIP, 24.909 million Euro as to Innishboffin S.r.l. and approximately 1.990 million Euro as to Carma Consulting S.r.l.) and (2) as to the key managers of the Be Group and other investors, to a maximum total amount of additional 15 million Euro;
(ii) the promotion of the Mandatory Takeover Bid and the parties’ obligations thereunder;
(iii) the corporate governance rules applicable post-closing to Be and its Italian and foreign
subsidiaries; and
(iv) the circulation regime of the shares representing the share capital of Holding Italia and the process of potential divestment of the parties from their investment in Engineering; and
(c) agreements to amend and integrate the employment contracts with the above-mentioned key managers of the Be Group.
As previously communicated, the completion of the Sale and Purchase and the consequent launch of the Mandatory Takeover Bid, as well as the Shareholders’ Agreement, remain, however, subject to the satisfaction, no later than December 31, 2022, of all the following conditions precedent: (i) the obtainment of all authorisations and consents required by law (antitrust, golden power, etc.); (ii) the execution of agreements between the Purchaser and Be shareholders (other than the Sellers) whereby these shareholders commit to sell to the Purchaser additional Be shares such to allow the Purchaser to acquire, in aggregate (i.e. including the Sellers’ Shares), a shareholding in Be in excess of 50% of the share capital; (iii) the effective availability of the financing needed to implement the Sale and Purchase and the Mandatory Takeover Bid, as well as the further conditions precedent defined during the negotiations; (iv) the non-occurrence of a circumstance requiring the Purchaser or any person acting in concert with it pursuant to Article 109 of the TUF to launch the Mandatory Takeover Bid at a price higher than the Price per Share; and (v) the waiver, by certain top clients of the Be Group, of the right of withdrawal and/or termination of certain existing commercial contracts to which they are entitled in connection with the completion of the Transaction.
With reference to point (ii) above, as already communicated, it is reminded that the shareholders of Be (other than the Sellers) Xxxxxx Xxxxxxxxx, Xxxxxxxxx Xxxxxxxxx, Xxxxxxxx Xxxxxxxxxxxxxx Finanziarie S.r.l, Xxxxxxxxx Xxxxxxx, Blue Lake Sicav - SIF, Xxxxxxx Xxxxxxxxx, Xxxxx Xxxxx, Xxxxxxxxx Xxxxxxxx and Xxxxxxxx Xxxxxx have already submitted to Engineering (and in copy to TIP and Be) letters containing unilateral, conditional, undertakings to sell to Engineering, at the Price per Share, additional Be shares representing in aggregate the 7.998% of the share capital of Be (8.446% fully diluted of treasury shares).
Following the completion of the Sale and Purchase, the Be Group will become part of the Engineering Group as part of a highly synergic and complementary project aimed at creating a company at the forefront in Italy in the financial services sector, operating in the European and international markets, in which management consulting will complement and strengthen the leadership position and robust portfolio of proprietary solutions and digital capabilities boasted by Engineering in the finance segment.
The acquisition of Be will in fact consolidate Engineering’s role as a strategic digital enabler, while also integrating the offerings and competences in the financial institutions market of both companies, which will continue to maintain a high level of autonomy and a differentiated and specialised market position, respectively oriented towards providing management consulting services connected to the most modern digital transformation processes, as well as distinctive solutions and competences thanks to alliances and agreements with leading international solution vendors.
The Be Group will continue to be led by Xxxxxxx Xxxxxxxxx (with whom an employment contract and a directorship agreement will be execute upon completion of the Sale and Purchase), supported by the current key managers, and will remain focused on services to major systemically important financial institutions (SIFI), Tier 1 banks and major international payment circuits, complementing and supporting Engineering Group’s value propositions in the financial institutions market.
XXX, Xxxxxxx and Xxxxx Xxxxxxxxx are assisted in the Transaction by the law firm Orsingher Ortu - Avvocati Associati. Gatti Pavesi Bianchi Ludovici assisted Engineering and its shareholders Bain Capital and NB Renaissance. The law firms Kirkland&Ellis and Gattai, Minoli e Associati assisted Engineering for the profiles concerning the financing of the Transaction.
Tremonti Romagnoli Piccardi e Associati assisted the Sellers in relation to the tax aspects of the Transaction, while Purchaser is assisted by the firm BonelliErede and Pirola Pennuto Zei.
