Disposizioni della Borsa
modifica alle Istruzioni al Regolamento
Il Consiglio di Amministrazione di Borsa Italiana, nella seduta del 28 maggio 2010, ha approvato le modifiche alle Istruzioni illustrate nel presente Avviso che entreranno in vigore il 28 giugno 2010.
1 - Specialisti sul mercato IDEM
Anche tenuto conto delle richieste degli operatori e alla luce dell’evoluzione delle modalità operative da parte di tali soggetti e della relativa clientela, si consente agli operatori specialisti sul mercato IDEM di avvalersi anche di soggetti non appartenenti al gruppo per lo svolgimento dell’attività di specialista purchè tali soggetti siano società autorizzate all’attività di negoziazione nello Stato d’origine.
Considerato infatti che l’operatore che si avvale di soggetti esterni al gruppo per lo svolgimento dell’attività di specialista rimane pienamente responsabile nei confronti di Borsa Italiana, come già previsto per il segmento IDEX, la condizione dell’appartenenza al gruppo può essere eliminata senza ridurre i presidi a tutela del mercato e assicurando una maggiore flessibilità organizzativa e operativa agli aderenti al mercato.
Resta in ogni caso fermo che l’operatore, anche laddove decida di avvalersi di soggetti esterni al gruppo, dovrà attestare nei confronti di Borsa Italiana che gli addetti all’attività di specialista conoscano le regole e le modalità di svolgimento dell’attività di specialista e dei relativi strumenti tecnici. Gli addetti a tale attività dovranno altresì aver superato lo specifico esame organizzato da Borsa Italiana, volto ad accertare l’effettiva conoscenza delle regole e modalità di svolgimento dell’attività in discorso.
2 - Parità dei leverage certificates
Anche a seguito delle indicazioni provenienti dall’industria e tenuto conto dell’andamento dei mercati azionari, si introduce per i leverage certificates su azioni italiane una parità pari a 1 in luogo di quella attuale pari a 0,1.
Tale modifica garantisce maggiore omogeneità di spread tra il bid-offer del sottostante e quello dello strumento derivato cartolarizzato a vantaggio del mercato.
3 - Tick del mercato ETFplus
In considerazione delle esigenze manifestate da emittenti e operatori specialisti, si richiede una modifica della tabella relativa ai “tick” stabiliti in relazione ai prezzi delle proposte di negoziazione inserite.
In particolare, si eleva da 10€ a 50€ il limite superiore dell’ultimo intervallo di prezzi associato al moltiplicatore 0,005, con conseguente riduzione degli spread a beneficio dell’efficienza del mercato.
Di tale modifica beneficia un numero elevato di strumenti negoziati su ETFPlus che attualmente si colloca nella fascia di prezzo tra 10€ e 50€ .
4 - Offerte di acquisto sul mercato MOT
Tenuto conto dell’evoluzione del mercato e allo scopo di incrementare la liquidità degli strumenti negoziati nel mercato MOT, facilitandone nel contempo il disinvestimento, si consente agli operatori di presentare apposita richiesta a Borsa Italiana di svolgere un’attività di mera esposizione continuativa in acquisto sul mercato per quantitativi minimi.
Anche al fine di consentire la verifica del rispetto degli obblighi assunti, l’operatore deve segregare tale attività di negoziazione utilizzando uno specifico Trader Group prendendo preventivamente contatti con Borsa Italiana, secondo le regole generali.
5 - Fine tuning Domanda di ammissione per i mercati Sedex e etfplus
Al fine di armonizzare i modelli di domanda di ammissione si apportano alcune modifiche ai modelli relativi agli strumenti negoziati sul mercato SEDEX e sul mercato ETFplus. In particolare:
Privacy: si prevede di non reiterare il rilascio del consenso al trattamento dei dati sensibili dell’emittente ove questo ultimo lo abbia già prestato in sede di ammissione a quotazione in altri mercati gestiti da Borsa Italiana;
Specialisti: al momento della domanda l’emittente deve dichiarare se intende avvalersi di soggetto terzo quale specialista. In questo caso si richiede che lo specialista soggetto terzo compili un’apposita sezione al fine di raccogliere le dichiarazioni e gli impegni dell’operatore stesso.
Copia dell’ultimo rendiconto annuale o semestrale dell’OICR: si prevede l’eliminazione di questo allegato con riferimento agli emittenti aventi altri strumenti finanziari già ammessi nei mercati gestiti e organizzati da Borsa Italiana in quanto tali documenti sono già disponibili e pubblicati in forza della normativa sulle informazioni periodiche degli emittenti quotati.

2. Inoltre, nel caso in cui l’operatore intenda svolgere anche attività di market making o specialista nel mercato IDEM, l’operatore deve:
a. comunicare l’elenco degli addetti alle attività di market maker ovvero l’elenco degli addetti all’attività di specialista presenti presso la sede della società di cui l’operatore stesso si avvale esclusivamente al fine dello svolgimento dell’attività di specialista;

(Elenco operatori specialisti del mercato IDEM)
1. Ai sensi dell’articolo 4.7.10 del Regolamento gli operatori specialisti si avvalgono di società appartenenti allo stesso gruppo e autorizzate all’attività di negoziazione per conto proprio nello Stato di origine.
2. Gli operatori specialisti sono iscritti nell’“Elenco degli operatori specialisti su strumenti derivati”, di seguito denominato “Elenco”.
3. L’Elenco è articolato in sezioni corrispondenti ai diversi contratti negoziati e in sotto-sezioni in relazione alla tipologia di obblighi di quotazione a carico dello specialista di cui al comma 4.
4. Sono iscritti nella sotto-sezione dei Primary Specialisti gli specialisti assoggettati a obblighi di quotazione continuativa. Sono iscritti nella sotto-sezione degli Specialisti gli specialisti assoggettati a obblighi di rispondere a richieste di quotazione. Sono iscritti nella sotto-sezione dei Liquidity Provider Specialisti gli specialisti assoggettati a obblighi di quotazione continuativa sulle opzioni sulle prime tre scadenze consecutive.
5. Qualora non sia specificato diversamente nelle presenti Istruzioni, gli operatori specialisti possono chiedere di essere iscritti in una delle sotto-sezioni di cui al comma 4. Con riferimento al medesimo contratto gli specialisti possono essere assoggettati ad una sola tipologia di obblighi di quotazione.
6. Limitatamente al segmento IDEX gli operatori specialisti possono avvalersi di soggetti non appartenenti al gruppo, costituiti in forma di società per azioni, società a responsabilità limitata, o forma equivalente, a condizione che essi svolgano attività di negoziazione per conto proprio e soddisfino i requisiti di cui all’articolo IA.3.1, comma 1, lettera c), e comma 2.

1. I prezzi delle proposte di negoziazione possono essere multipli di valori (“tick”) stabiliti per ogni strumento finanziario e per ogni seduta di Xxxxx in relazione ai prezzi delle proposte inserite, come segue:

Articolo IA.7.1.9
(Offerte di acquisto nel mercato MOT)
Allo scopo di migliorare la liquidità degli strumenti negoziati e, in particolare, per facilitare il disinvestimento di tali strumenti, con riferimento a tutte le classi e a tutti i segmenti del mercato MOT di cui all’articolo IA.7.1.2, Borsa Italiana può consentire la presenza di operatori diversi dagli operatori specialisti che si impegnano ad esporre continuativamente proposte in acquisto per quantitativi minimi.
Possono esercitare tale attività gli operatori ammessi alle negoziazioni sul mercato MOT. Qualora l’emittente sia ammesso alle negoziazioni sul mercato MOT, la richiesta può essere presentata dall’emittente che assume l’impegno di cui al paragrafo precedente.
La richiesta è presentata con apposito modulo reso disponibile sul sito internet di Borsa Italiana.
L’operatore deve segregare tale attività di negoziazione utilizzando uno specifico Trader Group. A tal fine l’operatore preventivamente prendere contatti con Borsa Italiana ai sensi dell’articolo 3.3.2, comma 2 del Regolamento.
Articolo IA.7.1.10
(Obblighi degli operatori in acquisto sul mercato MOT)
1. Nel caso di offerte di acquisto di cui all’articolo IA.7.1.9, il quantitativo minimo giornaliero e il quantitativo minimo di ciascuna proposta sono determinati avuto riguardo alla data di collocamento, al valore nominale dell’emissione, al grado di diffusione e alle altre caratteristiche degli strumenti finanziari nonché alla loro eventuale quotazione su altri mercati.
2. Gli operatori in acquisto di cui all’articolo IA.7.1.9 sono tenuti ad esporre continuativamente sul book di negoziazione proposte in acquisto nella fase di negoziazione continua.
3. Concorrono al raggiungimento del quantitativo minimo giornaliero i contratti derivanti dall’abbinamento delle proposte immesse dagli operatori in ottemperanza degli obblighi di cui al comma 1 con le proposte immesse da altri operatori e dallo stesso operatore per conto terzi.
4. Fino al raggiungimento del quantitativo minimo giornaliero gli operatori in acquisto sono tenuti a ripristinare le proposte di negoziazione entro 5 minuti dalla conclusione di un contratto derivante dalla loro esecuzione sul sistema telematico.
5. Su richiesta scritta degli operatori, Borsa Italiana può sospendere o ridurre temporaneamente gli obblighi degli stessi in presenza di cause documentate che pregiudichino l’osservanza dello stesso obbligo.
6. Borsa Italiana può adeguare gli obblighi di cui al comma 1 in occasione della modifica dei lotti minimi negoziabili e in ogni altra circostanza che richieda interventi di natura tecnica, nonché qualora siano mutate le condizioni di mercato.
7. Borsa Italiana verifica il rispetto degli obblighi assunti dagli operatori.
8. Borsa Italiana, ai fini della valutazione di eventuali violazioni degli obblighi di cui al presente articolo, tiene conto, fra l’altro, di valori inferiori al 90% dell’indicatore ε BID di cui all’articolo IA.10.1.1, comma 3.
9. La cessazione dell’attività di cui all’articolo IA.7.1.9 deve essere comunicata a Borsa Italiana almeno un mese prima della data prevista per la cessazione della stessa. Borsa Italiana può accettare un preavviso inferiore in casi di comprovata necessità dell’operatore in acquisto.

amendment to the Instructions accompanying the Market Rules
In its meeting on 28 May 2010 the Board of Directors of Borsa Italiana approved the amendments to the Instructions described in this Notice.
The amendments will enter into force on 28 June 2010.
1 - IDEM Specialists
Taking account of the requests of market intermediaries and in view of the evolution of their operating methods and those of their clients, IDEM specialists are allowed also to use non-group entities to perform the activity of specialist, provided such entities are duly authorised to trade in their home country.
Since a market intermediary that uses non-group entities to perform the activity of specialist remains fully responsible vis-à-vis Borsa Italiana, as already provided for in the case of the IDEX segment, the condition of belonging to the same group as the market intermediary can be waived without reducing the protection of the market while achieving greater organizational and operational flexibility for market participants.
This is without prejudice of the provision that, if a market intermediary decides to use non-group entities, the intermediary must issue a declaration to Borsa Italiana stating that the persons engaged in performing the activity of specialist know the rules governing and the manner of performing the activity and the related technical instruments. The persons assigned to such activities must also have passed the relevant exam organised by Borsa Italiana to determine their knowledge of the rules governing and the manner of performing the activity in question.
2 - LEVERAGE CERTIFICATES PARITY
Partly on the basis of the indications provided by the industry and taking account of the performance of the share market, it is provided that a parity equal to 1 be introduced for leverage certificates on Italian shares in place of the present parity of 0.1.
This change ensures greater homogeneity between the bid-offer spread of the underlying and of the securitised derivative instrument, to the benefit of the market.
3 - Tick of the ETFplus market
In view of the needs expressed by issuers and specialists, a change is made to the table of ticks established for the prices of orders.
In particular, it is provided that the upper limit of the last price interval associated with the 0.005 tick be increased from €10 to €50, with a consequent reduction in the spread, to the benefit of the market’s efficiency.
This change is to the advantage of a large number of instruments traded on the ETFPlus market that currently fall within the €10 to €50 price range.
4 - Bids on the MOT market
Taking into account the evolution of the market and with a view to increasing the liquidity of the instruments traded on the MOT market while simultaneously facilitating disinvestments, approved intermediaries are allowed to apply to Borsa Italiana to engage in the activity of continuously displaying just bids for minimum quantities.
Also with the aim to control the compliance with the undertaken obligations, the intermediary must segregate such activity using a specific Trader Group. For this purpose market intermediary must take previous contact with Borsa Italiana, according to the general rules.
5 - Fine tuning of the application for admission to the SeDeX and ETFplus markets
In order to harmonise the application forms for admission to trading, a number of changes is made to the forms used for instruments traded on the SEDEX and ETFplus markets. In particular:
Privacy: it is provided not to repeat the agreement to the treatment of the issuer’s confidential data where the issuer has already given it in connection with admission to listing on other markets managed by Borsa Italiana.
Specialists: at the time of the application, the issuer must declare whether it intends to use a third party as a specialist. In such case the third-party specialist must compile a special section of the application in order to bring together its declarations and commitments.
Copy of the latest last annual or half-yearly statement of operations of the CIU: it is provided that this attachment be eliminated for issuers that have other financial instruments already listed on markets organised and managed by Borsa Italiana, since such documents are already available and published under the rules governing the periodic disclosure of information by listed issuers.

Market intermediaries may use a third party and/or a group company to perform the activities referred to in the preceding paragraph and those of the compliance officer provided they remain fully responsible for compliance with all the obligations of the Rules and control and coordinate the activities performed by the persons referred to in paragraph 3. With the aim to increase the liquidity of the instruments traded and, in particular, to make easier the disinvestment of such instruments, with reference to all the classes and all the segments of the MOT market referred to in Article IA.7.1.2, Borsa Italiana may allow the presence of intermediaries other than specialists. The former undertakes to display bids on a continuous basis for minimum quantities.
Such activity may be performed by intermediaries admitted to trading on the MOT market. Where the issuer is admitted to trading on the MOT market, the request may be applied by the issuer that may fulfil the undertaking itself.
For the request a specific form is available on the Borsa Italiana web site.
The intermediary must segregate such activity of trading using a specific Trader Group. For this purpose intermediary must take previous contact with Borsa Italiana pursuant to Article 3.3.2, paragraph 2, of the Rules.
Article IA.7.1.10
(Obligation of the bid intermediaries on the MOT market)
1. For the bids referred to in Article IA.7.1.9, the minimum daily quantity and the minimum quantity of each order are established taking account the date of the placement, the nominal value of the issue, how widely they are distributed and other features of the financial instruments as well as the possibly admission on other markets.
2. Bid intermediaries referred to in Article IA.7.1.9 are required to display bids continuously on the trading book during the continuous trading phase.
3. Contracts deriving from the matching of orders entered by bid intermediaries in fulfilling their obligations under paragraphs 1 with orders entered by other intermediaries or by the same bid intermediary for customer account shall count towards reaching the minimum daily quantity.
4. Until the minimum daily quantity is reached, bid intermediaries are required to re- enter bids within 5 minutes from the conclusion of a contract as a result of their execution in the electronic system.
5. At the written request of bid intermediaries, Borsa Italiana may temporarily suspend or reduce their obligations where documented circumstances prejudice compliance therewith.
6. Borsa Italiana may adjust the obligations referred to in paragraph 1 where the minimum lots tradable are modified and in every other circumstance that requires technical intervention, including changes in market conditions.
7. Borsa Italiana shall verify that the bid intermediaries fulfill their obligations.
8. Borsa Italiana, in evaluating possible violations of the obligations referred to in Article IA.7.1.10, shall also take account of values of the εBID indicator referred to in Article IA.10.1.1, paragraph 3, of less than 90%.
9. The cessation of the activity referred to in Article IA.7.1.10 must be notified in writing to Borsa Italiana at least one month before the planned day of cessation. Borsa Italiana may accept shorter notice in cases where the bid intermediary demonstrates the necessity thereof.
