Common use of Assignment Clause in Contracts

Assignment. 1. The Buyer/Client shall not be entitled to assign any of its rights arising out of the contract to any third person without our prior written consent. If the Buyer/Client performs an assignment without our prior written consent despite of the above provision, the assignee and the assignor shall have a joint and several liability towards us for any damage caused by the assignment. 2. We are entitled to assign our rights and obligations arising out of the contract to any enterprise which is considered as our affiliate company. Within this scope, we are entitled to disclose and provide any document or information related to the contract, provided that the affiliate company receiving the information undertakes an obligation of confidentiality in writing.
