This Share Purchase Agreement (this “Agreement”) is made and entered into as of May 02, 2023, by and between Tarachi Gold Corp., a company incorporated under the laws of British Columbia (“Seller”), and Compania Minera de Atocha S.A. de C.V., a company incorporated under the laws of Mexico (“Buyer”). Buyer and Seller sometimes are referred to in this Agreement collectively as the “Parties” and each individually as a “Party.”
