Common use of Assignment Clause in Contracts

Assignment. The Buyer shall not assign to any person or entity all or a portion of its rights or obligations under the Terms and Conditions without the prior written consent of the Company, in its sole discretion, and any attempted assignment without that consent shall be void. The Company may assign its rights under the Terms and Conditions without the consent of the Buyer in the event that the Company shall effect a reorganization, consolidate with or merge into any other corporation, partnership, organization or other entity, or transfer all or substantially all of its properties or assets to any other corporation, partnership, organization or other entity. However, in any other circumstances the Company, prior written notice to the Buyer, may transfer its rights under and subject to the terms of Contract.
