Confidentiality and intellectual Property Right Agreement
agreement made by and between ______________________________________,

Academia Road, Section 2, Taipei, Taiwan 115 (hereinafter called
VISITOR is participating in (PROJECT Title) ,
(hereinafter referred to as "PROJECT") conducted by
(PI’s name) (hereinafter referred to as "PI")
at the Institute/Center of_________________ in ACADEMIA SINICA. By
participating in the PROJECT, or working according to the enumerated
research duties of the VISITOR as provided in his Agreement for
Visiting Personnels with the ACADEMIA SINICA, VISITOR may receive
certain financial support and/or Proprietary/Confidential Information
from and belonging to Academia Sinica and/or the Government of
Taiwan, the Republic of China.
VISITOR and ACADEMIA SINICA hereby agree as follows:
"Confidential Information" shall mean:
a) data, drawings, computer programs, methods, formulae, program
b) memoranda, notes, records, other confidential technical data;
c) is not in the public domain prior to the disclosure
d) any other information identified by PI as "confidential"
at the time of disclosure.
Unless authorized in writing by PI, VISITOR shall:
a) use the Confidential Information only in connection with the
PROJECT and all other tasks assigned by PI;
b) not duplicate the Confidential Information in parts or in its

any third party;
3. All documents containing Confidential Information or prepared
using Confidential Information shall be and remain the property of
ACADEMIA SINICA, and all such documents and copies thereof shall be
returned to ACADEMIA SINICA upon the earlier of the completion of the
PROJECT or the request by the PI.
4. Under any circumstance, should VISITOR infringe intellectual
property rights (e.g. patents or copyrights) owned by any third
party, VISITOR should take full responsibility of such misconduct.
5. To the extent permitted by law, the VISITOR agrees to use
reasonable efforts to keep his/her research results obtained from the
progress of the PROJECT confidential until published or until
corresponding patent applications are filed. The VISITOR is
encouraged to make publicly available the results of his/her
research. However, ACADEMIA SINICA shall be provided forty-five days
to review the proposed publication or disclosure to assure that
Proprietary/Confidential Information is protected. When VISITOR has
used "more than incidental" ACADEMIA SINICA resources, the
contribution of ACADEMIA SINICA shall be acknowledged in the
6. Inventions developed by VISITOR with "more than incidental"
use of ACADEMIA SINICA resources or as part of his/her
responsibilities to ACADEMIA SINICA, or with support from the
Taiwanese Government, the VISITOR shall be the inventor but the
intellectual property right of this invention shall be assigned to
ACADEMIA SINICA. According to the regulation of ACADEMIA SINICA,
ACADEMIA SINICA will bear all expenses and financial risk for filing
and maintaining the patents and the licensing incomes will be divided
four ways: 40% to the inventor(s); 20% to the ACADEMIA SINICA; 20% to
the inventor(s)'s Institute in ACADEMIA SINICA; and 20% to the
Taiwanese government. If VISITOR conceived of the invention elsewhere
but reduced it to practice or further developed it at ACADEMIA SINICA
using more than incidental resources of ACADEMIA SINICA or Taiwanese
government, at least 50% of the intellectual property rights of this
novel invention shall be assigned to ACADEMIA SINICA.
ACADEMIA SINICA will share the responsibility and benefit with the
VISITOR'S affiliated institution according to the percentage of the
intellectual property rights that ACADEMIA SINICA is entitled to.
This Agreement shall be governed by and construed in accordance with
the laws of Taiwan.
8. The terms of this Agreement shall be effective during and after
the proceedings of the PROJECT.
