All Purchaser Prepared Returns that are not for a Straddle Period shall be prepared by treating items on such Tax Returns in a manner consistent with the past practices of ZZI with respect to such items, except as otherwise required by applicable Law or to the extent any deviation from such past practices would not reasonably be expected to give rise to an increased claim for indemnification by the Purchaser Indemnified Parties pursuant to this Agreement.
