Zone Compensation shall have the meaning set forth in Section I. of Appendix D hereof.

Zone Compensation shall accrue commencing on the Effective Date, provided however that the Company shall be entitled to a credit against the payment of Zone Compensation due and payable on the first anniversary of the Effective Date.
