  • The Merger shall have been completed and registered with the relevant Russian tax authority; provided, however, if all other conditions in this Section 5.1 have been satisfied but the Merger shall not have been completed, then the Seller shall sell and deliver to the Purchaser the Premi Sale Share and the Zollen Sale Share and the term “Sale Shares” shall be deemed for purposes of this Agreement to include such participation interests except where the context requires otherwise.
