  • ZLB Bioplasma shall pay or reimburse HAE for all costs of collection, including, without limitation, reasonable attorneys' fees and expenses.

  • ZLB Bioplasma shall take such actions as may be reasonably requested by HAE to vest complete control and title to the HMN Project with HAE including providing written authorization to transfer the IND at the U.S. Food and Drug Administration back to HAE.

  • No absence from service of the District under leave of absence for study or travel shall be deemed a break in continuity of service, and the employee shall be entitled to all leaves enumerated in this agreement.

  • If requested by HAE, ZLB Bioplasma shall assign its rights under the Parexel clinical trial agreement.

  • For a period of ten (10) years from the date of licensure by the FDA or any European agency of Initial Products, HAE shall pay to ZLB Bioplasma a royalty amount of three percent (3%) of Net Sales of the Initial Products.

  • The Netherlands Hemophilia Society, Bayer HealthCare Pharmaceuticals, Novo Nordisk Farma B.V., Sanquin, Wyeth Pharmaceuticals and ZLB Behring generously provided support for the printing of this thesis.

  • ZLB Bioplasma shall be responsible for the cost of any such inspection and audit by an independent accounting firm, unless such inspection and audit disclosed for any calendar quarter examined that there shall have been a discrepancy of greater than 5% between the royalties payable by HAE hereunder and the royalties actually paid to ZLB Bioplasma with respect to such calendar quarter, in which case HAE shall be responsible for the payment of the entire cost of such inspection and audit.

  • For purposes of Section 12.4 of the Purchase Agreement, notice to Buyer shall be given to: ZLB Bioplasma Inc.
