  • For any Zenabis Replacement Option that is intended to qualify as an “incentive stock option” within the meaning of Section 422 of the Code, it is intended that such adjustment will comply with Treasury Regulation Section 1.424(1)(a).

  • Notwithstanding the ‎foregoing, if necessary to satisfy the requirements of subsection 7(1.4) of the Tax Act, the ‎exercise price of a Zenabis Replacement Option adjusted in accordance with the foregoing shall be ‎increased such that the In-The-Money Amount of the Zenabis Replacement Option immediately after ‎such adjustment does not exceed the In-The-Money Amount of the Zenabis Replacement Option ‎immediately before such adjustment.

  • No consent, waiver or approval is required to be obtained in order to maintain the Zenabis Licences in full force and effect immediately upon the consummation of the Arrangement.

  • For any Zenabis Replacement Option that is intended to qualify ‎as an “incentive stock option” within the meaning of Section 422 of the Code, it is ‎intended that such adjustment will comply with Treasury Regulation Section 1.424(1)(a).
