  • The net operating loss carryforwards (“NOLs”) for United States federal income tax purposes of the consolidated group of which Zash or the Zash Subsidiaries or is the common parent, if any, shall not be adversely effected by the transactions contemplated hereby.

  • Zash, ZVV, the Zash Subsidiaries and the ZVV Subsidiaries have taken reasonable security measures to protect the secrecy, confidentiality and value of all of their Intellectual Property Rights.

  • Neither Zash, ZVV, the Zash Subsidiaries nor the ZVV Subsidiaries is, or has never been, an issuer identified in, or subject to, Rule 144(i).
