Z Capital has the meaning set forth in the Preamble.

Z Capital means, collectively, Z Capital Partners LLC and ▇▇▇▇▇ ▇. ▇▇▇▇▇ ▇▇. and each of their Affiliates and any funds, partnerships or other investment vehicles managed or controlled by them or their Affiliates, but not including, however, any of their operating portfolio companies.

Examples of Z Capital in a sentence

  • During the Exclusivity Period, the Company shall promptly advise Z Capital if any such proposal or offer, or any inquiry by any person or entity with respect thereto, is made, shall promptly inform Z Capital of all the terms and conditions thereof, and shall furnish to Z Capital copies of any such written proposal or offer and the contents of any communications in response thereto.

  • Promptly after the date hereof, the Company and the Z Capital VCOC shall enter into a VCOC management rights letter in the form of Exhibit 3.02 attached hereto.
