Your Affiliate definition

Your Affiliate means any legal entity which You directly or indirectly own or control greater than fifty percent (50%) of such entity’s shares or control the board of such entity by force of law or contract.

Examples of Your Affiliate in a sentence

  • All Orders made under a participation agreement, including all rights and obligations of Your Affiliate, will only be between the parties who signed the participation agreement.

  • You or Your Affiliate shall have and maintain, at its sole cost and expense, in effect throughout the term of the relevant Agreement and/or relevant SoW the agreed insurance coverage as approved by GE or the relevant GE Affiliate.

  • If the Warrants are received or deemed to be received after the Expiration Date, the exercise thereof will be null and void and any funds delivered to the Warrant Agent will be returned to the Registered Holder or Participant, as the case may be, as soon as practicable.

  • As part of the registration process, You will select a username and password combination that You use to access Your Affiliate area within the Service.

  • In the event any of Your Affiliate acts or fails to act in a manner, which, if performed by You, would constitute a breach of this Agreement, then such act or omission shall be considered also an act or omission of You and treated hereunder as a breach by also You.

  • You must notify Us within thirty (30) days prior to You or Your Affiliate (i) being acquired by, selling substantially all of its assets to, merging with, or changing its Control in favour of, a direct competitor of Ours, or (ii) changing the main object of activity into a business competing Us or Our products.

  • You and each of Your Affiliates agree to use all reasonable efforts to provide written notice to any Transferee of an Essential Patent Claim formerly owned by You or Your Affiliate of the limitation on the ability of such Transferee to seek any remedy other than RAND license fees when such Transferee engages in the Assertion of an Essential Patent Claim.

  • Commission Fees shall be paid based on the current information in Your Affiliate profile.

  • However, if You or Your Affiliate makes an Assertion of an Essential Patent Claim after the end of the one-year waiting period, any licenses or sub-licenses to Essential Patent Claims that You or Your Affiliate enjoyed under this Agreement are retroactively terminated, with the same effect as if such licenses had never existed.

  • In the event that You or Your Affiliate shall determine that it wishes to engage in an Assertion of an Essential Patent Claim, You or Your Affiliate will first provide written notice to the IMTC stating that You and Your Affiliate are surrendering the sub-license to Essential Patent Claims granted by this Agreement.
