  • In lieu of physical certificates, all Yooma Shareholders entered onto the share register of the Resulting Issuer will receive a DRS Advice Statement in respect of the Amalco Shares registered in their name.

  • Upon the redemption of a Series C Preferred Share, and payment of the Mandatory Redemption Price to the Holder thereof, such Holder will promptly return such share to the Corporation for cancellation.

  • Each of the Required Consents of Yooma shall have been given or obtained on terms acceptable to GTI, acting reasonably.
