  • The Seller shall wire transfer the Repurchase Amount to Purchaser on the Repurchase Date; if, however, in the event that payment of the Repurchase Amount shall occur after the Repurchase Date, Purchase shall be entitled to receive any and all Yield Premium through the date that the Repurchase Amount is tendered to Purchaser.

  • All calculations of the amount of the Servicing Fee and Yield Premium shall be made on the basis of a 365-day year.

  • A-1 The obligations of the Purchaser under this Note are subordinated in right of payment, to the extent set forth in Section 2.1(j) of the Purchase Agreement, to the prior payment in full of all Loans, Yield, Premium, Accrued Liability and other obligations of the Purchaser under the RLSA, the Fee Letter, the Insurance Agreement and the Premium Letter.

  • All computations of interest and all computations of Yield, Premium, Liquidation Fee and other fees hereunder (including, without limitation, the Fees, the Backup Servicer Fee, the Backup Servicer Standby Fee, the Trustee Fee and the Servicing Fee) shall be made on the basis of a year of 360 days for the actual number of days (including the first but excluding the last day) elapsed.
