Without the consent of Xxxxxxxxxx, Customer will not cause or allow any of the collateral held in any Customer account, whether now owned or hereafter acquired, to be or become subject to liens, security interests, mortgages or encumbrances of any nature other than the security interest in favor of the Xxxxxxxxxx Entities.
In enforcing its security interest, the Xxxxxxxxxx Entities shall have the discretion to determine the amount, order and manner of property to be sold and shall have all the rights and remedies available to a secured party under applicable law.
The Collateral shall be subject to such security interest and right of setoff to discharge all obligations of Customer to any of the Xxxxxxxxxx Entities, wherever or however arising and without regard to whether or not any Xxxxxxxxxx Entity has made loans with respect to such Collateral.
The Xxxxxxxxxx Entities are authorized to sell and/or purchase any and all property in any account or to liquidate open Contracts or redeem money market or cash deposit investments in any account of Customer without notice in order to satisfy such obligations.
Each of the Knightspoint Entities and the Xxxxxxxxxx Entities agrees that it shall cause all shares of Common Stock beneficially owned by it, and its Affiliates or Associates, as of the record date for the 2006 Annual Meeting, to be present for quorum purposes and to be voted in favor of the Company Nominees for election at the 2006 Annual Meeting.
Xxxxxxxxxx is terminated by the Company without “Cause” or if “Good Reason” has occurred, the Standstill Period with respect to the Xxxxxxxxxx Entities shall terminate and neither Xxxxxxx X.
If any Xxxxxxxxxx Nominee is unable or elects not to continue to serve as a Director once elected at the 2006 Annual Meeting, then the Xxxxxxxxxx Entities shall be entitled to select a replacement Director, and each of the Knightspoint Entities and the Xxxxxxxxxx Entities shall cause its Directors to elect such replacement Director.
If any Knightspoint Nominee is unable or elects not to continue to serve as a Director once elected after the 2006 Annual Meeting, then the Knightspoint Entities shall be entitled to select a replacement Director, and each of the Knightspoint Entities and the Xxxxxxxxxx Entities shall cause its respective Directors to elect such replacement Director.
If any Independent Director is unable or elects not to continue to serve as a Director once elected at the 2006 Annual Meeting, then the Company shall select a replacement Director, and each of the Knightspoint Entities and the Xxxxxxxxxx Entities shall cause its Directors to elect such replacement Director.
No “closing agreement” as described in Code Section 7121 (or any corresponding or similar provision of state, local or foreign income Tax Law), private letter rulings, technical advice memoranda or similar Contracts or rulings relating to Taxes have been entered into or issued by any Governmental Authority with or in respect of the Xxxxxxxxxx Entities.
