  • In addition, WYI represents that it is familiar with Rule 144 under the Securities Act, as presently in effect, and understands the resale limitations imposed thereby and by the Securities Act.

  • Notwithstanding that representatives of the Buyer may have provided information to WYI, WYI is not relying on, and has not relied on, any representation by the Buyer or any Affiliate or Representative of the Buyer with respect to any aspect of the business or prospects of the Buyer or its subsidiaries, other than the representations and warranties of the Buyer hereunder.
