Reseller will indemnify, defend and hold harmless WSO2 from and against any and all claims, damages and expenses (including reasonable attorneys' fees and costs of litigation) by any third party resulting from any acts or omissions of Reseller relating to its activities in connection with this Agreement, Reseller's breach of this Agreement, or Reseller's misrepresentations relating to WSO2, the WSO2 Services, or this Agreement, regardless of the form of action.
This Agreement shall commence on the date set forth above and shall continue unless terminated in accordance with Sections 9.2 or 9.3. In the event of termination of this Agreement, any fully paid up WSO2 Services under an order form or Work Order will continue under their naturally expiring term or until the next renewal event.
Unless resolved amicably between the Parties, any and all disputes, controversies, or differences which may arise between the Parties, out of or in relation to or in connection with this Agreement, or the breach thereof, or the WSO2 Services or Software, shall be solely and finally settled by binding arbitration pursuant to the then-current rules of the International Chamber of Commerce.
Reseller agrees to use reasonable endeavors to protect WSO2’s Intellectual Property Rights in and to the WSO2 Services and Software which means it shall take affirmative measures, consistent with commercially reasonable industry practices among resellers in the software and technology industries, to prevent any counterfeiting of any WSO2 Services and Software which may occur as a direct or indirect result of Reseller’s marketing or resale of the WSO2 Services and Software.
Partner shall not alter or remove any of WSO2’s trade names, service marks, or trademarks from the WSO2 Product(s) or WSO2 Services.
