Written Work Order Authorizations and approved scopes of work, project budgets and schedules shall be considered to be addenda to this Agreement.
Consultant's invoices shall include the name of the person who performed the Services, a brief description of the Services performed and/or the specific task in the Scope of Services or Written Work Order Authorization, the date the Services were performed, the number of hours spent on all work billed on an hourly basis, and a description of any reimbursable expenditures.
City will reimburse Consultant and its sub-consultants, if any, for their usual and customary out-of-pocket expenses incurred in furtherance of the Scope of Services or Written Work Order Authorization, as such expenses are described in Exhibit A.
Company agrees to assign and transfer all of its right, title and interest in such Written Work to Client without restriction or limitation upon its use or dissemination.

The CITY may reuse the Written Work at no additional cost, and the CITY shall be vested with all rights of whatever kind and however created that may be in existence thereto; provided, however, that ENGINEER shall in no way be liable or legally responsible to anyone for the CITY'S additional use of any Written Work on another project, without the ENGINEER's prior written approval.
All reports, documents, files, media or other written materials (“Written Work”) created, developed or produced by Company in connection with the Services shall be and remain the property of Client and belong exclusively to Client; provided, however, that Client shall have a perpetual, non-exclusive, fully-paid license to use all such Written Work to the extent necessary to receive the benefit of the Services.
The Written Work shall be a “work made for hire” and the CITY shall be vested with all rights of ownership of the Written Work whatever kind and however created that may be in existence thereto.
A Written Work Order will not change the Contract Price or Contract Time, but is evidence that the parties expect that the Written Work Order will be incorporated in a subsequently issued Change Order following agreement by the parties as to its effect, if any, on the Contract Price or Contract Time.
Where practicable, the terms and prices for the use of machinery and equipment shall be incorporated in the Written Work Order or Change Order.
