Write-Downs definition

Write-Downs and the following definition thereof are hereby added to Article I of the Credit Agreement, which definition shall appear in alphabetical order in Article I:
Write-Downs means a range of exceptions, or allowed debts, related to specific transactions. In summary, these exceptions include the refinancing of existing debt, considering certain circumstances and raising of hard currency for various applications, some of which for specific reasons, totaling US$ 141,000 thousand (equivalent to approximately R$ 236,000);
Write-Downs means (a) asset write downs taken by the Companies as of December 31, 1999 which have resulted in charges to the income of the Companies and (b) other charges to the income of the Companies, in each case as specified in Exhibit M attached hereto, all of which write downs and charges to income referred to in clauses (a) and (b) preceding and specified in Exhibit M do not exceed $17,500,000 in aggregate amount."

More Definitions of Write-Downs

Write-Downs or "Written-Down" means any reduction in the amount of the principal for Corporate Loans or Card Loans, as applicable, due to debt-equity swaps, exemptions, reduction of debt (Gamaek-Sonsil), valuation loss (Pyungga-Sonsil) and any other similar actions or events resulting in the loss of any principal on the Corporate Loans other than through provisioning of reserves with respect to the Corporate Loans; provided any Write-Down or Written-Down with respect to equity securities and convertible securities shall be calculated as set forth in the Appendix 7.

Related to Write-Downs

  • Shut down means a condition or conditions wherein a piece of equipment or system cannot be operated by the device or control that a homeowner should normally use to operate it. If its safety switch or circuit breaker is in the "off" position, or its fuse is missing or blown, the inspector is not required to reestablish the circuit for the purpose of operating the equipment or system.

  • Security alarm system means a device or series of devices, intended to summon law enforcement personnel during, or as a result of, an alarm condition. Devices may include hard- wired systems and systems interconnected with a radio frequency method such as cellular or private radio signals that emit or transmit a remote or local audible, visual, or electronic signal; motion detectors, pressure switches, duress alarms (a silent system signal generated by the entry of a designated code into the arming station to indicate that the user is disarming under duress); panic alarms (an audible system signal to indicate an emergency situation); and hold-up alarms (a silent system signal to indicate that a robbery is in progress).

  • KDOT means the Kansas Department of Transportation, an agency of the State of Kansas, with its principal place of business located at 700 SW Harrison Street, Topeka, KS, 66603-3745.

  • Commercial Fishing Worker means Commercial fishing worker as defined in Section 420.503, F.S.

  • Lockdown means the period between 23H59 on 26 March 2020, until 23H59 on 30 April 2020;
