[END OF ATTACHMENT A] <PAGE> EXECUTION COPY ATTACHMENT B CONFIDENTIALITY AGREEMENT This Confidentiality Agreement ("Agreement") is made and entered into in Cincinnati, Ohio as of December 5, 2002 ("Effective Date"), by and between Convergys Corporation, its affiliates and subsidiaries, an Ohio corporation with offices located at ▇▇▇ ▇▇▇▇ ▇▇▇▇▇▇ ▇▇▇▇▇▇, ▇▇▇▇▇▇▇▇▇▇, ▇▇▇▇ ▇▇▇▇▇ ("Convergys") and American Cellular Corporation,, its affiliates and subsidiaries, with offices located at ▇▇▇▇▇ ▇▇▇▇▇▇▇▇ ▇▇▇, ▇▇▇▇▇▇▇▇ ▇▇▇▇, ▇▇▇▇▇▇▇▇ ▇▇▇▇▇ ("Company"). BACKGROUND Convergys and Company, for their mutual benefit, desire to disclose certain proprietary and confidential information to the other party. Each party desires to protect its proprietary and confidential information and to prevent other persons and entities from acquiring, appropriating or discovering its proprietary and confidential information.

Examples of Work Request Process in a sentence

  • Any changes to the Services to be provided under this Agreement shall be performed in accordance with the Work Request Process.

  • In the event that Publisher enters into reciprocal agreements, the Parties will mutually agree upon and enter into appropriate service and pricing agreements to support such additional reciprocal agreements, in accordance with the Work Request Process.

  • All changes requested during the first six (6) months following Shipping Go-Live and after will adhere to the GEODIS IT Work Request Process.

  • The Annual Fee set forth in this Section 17 and on Schedule 17(a) does not include any additional costs in connection with changes implemented in connection with the Work Request Process in accordance with Section 18.

  • Any services requested by Publisher not expressly set forth herein or changes to the services from those provided as of the effective date of this Agreement shall be subject to the Work Request Process.

  • In the event that Publisher would like to change any of the foregoing services or procedures in any way, such change shall be managed in accordance with the Work Request Process described in Section 18.

  • RHD agrees to examine reasonable Publisher ideas to increase efficiency and improve processes in accordance with the Work Request Process.

  • Any changes to contracts such as Terms & Conditions, Logos, etc., will flow through the Work Request Process and Publisher will reimburse RHD accordingly.

  • Publisher will reimburse RHD for reasonable costs incurred in connection therewith, in accordance with the Work Request Process.

  • In addition, as described in Section 3, Publisher's exercise of certain of its rights and performance of certain its obligations hereunder through a Sales or other agent in accordance with existing processes and procedures shall not be deemed an "assignment" under this Section 23(a) and shall not require the prior consent of RHD; provided, however, that any change from the existing processes and procedures would require RHD's consent in accordance with the Work Request Process.

Related to Work Request Process

  • Change Order Request means a written request or proposal for a Change Order submitted by either Company or Contractor and including:

  • RFP Process or “Bidding Process” means the process governing the submission and evaluation of the Bids as set out in the RFP itself;

  • L/C Request has the meaning specified in Section 2.4(b).

  • Procurement Process means the process commenced by the issuing of this Invitation and concluding upon the award of a contract (or other outcome as determined by Tetra Tech International Development) or upon the earlier termination of the process

  • E-Auction Process /”E-Auction” shall mean the electronic auction process for sale of the Company conducted in accordance with the provisions of IBC, Liquidation Process Regulations, Applicable Law(s) and this E- Auction Process Information Document inviting Bid from the Bidders for consummating the sale of Company on going concern basis in accordance with the provisions of IBC and Liquidation Process Regulations;
