Work Goods definition

Work Goods is solely owned by Buyer. Seller agrees that all copyrightable materials of the Work Goods will be deemed a “work made for hirefor the purposes of Title 17 of the United States Code, Section 101 et seq. In the event that (i) any of the Work Goods may not be considered “work made for hire,” or (ii) ownership of all right, title and interest to the legal rights in and to the Work Goods, does not vest automatically and exclusively in Buyer, then, without further consideration, Seller agrees to, and hereby does, irrevocably, assign, convey, and otherwise transfer to Buyer all such right, title and interest, in and to all Work Goods and any derivative works thereof.
