Wolf Sellers means The Xxxxx Xxxx Family Irrevocable Trust, The Xxxxxx Xxxx Family Irrevocable Trust, and The Wolf Family 2016 Irrevocable Asset Trust.
Sellers has the meaning set forth in the preamble.
Seller Entities means, collectively, Seller and all Seller Subsidiaries.
Buyer has the meaning set forth in the preamble.
Seller has the meaning set forth in the preamble.
Seller Parties has the meaning set forth in the preamble to this Agreement.
Seller’s Representatives means Seller’s accountants, employees, counsel, environmental consultants, financial advisors, and other representatives.
Selling Parties shall have the meaning specified in the preamble.
Buyers has the meaning set forth in the preamble.
Contributors means any organization(s), entity(ies) and/or individual(s) providing technology and/or patent rights related to the ATCC Material, or original material to ATCC for deposit.
Selling Stockholders means Purchaser and any other purchaser of Units in the Offering, and their respective successors and assigns.
Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.
Buyer Parties means Buyer, its respective Affiliates and the former, current or future equity holders and Representatives of each of the foregoing.
Seller Representatives has the meaning set forth in Section 5.8(a).
Sellers’ Representative has the meaning set forth in the Preamble.
Seller Parent has the meaning set forth in the Preamble.
Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.
Seller Affiliates has the meaning assigned to such term in Section 2.7.1;
Purchaser means the organization purchasing the goods.
Acquired Companies means, collectively, the Company and the Company Subsidiaries.
Purchaser Parties means, collectively, the Purchasers and any of their respective former, current or future directors, officers, employees, agents, general or limited partners, managers, members, stockholders, Affiliates or assignees or any former, current or future director, officer, employee, agent, general or limited partner, manager, member, stockholder, Affiliate or assignee of any of the foregoing.
Purchasers is defined in Section 12.3.1.
Seller Representative means Xxxxx Bank.
Transferred Entities means the entities set forth on Schedule 1.5.
Seller’s Closing Documents as defined in Section 3.2(a).
Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.
Target Companies means the Company and its Subsidiaries.
