It is acknowledged by each of the Parties that each of the Company, Sellers, and their Subsidiaries have retained Wachtell, Lipton, ▇▇▇▇▇ and ▇▇▇▇ (“WLRK”) to act as their counsel in connection with the transactions contemplated hereby and that WLRK has not acted as counsel for Purchaser in connection with the transactions contemplated hereby and that Purchaser does not have the status of a client of WLRK for conflict of interest or any other purposes as a result thereof.
The Purchaser further agrees that, as to all communications prior to Closing among WLRK, the Company, its Subsidiaries, Sellers, and/or any of their respective Affiliates that relate in any way to the transactions contemplated by this Agreement, the attorney–client privilege and the expectation of client confidence belongs to TEGNA Inc.
