Without Supplier s prior written consent, Distributor shall not use, produce or disclose or otherwise make available to any person, other than Distributor's employees or agents who have a need to know such information for the performance of its obligations hereunder, any and all information written or oral, which is disclosed by Supplier to Distributor, identified as confidential information and not generally available to the public. The term "confidential information" shall not include information provided by Supplier to Distributor exclusively for the purpose of soliciting potential and actual sales of the Products. In addition, the term "confidential information" shall not include any information that is or becomes known to the public through no fault of Distributor.
